Scope of Right. Subject to Section 12.1, at Tenant's cost and expense, Tenant shall have the right to: (a) seek any governmental approvals, including building permits, licenses, conditional use permits and any certificates of need that Tenant requires to construct any Tenant Improvement; (b) erect upon the Property such Tenant Improvements as Tenant deems desirable; and (c) engage in any other lawful activities that Tenant determines are necessary or desirable for the development of the Property in accordance with its Primary Intended Use.
Scope of Right. As used herein, the termBusiness Combination” shall mean any acquisition, through a merger, capital stock exchange, asset acquisition, stock purchase or other similar business combination, vessels or one or more operating businesses (each a “Target”) in the shipping or any other industry.

Scope of Right. Prometheus will have the right at any time to terminate this Agreement in whole or as to any portion of Patent Rights by giving notice in writing to The Regents. Scope of Right. If Shares are Transferred or are proposed to be -------------- Transferred incident to a bona fide offer from a third party (the "Offeror"), the Company will have the right (but not the obligation) to purchase Shares on the terms and conditions set out in this Paragraph 4. This right does not extend to a Third Party Offer made if the Warrantholder has no intention of transferring the Shares. The Company's rights under this Paragraph 4 are assignable by the Company and will terminate upon the earlier of (i) the occurrence of an IPO, or (ii) September 30, 2002, whether or not previously assigned. The right of first refusal under this Paragraph 4 will be exercisable in whole or in part as to any particular Transfer or proposed Transfer of Shares.
