Scope of Technical Services. Subject to the following terms and conditions, Alliance for Sustainable Energy, LLC (herein also “Contractor” or “NREL”) agrees to provide Technical Services to the Sponsor in the defined work areas identified in the Scope of Work attached and incorporated herein. It is understood by the Parties that, except for the intellectual property provisions of this Agreement, Contractor is obligated to comply with the terms and conditions of the Department of Energy (herein also “DOE” or “Government”) M&O Contract when providing goods, services, products, processes, materials, or information to the Sponsor under this Agreement. The Parties understand that DOE has authorized the Contractor to use this Technical Services Agreement when appropriate, and that the total cost to Sponsor will not exceed $500,000.

Scope of Technical Services. Technical Services will be documented in a Statement of Work (“SOW”). The Software provided under this Agreement is not custom software but is standard commercial software and the scope of Technical Services provided hereunder shall consist solely of (i) program planning, (ii) Software deployment assistance, (iii) interface adapter efforts, and/or (iv) formal or non-formal software training. Technical Services provided to Customer by SailPoint shall not constitute works for hire.

Scope of Technical Services. The Purchaser shall be entitled to meet with or contact the Chief Technology Officer (the “CTO”) of ConocoPhillips Company (“COP”) for in each [REDACTED – Time of Commitment to Perform Services] period during the Technical Services Period wherein the CTO shall, in good faith, provide consultative advice with respect to unconventional reservoir technologies and optimization and such other technical matters pertaining to the WCBU Petroleum and Natural Gas Rights (the “Technical Services”), provided that nothing contained herein shall require COP, the Vendors or the CTO to divulge proprietary information or other knowledge developed for the benefit of COP, the Vendors or their co-venturers, which is subject to confidentiality restrictions against disclosure, requires the consent of Third Parties, or was not charged to a joint account contributed to by Purchaser. Any meeting between Purchaser and the CTO shall take place at COP’s head office in Houston, Texas, upon such Business Day as the Purchaser and the CTO shall agree, for a period of [REDACTED – Time of Commitment to Perform Services] during regular business hours of the Vendor. Nothing contained in this agreement shall require Vendor to provide Technical Services to the Purchaser by any Person other than the CTO, or at any other location.

  • Engineering Services Definition: Engineering Services includes any service or creative work, the adequate performance of which requires education, training and experience in the application of special knowledge in consulting, investigating, evaluating, planning and designing, engineering principles. Engineering Services covered by the Xxxxxx Architect-Engineers Act (40 U.S.C. 1102) are not covered in the primary scope of OASIS SB. Examples: Service areas that are included under the Engineering Services discipline include, but are not limited to the following:

  • Technical Specifications The Technical Specifications furnished on the CD are intended to establish the standards for quality, performance and technical requirements for all labor, workmanship, material, methods and equipment necessary to complete the Work. When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work. For convenience, the County supplied specifications, if any, and the Technical Specifications furnished on the CD.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.
