Second Right of Refusal. Lessee shall have the option to expand the Premises to include the Second Right of Refusal Space, on the same terms and conditions of this Lease. Lessee acknowledges that through September 1, 2014, another tenant in the Building, Cascade Bicycle Club, holds the primary option to lease the Expansion Space. If Cascade Bicycle Club either 1) provides notice to City in writing that Cascade will not exercise its option to lease the Second Right of Refusal Space, or 2) Cascade fails to exercise its option prior to September 1, 2014, then the Superintendent shall notify Lessee that the Second Right of Refusal Space is available. Lessee shall then have the right to exercise its option to lease the Second Right of Refusal Space by notifying the Superintendent in writing no later than sixty days following the date of Superintendent’s notice that the Second Right of Refusal Space is available. Lessee’s option to lease the Second Right of Refusal Space is conditioned upon Lessee exercising the option in the time and manner required under this Section 2.11. Additionally, if Lessee has defaulted on any obligation under this Lease at any time prior to exercising the option, Lessee must cure the default to the satisfaction of the Superintendent prior to exercising the option, and in any case no later than the expiration date of the option, otherwise the option shall automatically terminate. Additionally, if Lessee has defaulted on any material obligation under this Lease more than one time, even if such default has been cured, the Superintendent shall have the right to terminate the option prior to its expiration date by written notice to Lessee, in the Superintendent’s discretion. If Lessee validly exercises its option under this Section, City shall deliver the space no later than thirty days later, all references in the Lease to the Premises and Excusive Use Space shall include the Second Right of Refusal Space, and Lessee shall pay Rent on the Second Right of Refusal Space at the per square foot rate charged for Exclusive Use Space. Otherwise, the option shall automatically expire.

Second Right of Refusal. If the offer contained in the notice described above is not accepted by Hoeft or Wolfe, as applicable, within thirty (30) xxxx from xxx date of receipt of the notice, then Nelnet may exercise a second right of refusal to purchase the Interest, at a price determined by the formula set forth in Section 14 hereof. Such right shall be exercised within thirty (30) days of the expiration of Hoeft or Wolfe's first right of refusal period.
Second Right of Refusal. Provided Tenant is not in default under the terms and conditions of this Lease, Tenant shall have a right of second refusal to include under this Lease, upon the terms and conditions set forth herein, approximately 17,193 rentable square feet of contiguous space immediately East of the Leased Premises as identified on Exhibit "A" as the "right of second refusal space." It is understood that Landlord has previously given Bio Medicus, Inc. the first right of refusal on the said space. In the event that Bio Medicus fails to exercise its right of first refusal then, Landlord shall promptly give Tenant written notice of any intent to lease the right of second refusal space to a third party and the name of such party. Tenant shall give Landlord written notice of exercise of its right of second refusal within 72 hours after receipt of Landlord's notice. If Tenant fails to exercise its right of second refusal within said 72 hour period, Landlord shall be free to lease the space in question without regard to Tenant's rights hereunder and Tenant's right of second refusal shall automatically terminate and be of no further force or effort. If Tenant duly exercises it right of second refusal as provided herein, the space in question shall be leased to Tenant at the same terms and conditions as offered to the prospective tenant. It is understood that the 17,193 rentable square feet may not necessarily be offered as a whole but in increments in accordance with proposed leases. This right of second refusal is granted only to Xxxxx Data Supply, Incorporated, not to any assignee or subtenant of Xxxxx Data Supply, Incorporated.
Second Right of Refusal. Tenant shall have a Second Right of refusal, subordinate to an existing First right by USA Communications, Inc. for contiguous space in the building. Tenant shall have the right to match any bona fide offer to lease which is deemed acceptable to Landlord. Tenant shall have 15 Days from receipt of said offer to exercise this right of refusal.
Second Right of Refusal. Provided Tenant is not in default under the terms and conditions of the Lease, Tenant shall have the Second Right of Refusal on the 2nd floor premises.

If neither the Company nor the Investors elect to purchase all of the shares of Executive Stock specified in the Sale Notice, Executive may transfer the shares of Executive Stock specified in the Sale Notice at a price and on terms no more favorable to the transferee(s) thereof than specified in the Sale Notice during the 60-day period immediately following the Authorization Date. Any shares of Executive Stock not transferred within such 60-day period shall be subject to the provisions of this paragraph 4(c) upon subsequent transfer. If the Company or any of the Investors have elected to purchase shares of Executive Stock hereunder, the transfer of such shares shall be consummated as soon as practical after the delivery of the election notice(s) to Executive, but in any event within 15 days after the expiration of the Election Period. The Company may pay the purchase price for such shares by offsetting amounts outstanding under the Executive Note issued to the Company hereunder and any other bona fide debts owed by Executive to the Company.

  • Right of First Refusal (a) The Shares acquired pursuant to the exercise of this Option may be sold by the Optionee only in compliance with the provisions of this Section 7, and subject in all cases to compliance with the provisions of Section 6(b) hereof. Prior to any intended sale, Optionee shall first give written notice (the “Offer Notice”) to the Company specifying (i) his or her bona fide intention to sell or otherwise transfer such Shares, (ii) the name and address of the proposed purchaser(s), (iii) the number of Shares the Optionee proposes to sell (the “Offered Shares”), (iv) the price for which he or she proposes to sell the Offered Shares, and (v) all other material terms and conditions of the proposed sale. (b) Within thirty (30) days after receipt of the Offer Notice, the Company or its nominee(s) may elect to purchase all or any portion of the Offered Shares at the price and on the terms and conditions set forth in the Offer Notice by delivery of written notice (the “Acceptance Notice”) to the Optionee specifying the number of Offered Shares that the Company or its nominees elect to purchase. Within fifteen (15) days after delivery of the Acceptance Notice to the Optionee, the Company and/or its nominee(s) shall deliver to the Optionee payment of the amount of the purchase price of the Offered Shares to be purchased pursuant to this Section 7, against delivery by the Optionee of a certificate or certificates representing the Offered Shares to be purchased, duly endorsed for transfer to the Company or such nominee(s), as the case may be. Payment shall be made on the same terms as set forth in the Offer Notice or, at the election of the Company or its nominees(s), by check or wire transfer of funds. If the Company and/or its nominee(s) do not elect to purchase all of the Offered Shares, the Optionee shall be entitled to sell the balance of the Offered Shares to the purchaser(s) named in the Offer Notice at the price specified in the Offer Notice or at a higher price and on the terms and conditions set forth in the Offer Notice; provided, however, that such sale or other transfer must be consummated within sixty (60) days from the date of the Offer Notice and any proposed sale after such sixty (60) day period may be made only by again complying with the procedures set forth in this Section 7. (c) The Optionee may transfer all or any portion of the Shares to a trust established for the sole benefit of the Optionee and/or his or her spouse or children without such transfer being subject to the right of first refusal set forth in this Section 7, provided that the Shares so transferred shall remain subject to the terms and conditions of this Option Agreement and no further transfer of such Shares may be made without complying with the provisions of this Section 7. (d) Any Successor of Optionee pursuant to Section 5 hereof, and any transferee of the Shares pursuant to this Section 7, shall hold the Shares subject to the terms and conditions of this Option Agreement and no further transfer of the Shares may be made without complying with the provisions of this Section 7. (e) The rights provided the Company and its nominee(s) under this Section 7 shall terminate upon the closing of the initial public offering of shares of the Company’s Class A Common Stock pursuant to a registration statement filed with and declared effective by the Securities and Exchange Commission under the Securities Act.

  • Exercise of Right of First Refusal At any time within thirty (30) days after receipt of the Notice, the Company and/or its assignee(s) may, by giving written notice to the Holder, elect to purchase all, but not less than all, of the Shares proposed to be transferred to any one or more of the Proposed Transferees, at the purchase price determined in accordance with subsection (c) below.

(c) The Company may, at any time within sixty (60) days after receipt by the Company of a Sale Notice, elect to purchase the Transfer Interests by giving written notice to the Holder, in accordance with Section 15, at a purchase price equal to the Offered Price (the "Purchase Price"). If the Offered Price includes consideration other than cash, the cash equivalent value of the non-cash consideration shall be determined by the board of directors of the Company in good faith. (d) Payment of the Purchase Price shall be made in cash (by check) within sixty (60) days after the date of the Company's election to purchase the Transfer Interests. (e) If the Transfer Interests are not purchased by the Company as provided herein, then the Holder may sell or otherwise transfer the Transfer Interests to the Proposed Buyer at the Offered Price or at a higher price, provided that such sale or other transfer (i) is consummated within six (6) months after the date of the Sale Notice, and (ii) is in accordance with all the terms of this Agreement and all other agreements between the Holder and the Company. If the Transfer Interests are not transferred to the Proposed Buyer within such six-month period in accordance with the preceding sentence, a new Sale Notice shall be given to the Company, and the Company shall again be offered a right of first refusal under this Section 11 before the Warrant, any portion thereof or any Shares, as the case may be, may be sold or otherwise transferred.

  • Right of Re-Entry Upon the occurrence of a Default, Landlord may elect to terminate this Lease or, without terminating this Lease, terminate Tenant's right to possession of the Premises. Upon any such termination, Tenant shall immediately surrender and vacate the Premises and deliver possession thereof to Landlord. Tenant grants to Landlord the right to enter and repossess the Premises and to expel Tenant and any others who may be occupying the Premises and to remove any and all property therefrom, without being deemed in any manner guilty of trespass and without relinquishing Landlord's rights to Rent or any other right given to Landlord hereunder or by operation of law.

  • Right of Revocation Guarantor understands and agrees that Guarantor may revoke its future obligations under this Guaranty at any time by giving Bank written notice that Guarantor will not be liable hereunder for any indebtedness or obligations of Borrower incurred on or after the effective date of such revocation. Such revocation shall be deemed to be effective on the day following the day Bank receives such notice delivered either by: (a) personal delivery to the address and designated department of Bank identified in subparagraph 1(a) above, or (b) United States mail, registered or certified, return receipt requested, postage prepaid, addressed to Bank at the address shown in subparagraph 1 (a) above. Notwithstanding such revocation, Guarantor shall remain liable on its obligations hereunder until payment in full to Bank of (x) all of the Guaranteed Indebtedness that is outstanding on the effective date of such revocation, and any renewals and extensions thereof, and (y) all loans, advances and other extensions of credit made to or for the account of Borrower on or after the effective date of such revocation pursuant to the obligation of Bank under a commitment or agreement made to or with Borrower prior to the effective date of such revocation. The terms and conditions of this Guaranty, including without limitation the consents and waivers set forth in paragraph 7 hereof, shall remain in effect with respect to the Guaranteed Indebtedness described in the preceding sentence in the same manner as if such revocation had not been made by Guarantor.
