Sellers' Employment. Except as provided below, Sellers shall continue in the employ of AMAX and/or AIT as full time employees for at least three years from the Closing, upon terms, including rate of compensation, that are substantially the same as those applicable to their employment during the fiscal year ended September 30, 2005. They shall continue to perform their duties faithfully and diligently. If a Seller desires to terminate his or her employment within such three year period, he or she shall submit to his or her employer a written plan for the smooth transition of his or her duties to another person, who may or may not then be employed by such Seller's employer, specifying the effective date of the proposed termination, which shall be at least 60 days from the date the plan is submitted, and (except as otherwise provided in Exhibit F regarding the termination of Xxxxx Xxxx'x employment) naming the suggested replacement. A resignation within such period will be subject to the written approval of the Seller's employer and Buyer, provided that the employer and Buyer may not unreasonably withhold or delay such approval.

Sellers' Employment. Except as otherwise provided in the third sentence of Section 10.2 (Sellers' Employment) above, Buyer shall guarantee Sellers to be employed by AMAX and/or AIT, in substantially the same positions, as specified in Exhibit F, and upon substantially the same terms, including, for example, rate of compensation, applicable during the fiscal year ended September 30, 2005, for at least three years from the Closing. A Seller's employment may be terminated by his or her employer if he or she commits a material act of dishonesty related to his or her employer.
Sellers' Employment. If a Seller decides to terminate his employment with Acquirer or its Affiliates, such Seller shall give Acquirer six-month written notice informing of such decision in order to give Acquirer enough time to find his replacement (the “Termination Notice”).

  • Re-employment An employee who resigns their position and within 90 days is re-employed, will be granted a leave of absence without pay covering those days absent and will retain all previous rights in relation to seniority and benefits subject to any benefit plan eligibility requirements.

  • Summer Employment 5.10.1 Summer employment is defined as temporary employment of employees during their non-contract days between the end of one school year and the beginning of the next school year in classifications covered by this agreement. 5.10.2 All terms and conditions of this agreement shall be in force throughout any period of "summer employment" except for any deviations specifically addressed in thissection. 5.10.3 Employees who wish to be employed in summer employment must apply for a position(s) advertised on the district's employment website as temporary summer positions become available. 5.10.4 Employees shall be eligible for summer employment according to the employee's classification, district wide seniority, training, experience, and skills and the needs of the district.

  • Outside Employment Employees may engage in other employment outside of their State working hours so long as the outside employment does not involve a conflict of interest with their State employment. Whenever it appears that any such outside employment might constitute a conflict of interest, the employee is expected to consult with his/her appointing authority or other appropriate agency representative prior to engaging in such outside employment. Employees of agencies where there are established procedures concerning outside employment for the purpose of insuring compliance with specific statutory restrictions on outside employment are expected to comply with such procedures.

  • Part-Time Employment Monthly compensation for part-time employment will be pro-rated based on the ratio of hours worked to hours required for full-time employment. In the alternative, part-time employees may be paid the appropriate hourly rate for all hours worked.

  • Project Employment A. Permanent project employees have layoff rights. Options will be determined using the procedure outlined in Sections 35.9 and 35.10, above. B. Permanent status employees who left regular classified positions to accept project employment without a break in service have layoff rights within the Employer in which they held permanent status to the job classification they held immediately prior to accepting project employment.

  • Secondary Employment A. For any employee entitled to disability leave, the employer shall pay the covered employee compensation in accordance with section 10.2 governing disability leave. B. The employer shall pay compensation for the period that the covered employee is entitled to disability leave for a maximum period of eighteen (18) months, except as set forth in 10.2(b) and 10.3(b). C. The employee shall be eligible for compensation for such disability leave if the employee is temporarily disabled from the duties of the public safety employment that gave rise to the injury, regardless or whether the employee engages in secondary employment, provided that: 1. The secondary employment commenced prior to the injury; 2. The duties of the secondary employment are not likely to cause delay or preclude full recovery and return to work as certified by the FROMS physician and such employment is approved by the Fire Chief. Such requests shall not be unreasonably denied.

  • Supported Employment Natural Supports

  • During Employment During Employee’s employment hereunder, Employee shall not engage, directly or indirectly, as an employee, officer, director, partner, manager, consultant, agent, owner (other than a minority shareholder or other equity interest of not more than 1% of a company whose equity interests are publicly traded on a nationally recognized stock exchange or over-the-counter) or in any other capacity, in any competition with the Company or any of its subsidiaries.

  • Employment Company hereby employs Executive, and Executive hereby accepts such employment, upon the terms and conditions set forth herein.
