Common use of Services Provided Clause in Contracts

Services Provided. (a) Chase will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration Statement, Charter Document and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Board: (i) Fund Administration, (ii) Fund Accounting, and (iii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C and D, respectively, to this Agreement. (b) Chase will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase or a corporate affiliate of Chase); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder in such form and manner as Chase may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase agrees that all such records prepared or maintained by Chase relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase Service Provider will provide the following services subject to the control, direction and supervision of UAMFSI and the Fund's Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration Statement, Charter Document Articles of Incorporation and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Board: (i) Fund Sub-Administration, (ii) Fund Accounting, and (iii) Transfer Agency. Sub-Accounting A detailed description of each of the above services is contained in Schedules B, B and C and D, respectively, to this Agreement. (b) Chase Service Provider will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase Service Provider or a corporate affiliate of ChaseService Provider); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase Service Provider with the approval of UAMFSI, and elected by the Board subject to reasonable Board approvalBoard; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which Service Provider believes are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder in such form and manner as Chase may deem appropriate or advisableset forth in Schedules B and C in accordance with the 1940 Act. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase Service Provider agrees that all such records prepared or maintained by Chase Service Provider relating to the services provided hereunder are the property of UAMFSI and the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at UAMFSI's and/or the Fund's expense, and made available in accordance with such Section and rules. Service Provider further agrees to surrender promptly to UAMFSI or the Fund upon its request and cease to retain in its records and files those records and documents created and maintained by Service Provider pursuant to this Agreement, unless otherwise required by law. Service Provider will provide a copy of such records to UAMFSI, upon request, in a mutually agreed upon electronic format.

Services Provided. (a) Chase X.X. Xxxxxx will provide the following services subject to the control, direction and supervision of MSIM and the Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration Statement, Charter Document and By-Laws; applicable U.S. laws and regulations; and all resolutions and policies implemented by the Board, of which X.X. Xxxxxx has been notified by the Fund: (i) Fund Administration, (ii) Fund Accounting, and (iii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C and D, respectively, to this Agreement. (b) Chase X.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase X.X. Xxxxxx and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder in such form and manner as Chase X.X. Xxxxxx may deem xxxx appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase will provide the following services subject Subject to the control, direction and supervision of the Board FMG LLC and in compliance with the objectives, policies and limitations set forth in the Fund's Trust’s Registration Statement, Charter Document Declaration of Trust and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the BoardTrust, X.X. Xxxxxx will provide the following services: (i) Fund Trust Sub-Administration, (ii) Fund Accounting, Compliance Services; and (iii) Transfer AgencyTrust Accounting. A detailed general description of each of the above services is contained in Schedules B, C B and DC, respectively, to this Agreement. (b) Chase X.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iviii) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (viv) keep records relating to the services provided hereunder contemplated herein in such form and manner as Chase X.X. Xxxxxx may deem xxxx appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund Trust and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's FMG LLC’s expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase X.X. Xxxxxx will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's ’s Registration Statement, Charter Document and By-Laws; applicable U.S. laws and regulations; and all relevant resolutions and policies implemented adopted by the BoardBoard of which X.X. Xxxxxx has been notified by the Transfer Agent; all relevant policies and procedures of the Fund of which X.X. Xxxxxx has been notified by the Transfer Agent; and the prevailing standards applicable to firms in the mutual fund industry providing the types of services described hereunder: (i) Fund Administration, (ii) Fund Accounting, and (iii) Sub-Transfer Agency. Agency Services A detailed description of each of the above services is contained in Schedules B, C and D, respectively, Schedule B to this Agreement. (b) Chase X.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iviii) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and; (viv) keep maintain and retain records relating to the services provided hereunder in such form and manner as Chase X.X. Xxxxxx may deem xxxx appropriate or advisableadvisable and otherwise in accordance with Section 31 of the 1940 Act and the rules thereunder. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund Transfer Agent, held on behalf of the Fund, and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's Transfer Agent’s expense, and made available in accordance with such Section and rules. Further, X.X. Xxxxxx shall provide any and all such records to the Transfer Agent and/or the Fund, promptly upon its or their request and shall return such records to the Transfer Agent, the Fund and/or their designees promptly upon termination of this Agreement; and (v) comply with all applicable laws in connection with its performance under this Agreement.

Services Provided. (a) Chase J.X. Xxxxxx will provide exercise reasonable care and due diligence by providing the following services subject to ACIM with respect to the controlClients, direction and supervision with a detailed description of the Board and in compliance with the objectives, policies and limitations set forth each service appearing in the Fund's Registration Statement, Charter Document and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Boarddesignated Schedules: (i) Fund Administration,Accounting (Schedule B); (ii) Fund AccountingFinancial Reporting, and Tax, and Treasury/Compliance (iii) Transfer AgencySchedule C). A detailed description of each of J.X. Xxxxxx shall provide the above services is contained foregoing Services pursuant to the Service Levels defined in Schedules B, C D and DE, respectively, to this Agreement. (b) Chase J.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase J.X. Xxxxxx or a corporate affiliate of ChaseJ.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iviii) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (viv) keep records relating to the services provided hereunder in such form and manner as Chase J.X. Xxxxxx may deem dxxx appropriate or advisable. To the extent required by Section 31 of the 1940 Investment Company Act and Section 204-2 of the Investment Advisers Act of 1940 and the respective rules thereunder, Chase J.X. Xxxxxx agrees that all such records prepared or maintained by Chase J.X. Xxxxxx relating to the services provided hereunder are the property of the Fund Funds and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Investment Company Act, maintained at the Fund's Funds’ expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase X.X. Xxxxxx will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration StatementTrust’s registration statement(s) relating to the Funds, and its Charter Document and By-Laws; applicable U.S. laws and regulations; and all resolutions and policies implemented by the Board, of which X.X. Xxxxxx has been notified by the Trust: (i) Fund Administration, (ii) Fund Accounting, and (iii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C and D, respectively, Schedule B to this Agreement. (b) Chase X.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iviii) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (viv) keep records relating to the services provided hereunder in such form and manner as Chase X.X. Xxxxxx may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's Funds’ expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration Statement, Charter Document and By-Laws; applicable U.S. laws and regulations; and all resolutions and policies implemented by the Board, of which Chase has been notified by the Fund: (i) Fund Administration, (ii) Fund Accounting, and and (iii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C and D, respectively, to this Agreement. (b) Chase will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase or a corporate affiliate of Chase); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder in such form and manner as Chase may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase agrees that all such records prepared or maintained by Chase relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase will provide the following services subject to the control, direction and supervision of MAS and the Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration Statement, Charter Document and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Board: (i) Fund Administration, (ii) Fund Accounting, and (iii) Transfer Agency. A detailed general description of each of the above services is contained in Schedules B, C and D, respectively, to this Agreement. (b) Chase will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase or a corporate affiliate of ChaseChase ); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase Chase, after consultation with the Fund, and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder contemplated herein in such form and manner as Chase may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase agrees that all such records prepared or maintained by Chase relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase X.X. Xxxxxx will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration StatementTrust’s registration statement(s) relating to the Funds, and its Charter Document and By-Laws; applicable U.S. laws and regulations; and all resolutions and policies implemented by the Board, of which X.X. Xxxxxx has been notified by the Trust: (i) Fund Administration, (ii) Fund Accounting, and (iiiii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C B and DC, respectively, to this Agreement. (b) Chase X.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iviii) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (viv) keep records relating to the services provided hereunder in such form and manner as Chase X.X. Xxxxxx may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's Funds’ expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase will provide the following services subject Subject to the control, direction and supervision of the Board Equitable and in compliance with the objectives, policies and limitations set forth in the Fund's Trust’s Registration Statement, Charter Document Declaration of Trust and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the BoardTrust, X.X. Xxxxxx will provide the following services: (i) Fund Trust Sub-Administration, (ii) Fund Accounting, Compliance Services; and (iii) Transfer AgencyTrust Accounting. A detailed general description of each of the above services is contained in Schedules B, C B and DC, respectively, to this Agreement. (b) Chase X.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iviii) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (viv) keep records relating to the services provided hereunder contemplated herein in such form and manner as Chase X.X. Xxxxxx may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund Trust and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's Equitable’s expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase will provide the following services subject to the control, direction and supervision of MSAM and the Board and in compliance with the objectives, policies and limitations set forth in the Fund's Registration Statement, Charter Document and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Board: (i) Fund Administration, (ii) Fund Accounting, and (iii) Transfer Agency. A detailed general description of each of the above services is contained in Schedules B, C and D, respectively, to this Agreement. (b) Chase will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase or a corporate affiliate of Chase); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder contemplated herein in such form and manner as Chase may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase agrees that all such records prepared or maintained by Chase relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase J.X. Xxxxxx will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's ’s Registration Statement, Charter Document Limited Partnership Agreement, Certificate and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Board, of which J.X. Xxxxxx has been notified by the Fund: (i) Fund Administration, (ii) Fund Accounting, and (iii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C and D, respectively, Schedule B to this Agreement. (b) Chase J.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase J.X. Xxxxxx or a corporate affiliate of ChaseJ.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase J.X. Xxxxxx and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder in such form and manner as Chase J.X. Xxxxxx may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase J.X. Xxxxxx agrees that all such records prepared or maintained by Chase J.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under in Rule 31a-2 under the 1940 Act, maintained at the Fund's ’s expense, and made available in accordance with such Section and rules. Upon reasonable written notice by the Fund, J.X. Xxxxxx will provide copies of Fund documents and reasonable access to its premises for valid Fund purposes, including requests for access by the Fund’s auditors, up to two times per year.

Services Provided. (a) Chase X.X. Xxxxxx will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Trust’s Registration Statement relating to the Fund's Registration Statement, and its Charter Document and By-Laws; applicable U.S. laws and regulations; and all resolutions and policies implemented by the Board, of which X.X. Xxxxxx has been notified by the Trust: (i) Fund Administration, (ii) Fund Accounting, and (iiiii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C B and DC, respectively, to this Agreement. (b) Chase X.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iviii) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (viv) keep records relating to the services provided hereunder in such form and manner as Chase X.X. Xxxxxx may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's ’s expense, and made available in accordance with such Section and rules.

Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase X.X. Xxxxxx or a corporate affiliate of ChaseX.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase X.X. Xxxxxx and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder in such form and manner as Chase X.X. Xxxxxx may deem xxxx appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase X.X. Xxxxxx agrees that all such records prepared or maintained by Chase X.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase J.X. Xxxxxx will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's ’s Registration Statement, Charter Document and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Board, of which J.X. Xxxxxx has been notified by the Fund: (i) Fund Administration,; and (ii) Fund Accounting, and (iii) Transfer Agency. A detailed description of each of the above services service is contained in Schedules B, B and C and D, respectively, to this Agreement. (b) Chase J.X. Xxxxxx will also: (i) provide office facilities with respect to the provision of the services contemplated herein (which may be in the offices of Chase J.X. Xxxxxx or a corporate affiliate of ChaseJ.X. Xxxxxx); (ii) provide the services of individuals to serve as officers of the Fund who will be designated by Chase J.X. Xxxxxx and elected by the Board subject to reasonable Board approval; (iii) provide or otherwise obtain personnel sufficient for provision of the services contemplated herein; (iv) furnish equipment and other materials, which are necessary or desirable for provision of the services contemplated herein; and (v) keep records relating to the services provided hereunder in such form and manner as Chase J.X. Xxxxxx may deem dxxx appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase J.X. Xxxxxx agrees that all such records prepared or maintained by Chase J.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's ’s expense, and made available in accordance with such Section and rules.

Services Provided. (a) Chase J.X. Xxxxxx will provide the following services subject to the control, direction and supervision of the Board and in compliance with the objectives, policies and limitations set forth in the Fund's ’s Registration Statement, Charter Document Limited Partnership Agreement, Certificate and By-Laws; applicable laws and regulations; and all resolutions and policies implemented by the Board, of which J.X. Xxxxxx has been notified by the Fund: (i) Fund Administration, (ii) Fund Accounting, and (iii) Transfer Agency. A detailed description of each of the above services is contained in Schedules B, C and D, respectively, Schedule B to this Agreement. (b) Chase J.X. Xxxxxx may deem appropriate or advisable. To the extent required by Section 31 of the 1940 Act and the rules thereunder, Chase J.X. Xxxxxx agrees that all such records prepared or maintained by Chase J.X. Xxxxxx relating to the services provided hereunder are the property of the Fund and will be preserved for the periods prescribed under Rule 31a-2 under the 1940 Act, maintained at the Fund's ’s expense, and made available in accordance with such Section and rules. Upon reasonable written notice by the Fund, J.X. Xxxxxx will provide copies of Fund documents and reasonable access to its premises for valid Fund purposes, including requests for access by the Fund’s auditors, up to two times per year.
