Servicing Fee; Payment of Certain Expenses by Servicer. As compensation for the performance of its obligations hereunder, the Servicer shall be entitled to receive on each Payment Date the Servicing Fee as provided in Section 4.04. Except to the extent otherwise provided herein, the Servicer shall be required to pay from its servicing compensation all expenses incurred in connection with servicing the Receivables including, without limitation, recovery and collection expenses related to the enforcement of the Receivables (other than those specified in the following proviso), payment of the fees and disbursements of the Rating Agency and independent accountants and all other fees and expenses that are not expressly stated in this Agreement to be payable by the Trustee, the Noteholders, the Note Insurer or the Issuer; provided, however, that the Servicer shall not be liable for any liabilities, costs or expenses of the Trustee, the Noteholders or the Note Insurer arising under any tax law, including without limitation any federal, state or local income or franchise taxes or any other tax imposed on or measured by income (or any interest or penalties with respect thereto or arising from a failure to comply therewith), except as otherwise expressly provided in this Agreement.
Servicing Fee; Payment of Certain Expenses by Servicer. On each Distribution Date, the Servicer shall be entitled to receive out of the Collection Account the Servicing Fee and any Servicer Expenses for the related Collection Period pursuant to Section 8.3(a). Except as otherwise set forth in this Agreement, the Servicer shall be required to pay all expenses incurred by it in connection with its activities under this Agreement and each other Transaction Document.

On each Payment Date, the Servicer shall be entitled to receive out of the Collection Account the Servicing Fee and any late fees, prepayment charges, including any administration fees or similar charges owed by an Obligor under a Receivable, for the related Collection Period pursuant to Section 5.03(b) of the Indenture. The Servicer shall be required to pay all expenses incurred by it in connection with its activities under this Agreement (including taxes imposed on the Servicer, expenses incurred in connection with distributions and reports to Noteholders). The Servicer shall be liable for the fees and expenses of the Independent Accountants.

On each Payment Date, the Servicer shall be entitled to receive out of the Collection Account the Servicing Fee for the related Monthly Period pursuant to Section 4.6. The Servicer shall be required to pay all expenses incurred by it in connection with its activities under this Agreement (including taxes imposed on the Servicer and expenses incurred in connection with distributions and reports made by the Servicer to Noteholders or the Security Insurer). In addition, FEFG, as Servicer, and any successor to FEFG pursuant to Section 7.2(a), shall be liable for all other taxes, fees and expenses of the Issuer.

Servicing Fee; Payment of Certain Expenses by Servicer. On each Monthly Payment Date, the Servicer shall be entitled to receive out of the Collection Account the Servicing Fee pursuant to Section 5.6. The Servicer shall be required to pay all expenses incurred by it in connection with its activities under this Agreement (including taxes imposed on the Servicer, expenses incurred in connection with distributions and reports made by the Servicer to the Series C2002-1 Debtholders and all other fees and expenses of (except taxes of or payable by) the Trustee, the Indenture Trustee, the Backup Servicer, the Depository Bank and the Independent Accountants). The Servicer shall be liable for the fees and expenses of the Trustee, the Indenture Trustee, the Backup Servicer, the Depository Bank (and any fees under the Depository Account Agreement) and the Independent Accountants.
Servicing Fee; Payment of Certain Expenses by Servicer. The Servicer is entitled to receive the Servicing Fee out of collections in respect of the COLT 200_-__ Secured Notes. The Servicer shall also be entitled to Investment Earnings as, and to the extent, set forth in the Further Transfer and Servicing Agreements. Subject to any limitations on the Servicer's liability under the Further Transfer and Servicing Agreements, the Servicer shall be required to pay all expenses incurred by it in connection with its activities under this Agreement and under the Further Transfer and Servicing Agreements (including fees and disbursements of the Issuer, any trustees and independent accountants, taxes imposed on the Servicer, expenses incurred in connection with distributions and reports to holders of Securities and all other fees and expenses not expressly stated under this Agreement or the Further Transfer and Servicing Agreements to be for the account of the holders of Securities).
Servicing Fee; Payment of Certain Expenses by Servicer. On each Settlement Date, the Servicer shall to the extent provided in the Security Agreement be entitled to receive out of the Collection Account the Servicing Fee for the related Settlement Period. The Servicer shall be required to pay all expenses incurred by it in connection with its activities under this Agreement (including taxes imposed on the Servicer, expenses incurred in connection with distributions and reports made by the Servicer to the Secured Parties, except taxes levied or assessed against the Purchaser, and claims against the Purchaser in respect of indemnification, which taxes and claims in respect of indemnification against the Purchaser are expressly stated to be for the account of the Servicer subject to the terms of the Master Receivables Purchase Agreement) without reimbursement pursuant to Section 6.4 of the Security Agreement.
Servicing Fee; Payment of Certain Expenses by Servicer. As compensation for the performance of its obligations hereunder, the Servicer shall be entitled to receive on each Distribution Date the Servicing Fee. The Servicing Fee in respect of a Collection Period shall be calculated based on a 360-day year comprised of twelve 30-day months. In addition, the Servicer shall also be entitled to receive as additional servicing compensation all late fees, prepayment charges and other administrative fees and expenses or similar charges (other than extension fees) allowed by applicable law with respect to the Receivables, collected (from whatever source) on the Receivables; provided, however, such fees shall not form a part of the Servicing Fee and the Servicer shall be entitled to such fees as and when collected. The Servicer shall pay all expenses incurred by it in connection with the activities under this Agreement (including fees and disbursements of the independent accountants, taxes imposed on the Servicer, expenses incurred in connection with distributions and reports to Securityholders and all other fees and expenses not expressly stated under this Agreement to be for the account of the Securityholders), except expenses incurred in realizing upon Receivables under Section 3.04.
Servicing Fee; Payment of Certain Expenses by Servicer. As compensation for the performance of its obligations hereunder, the Servicer shall be entitled to receive on each Payment Date the Servicing Fee as provided in Section 4.04. Except to the extent otherwise provided herein, the Servicer shall be required to pay, whether or not it is receiving any servicing compensation, all expenses incurred in connection with servicing the Consumer Receivables including, without limitation, recovery and collection expenses related to the enforcement of the Consumer Receivables (other than those specified in the following proviso), payment of all fees and expenses that are not expressly stated in this Agreement to be payable by the Administrative Agent, the Lenders or the Issuer; provided, however, that the Servicer shall not be liable for any liabilities, costs or expenses of the Lenders arising under any tax law, including without limitation any federal, state or local income or franchise taxes or any other tax imposed on or measured by income (or any interest or penalties with respect thereto or arising from a failure to comply therewith), except as otherwise expressly provided in this Agreement. In the event that, commencing August 31, 2000, and on the last day of each February and August thereafter, the cumulative amount of Net Proceeds (calculated without subtracting Third-Party Fees up to the maximum amount thereof permitted to be incurred as set forth in the definition of Net Proceeds) in respect of all Consumer Receivables from August 2, 1999 to such dates is not at least equal to the amounts specified in Exhibit D applicable to such dates, the Servicing Fee --------- shall thereafter be reduced to thirty percent (30%) of Net Proceeds.
