Shareholder and Trustee Liability. The Fund's Declaration of Trust contains an express disclaimer of shareholder or Trustee liability for the Fund's obligations. It also provides for indemnification and reimbursement of expenses out of the Fund's property for any shareholder held personally liable for its obligations. The Declaration of Trust also states that upon request, the Fund shall assume the defense of any claim made against a shareholder for any act or obligation of the Fund and shall satisfy any judgment on that claim. Massachusetts law permits a shareholder of a business trust (such as the Fund) to be held personally liable as a "partner" under certain circumstances. However, the risk that a Fund shareholder will incur financial loss from being held liable as a "partner" of the Fund is limited to the relatively remote circumstances in which the Fund would be unable to meet its obligations. The Fund's contractual arrangements state that any person doing business with the Fund (and each shareholder of the Fund) agrees under its Declaration of Trust to look solely to the assets of the Fund for satisfaction of any claim or demand that may arise out of any dealings with the Fund. Additionally, the Trustees shall have no personal liability to any such person, to the extent permitted by law.

Shareholder and Trustee Liability. The Trust is an entity of the type commonly known as a "business trust" and is organized under Chapter 1746 of the Ohio Revised Code which limits the liability of its shareholders to the assets of the Trust. The Declaration of Trust also provides that shareholders shall not be subject to any personal liability for the acts or obligations of the Trust and that every agreement, obligation or instrument entered into or executed by the Trust shall contain a provision to the effect that the shareholders are not personally liable thereunder. The Trust has been advised by counsel that courts in jurisdictions other than Ohio should apply Ohio law in determining the liability of shareholders of the Trust and that shareholder liability accordingly will be limited to the assets of the Trust. The Declaration of Trust further provides that no Trustee, officer or agent of the Trust shall be personally liable to any person for any action or failure to act except for his own bad faith, willful misfeasance, gross negligence or reckless disregard of his duties. It also provides that all persons having any claim against the Trustees or the Trust shall look solely to the Trust's property for payment. The Trust is registered with the Securities and Exchange Commission as a management investment company. Such registration does not involve supervision by the Securities and Exchange Commission of the management or policies of the Trust.

  • No Personal Liability of Shareholders, Trustees, etc No Shareholder of the Trust shall be subject in such capacity to any personal liability whatsoever to any Person in connection with Trust Property or the acts, obligations or affairs of the Trust.
