Specifications of Services. The Contractor shall collect Refuse and Recyclables from Town residents in the Yorktown Garbage and Refuse District for only those Service Stops and set forth on Appendixes F and G, and Appendices A-C. The Price is based on the number of Service Stops and Municipal Stops that exist on the date of this Agreement. The Contractor shall meet with the Town Board on a quarterly basis, or more frequently as needed, to review the performance of this Agreement. The Town Attorney will advise the Contractor when such meetings are scheduled. Contractor shall abide by the schedule of pickups set forth on the Town’s website, as updated from time to time by the Refuse and Recycling Department. A. Refuse Collection i. Service Stops and Municipal Stops: a. Service Stops listed in Appendixes F and G. b. Municipal Stops listed on Appendix A; c. Curbside Service at each Service Stop on streets and developments where there is no Town-approved Multi- Family Common Collection Area (includes Fee Simple Ownership Condominium Complexes and/or Homeowner Association Complexes listed on Appendix B); and ii. Route and Schedules of Refuse Collection: a. Refuse collection at the Service Stops and Municipal Stops shall be two (2) times per week. Refuse collection days must be separated in time by at least forty-eight (48) hours. b. By December 1st of the preceding year, the Contractor shall provide to the Town's Refuse and Recycling Department office a schedule to guarantee exact days of service, including holiday make-up service to insure the required number of collections per week. Such schedule shall also indicate the rates for Special Services. c. The Contractor will also be responsible for outreach to residents for holiday schedule changes. The schedule will · be subject to approval by the Town Board. d. Contractor shall provide the Town at all times with the details of individual daily collection route schedules and keep such information current. Prompt notice of any route changes must be provided to the Town in advance of a particular day’s route begins. In the event of changes in routes or schedules that will alter the day of pickup, the Contractor shall so notify each customer affected in a manner approved by the Town, including, but not limited to by mail and news media at least ninety (90) days prior to the change. Failure to comply with the requirements of this subsection will result in the imposition of penalties in accordance with the penalty provisions of 2.4.5 herein. e. C...

  • Supply of Services 7.1 Supplier shall provide the Services to Purchaser in accordance with the Order in all material respects using reasonable care and skill. 7.2 Supplier shall use reasonable endeavours to meet any performance dates for the Services specified in the Order but any dates shall be estimates only and time shall not be of the essence for the performance of the Services. 7.3 Supplier shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirements or which do not materially affect the nature or quality of the Services. 7.4 Purchaser shall: (a) ensure that the terms of Order are complete and (if submitted by Purchaser) the service specification are complete and accurate; (b) co-operate with Supplier in all matters relating to the Services; (c) provide Supplier, its employees, agents, consultants and subcontractors with access to Purchaser’s premises, machinery and other facilities as reasonably required by Supplier to provide the Services; and (d) provide Supplier with such information and materials as Supplier may reasonably require to supply the Services, and ensure that such information is accurate in all material respects. 7.5 If Supplier’s performance of any of its obligations in respect of the Services is prevented or delayed by an any act or omission by Purchaser or failure by Purchaser to performs its obligations (“Purchaser Default”) Supplier shall without limiting its other rights or remedies have the right to suspend performance of the Services until Purchaser remedied Purchaser Default and relieves Supplier from its obligations to the extent the Customer Default prevents or delays Supplier’s performance. Purchaser shall indemnify Supplier against all liabilities costs, losses and expenses which Supplier may incur by reason of Purchaser Default. 7.6 Where the Services consist of any experimental or developmental work, the results supplied or recommendations made under the Services are given in good faith within the limitations of the data available, but no warranty, expressed or implied, is given as to the ability of Supplier to achieve a specific outcome, nor the accuracy of results obtained. 7.7 Any claims by Purchaser which is based on defect in the Services shall be notified to Supplier within twenty-one (21) days of the services being performed and promptly after discovery of defect or failure. The sole and exclusive remedy of Purchaser for such defect hereunder shall be the re-performance or re- fund, at Supplier’s option, of any defective or non-conforming Services.

  • Quality of Services (a) The Consultant shall be responsible for the professional quality, technical accuracy, and the coordination of all designs, drawings, specifications, and other services furnished pursuant to this Agreement. (b) To that end, the Consultant shall correct or shall revise, without additional compensation, any errors or omissions in its work product or shall make such revisions as are necessary as the result of the failure of the Consultant to provide an accurate, more efficient, and properly constructable product in its designs, drawings, specifications, or other services. (c) The County's review/approval/acceptance of or payment for the services required by this Agreement shall NOT be construed to operate as a waiver of any rights or of any cause of action arising out of the performance of this Agreement. Additionally, the Consultant shall be and remain liable to the County in accordance with applicable law for all damages to the County caused by the Consultant's negligent performance of any of the services furnished under this Agreement. (d) The rights and remedies of the County provided for under this Agreement are in addition to any other rights and remedies otherwise provided by law.

  • Description of Goods or Services and Additional Terms and Conditions The Contractor shall perform as set forth in Exhibit A. For purposes of this Contract, to perform and the performance in Exhibit A is referred to as “Perform” and the “Performance.”

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs. Likewise if such Hosting contributes to or directly causes a Security Incident, Supplier shall be responsible for the obligations set forth in Appendix 1, as applicable. 14 Change Management

  • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.
