Common use of Statements of Work Clause in Contracts

Statements of Work. 3.1 Each Statement of Work shall be agreed in the following manner: (a) the Customer shall ask the Supplier to provide any or all of the Available Services and provide the Supplier with as much information as the Supplier reasonably requests in order to prepare a draft Statement of Work for the Available Services requested; (b) following receipt of the information requested from the Customer the Supplier shall, as soon as reasonably practicable either: (i) inform the Customer that it declines to provide the requested Available Services; or (ii) provide the Customer with a draft Statement of Work. (c) if the Supplier provides the Customer with a draft Statement of Work pursuant to Clause 3.1(b)(ii), the Supplier and the Customer shall discuss and agree that draft Statement of Work; and (d) both parties shall sign the draft Statement of Work when it is agreed. 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier may charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s daily fee rates as set out in Schedule 3. 3.4 Once a Statement of Work has been agreed and signed in accordance with Clause 3.1(d), no amendment shall be made to it except in accordance with Clause 8 (Change control) or Clause 19 (Variation). 3.5 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.

(c) if the Supplier provides the Customer with a draft Statement of Work pursuant to Clause 3.1(b)(ii3.1(b), the Supplier and the Customer shall discuss and agree that draft Statement of Work; and (d) both parties Parties shall sign the draft Statement of Work when it is agreed. 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier may charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s 's daily fee rates as set out in Schedule 3rates. 3.4 3.3 Once a Statement of Work has been agreed and signed in accordance with Clause 3.1(d), no amendment shall be made to it except in accordance with Clause 8 19 (Change controlRequest) or Clause 19 (Variation)2.3. 3.5 3.4 Each Statement of Work Work: (a) shall incorporate and be part of governed by this agreement and Agreement; and (b) shall not form a separate contract between the Parties. 3.5 A purchase order constitutes an offer by the Customer to itpurchase Services and Goods in accordance with the terms and conditions of this Agreement. It shall only be deemed to be accepted when the Supplier gives notice of acceptance of the purchase order.

Statements of Work. 3.1 Each Statement of Work shall be agreed in the following manner: (a) the Customer shall ask the Supplier Smart Co to provide any or all of the Available Services and provide the Supplier Smart Co with as much information as the Supplier Smart Co reasonably requests in order to prepare a draft Statement of Work for the Available Services requested; (b) following receipt of the information requested from the Customer the Supplier Smart Co shall, as soon as reasonably practicable either: (i) inform the Customer that it declines to provide the requested Available Services; or (ii) provide the Customer with a draft Statement of Work. (c) Work if the Supplier Smart Co provides the Customer with a draft Statement of Work pursuant to Clause 3.1(b)(iiclause (i), the Supplier Smart Co and the Customer shall discuss and agree that draft Statement of Work; and (dc) both parties shall sign the draft Statement of Work when it is agreed. 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier Smart Co may charge for the preparation and scoping of Statements of Work on a time and materials basis in accordance with the Supplier’s Smart Co's daily fee rates as set out in Schedule 31 or in a SoW. Any such charges will be agreed between the parties in advance. 3.4 Once a Statement of Work has been agreed and signed in accordance with Clause 3.1(d)Smart Co has commenced the Works, no amendment shall be made to it except in accordance with Clause 8 (the Change control) Control or Clause 19 (Variation)Variation sections of this Agreement. 3.5 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.

Statements of Work. 3.1 Each Statement of Work shall be agreed in the following manner: (a) the Customer shall ask make a request in writing to the Supplier Service Provider to provide any or all of the Available Services and provide p rovide the Supplier Service Provider with as much information as the Supplier Service Provider reasonably requests in order to prepare a draft Statement of Work for the Available Services requestedenable it to do so ; (b) following receipt of the information requested from the Customer the Supplier Service Provider shall, as soon as reasonably practicable either: (i) inform the Customer that it declines to provide the requested Available Services; or (ii) provide the Customer with a draft Statement of WorkWork in writing . (c) if the Supplier Service Provider provides the Customer with a draft Statement of Work pursuant to Clause clause 3.1(b)(ii)) , the Supplier Service Provider and the Customer shall correspond in writing, discuss and agree that draft Statement of Work; and (d) both parties shall sign accept and agree to the terms of the draft Statement of Work in writing when it is agreed. 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier may charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s daily fee rates as set out in Schedule 3. 3.4 Once a Statement of Work has been agreed and signed in accordance writing in accorda nce with Clause clause 3.1(d)) , no amendment shall be made to it except in accordance a ccordance with Clause 8 clause 4 (Change control) or Clause 19 clause 25 (Variation)variation) . 3.5 3.4 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.

(c) if the Supplier provides the Customer with a draft Statement of Work pursuant to Clause 3.1(b)(iiclause (ii), the Supplier and the Customer shall discuss and agree that draft Statement of Work; and (d) both parties shall sign the draft Statement of Work when it is agreed. 3.2 Unless otherwise agreedagreed in a Statement of Work, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier may charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s 's daily fee rates as set out in Schedule 3, although it will use reasonable endeavours to give fixed fees where possible and let the Customer know in advance of any charges. 3.4 Once a Statement of Work has been agreed and signed in accordance with Clause clause 3.1(d), no amendment shall be made to it except in accordance with Clause clause 8 (Change control) or Clause clause 19 (Variation). 3.5 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.

Statements of Work. 3.1 Each Statement of Work shall be agreed in the following manner: (a) the Customer shall ask the Supplier to provide any or all of the Available Services and provide the Supplier with as much information as the Supplier reasonably requests in order to prepare a draft Contract incorporating the Statement of Work for the Available Services requested; (b) following receipt of the information requested from the Customer the Supplier shall, as soon as reasonably practicable either: (i) inform the Customer that it declines to provide the requested Available Services; or (ii) provide the Customer with a draft Statement of Work. (c) if the Supplier provides the Customer with a draft Statement of Work Contract pursuant to Clause clause 3.1(b)(ii), the Supplier and the Customer shall discuss and agree that draft Statement of Workthe Contract terms; and (d) both parties shall sign sign-off the draft Statement of Work SOW when it is agreed.; 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier may charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s 's daily fee rates as set out in Schedule 32. 3.4 Once a Statement of Work Contract has been agreed and signed in accordance with Clause clause 3.1(d), no amendment shall be made to it except in accordance with Clause 8 clause 7 (Change control) or Clause 19 clause 18 (Variation). 3.5 Each Statement of Work shall be part of this agreement and the order of precedence should a conflict between the terms of this framework agreement and the SOW arise shall not form a separate contract to itbe dealt with in accordance with clause 23.

Statements of Work. 3.1 Each Statement of Work shall be agreed in the following manner: (a) the Customer shall ask the Supplier Altinet to provide any or all of the Available Services and provide the Supplier Altinet with as much information as the Supplier Altinet reasonably requests in order to prepare a draft Statement of Work for the Available Services requested; (b) following receipt of the information requested from the Customer the Supplier Altinet shall, as soon as reasonably practicable either: (i) inform the Customer that it declines to provide the requested Available Services; or (ii) provide the Customer with a draft Statement of Work. (c) if the Supplier Altinet provides the Customer with a draft Statement of Work pursuant to Clause 3.1(b)(iiclause (ii), the Supplier Altinet and the Customer shall discuss and agree that draft Statement of Work; and (d) both parties shall sign the draft Statement of Work when it is agreed. 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier Altinet may charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s Altinet's daily fee rates as set out in Schedule 3published online at the web address notified to the Customer from time to time by Altinet. 3.4 Once a Statement of Work has been agreed and signed in accordance with Clause clause 3.1(d), no amendment shall be made to it except in accordance with Clause 8 (the provisions of this agreement relating to Change control) control pursuant to clause 17 or Clause 19 (Variation)a Variation pursuant to clause 29.3. 3.5 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.

(c) if the Supplier provides the Customer Client with a draft Statement of Work pursuant to Clause 3.1(b)(ii)clause Error! Reference source not found., the Supplier and the Customer Client shall discuss and agree that draft Statement of Work; and; (d) both parties shall sign the draft Statement of Work when it is agreed. (e) the Supplier requires a purchase order to be able to secure resource for the Client and commence the Works 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Chargesprevailing Rate Card. 3.3 The Supplier may will charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s daily fee rates as set out in Schedule 3Suppliers Rate Card. 3.4 Once a Statement of Work has been agreed and signed in accordance with Clause 3.1(d)clause 0, no amendment shall be made to it except in accordance with Clause 8 (Change control) clause 7 or Clause 19 (Variation)clause 20. 3.5 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.
