Sow Services. Supplier will provide, on the terms and conditions set out in the Agreement as supplemented and modified by the terms and conditions of this SOW, the following Services (the “SOW Services”): (a) the [X] Services, as described in Section 2.2; and (b) all other services and obligations of Supplier set out in this SOW (including the SOW Business Continuity Planning Services and SOW Transition Assistance Services).

Sow Services. Consultant shall invoice UConn for any SOW Services in the manner provided in the correlating SOW.
Sow Services. (a) GT Software shall provide SOW Services to Customer as mutually agreed on a Statement of Work (“Statement of Work” or “SOW”). All Professional Services are provided on a time and materials basis, at Time and Materials Rates, and are subject to availability of GT Software Personnel. GT Software does not guarantee that SOW Services performed on a time and materials basis can be fully performed for any “not to exceed” or maximum price set forth in the Statement of Work. GT Software shall assign an adequate number of Personnel to perform the SOW Services. GT Software will charge a premium of one and one half (1.5) times the relevant contracted rate for any SOW Services work that is performed on weekends or during a GT Software published holiday. Should Customer cancel or delay previously scheduled work less than seven calendar days prior to its start date, Customer shall be responsible for the fees for any resources that GT Software is unable to fully redeploy as well as any non-refundable travel expenses that GT Software incurs.
Sow Services. Any Service(s) may be provided at SCC’s request at any time in accordance with the provisions of this Agreement by the execution by both Parties of mutually agreed upon SOW(s). Unless a SOW is duly executed by authorized personnel of SCC and Supplier, neither Party shall be bound by it. Supplier will perform the Services (and deliver any Deliverables specified therein) for not more than the maximum charge specified in the applicable SOW(s).

  • Customer Services Customer Relationship Management (CRM): All aspects of the CRM process, including planning, scheduling, and control activities involved with service delivery. The service components facilitate agencies’ requirements for managing and coordinating customer interactions across multiple communication channels and business lines. Customer Preferences: Customizing customer preferences relative to interface requirements and information delivery mechanisms (e.g., personalization, subscriptions, alerts and notifications).

  • Internet Services Transfer Agent shall make available to Fund and Shareholders, through its web sites, including but not limited to xxx.xxxxxxxxxxxxx.xxx (collectively, “Web Site”), online access to certain Account and Shareholder information and certain transaction capabilities (“Internet Services”), subject to Transfer Agent’s security procedures and the terms and conditions set forth herein and on the Web Site. Transfer Agent provides Internet Services “as is,” on an “as available” basis, and hereby specifically disclaims any and all representations or warranties, express or implied, regarding such Internet Services, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Transfer Agent shall at all times use reasonable care in performing Internet Services under this Agreement.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • SPECIAL SERVICES Should the Trust have occasion to request the Adviser to perform services not herein contemplated or to request the Adviser to arrange for the services of others, the Adviser will act for the Trust on behalf of the Fund upon request to the best of its ability, with compensation for the Adviser's services to be agreed upon with respect to each such occasion as it arises.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.
