STATE’S RIGHT TO REJECT. The State reserves the right to reject any person or entity from performing the work or services contemplated by this Agreement, who present insufficient skills or inappropriate behavior. CONFLICT OF INTEREST: Sub-Recipient agrees to establish safeguards to prohibit any employee or other person from using their position for a purpose that constitutes or presents the appearance of personal or organizational conflict of interest, or personal gain as contemplated by SDCL 5-18A-17 through 5-18A-17.6. Any potential conflict of interest must be disclosed in writing and approved, in writing, by the State. In the event of a conflict of interest, the Sub-Recipient expressly agrees to be bound by the conflict of interest resolution process set forth in SDCL § 5-18A-17 through 5-18A-17.6.
STATE’S RIGHT TO REJECT. A Quote may be rejected if it is conditional or incomplete, or if it contains any alterations of form or other irregularities of any kind. The State may reject all Quotes and may waive any immaterial deviation in a Quote/quotation. The State’s waiver immaterial defect shall in no way modify the RFQ document or excuse the proposing firm from full compliance with all requirements if awarded the agreement. CalVet reserves the right to reject all Quotes at its sole discretion. If all Quotes are too high, CalVet is not required to award an agreement (PCC 10344(d), 10377(d)).

This would include, but is not limited to insurance companies with an "Omit” rating in the A. M. Best insurance rating guide.

SEVERABILITY: In the event that any court of competent jurisdiction shall hold any provision of this Agreement unenforceable or invalid, such holding shall not invalidate or render unenforceable any other provision hereof.
