Resolution Process definition

Resolution Process means the insolvency resolution process of a guarantor;
Resolution Process means the process in which a Support Request is resolved.
Resolution Process means, with respect to any condition, limitation or qualification that if imposed by a Governmental Entity in connection with any permit, order, consent, approval or authorization relating to the consummation of the transactions contemplated by the Transaction Agreements would result in a Burdensome Condition, a process by which Seller, Buyer Parent and Reinsurer Parent ( will meet in order to: (i) exchange and review their respective views as to such condition, limitation or qualification; (ii) discuss in good faith potential approaches that would avoid such condition, limitation or qualification or mitigate its impact; and (iii) negotiate in good faith to agree to modify the terms of this Agreement or the other Transaction Agreements, on mutually acceptable terms and on an equitable basis, in a way that would substantially eliminate any such condition, limitation or qualification or sufficiently mitigate its adverse effect so that it would no longer constitute a Burdensome Condition hereunder.

Examples of Resolution Process in a sentence

  • The laws of Texas, U.S.A., without regard to its conflict of laws rules, shall explicitly apply to any Dispute arising out of or relating to this Agreement or our Services, and the Dispute Resolution Process set forth in Section 15 shall be governed by the Federal Arbitration Act.

Resolution Process means, with respect to any condition, limitation or qualification that if imposed by a Governmental Authority in connection with any Permit, order, consent, approval or authorization relating to the consummation of the transactions contemplated by the Transaction Agreements would result in a Burdensome Condition, a process by which the Ceding Company and the Reinsurer will meet in order to: (a) exchange and review their respective views as to such condition, limitation or qualification; (b) discuss in good faith potential approaches that would avoid such condition, limitation or qualification or mitigate its impact; and (c) negotiate in good faith with respect to any potential modification of the terms of this Agreement or the other Transaction Agreements, on mutually acceptable terms and on an equitable basis, in a way that would substantially eliminate any such condition, limitation or qualification or sufficiently mitigate its adverse effect so that it would no longer constitute a Burdensome Condition hereunder; provided that neither the Ceding Company nor the Reinsurer shall be required to enter into an amendment or modification of this Agreement or any other Transaction Agreement solely by virtue of engaging in such Resolution Process.
Resolution Process has the meaning set forth in Section 5.5(e).
Resolution Process means, with respect to any condition, limitation, restriction or requirement that would reasonably be likely to result in a Burdensome Condition, that, prior to Purchaser being entitled to invoke the actual or potential existence of a Burdensome Condition, Purchaser and Life Reinsurer shall: (1) provide Seller with all information reasonably requested by it to enable Seller to analyze the causes and potential implications of such condition and effect; and (2) meet with Seller in order to: (x) exchange and review their and Seller’s views as to such condition, limitation, restriction or requirement; (y) discuss any potential approaches that would avoid such condition, limitation, restriction or requirement or mitigate its impact; and (z) negotiate in good faith to attempt to agree to modify the transactions contemplated hereby, on mutually acceptable terms and on an equitable basis in a way that would substantially eliminate any such condition, limitation, restriction or requirement or sufficiently mitigate its adverse impact so that it would no longer constitute a Burdensome Condition; it being understood and agreed that if reasonable steps can be identified to avoid such effect or condition or sufficiently mitigate the negative impact thereof, Purchaser and Life Reinsurer will take, or cause their Affiliates to take, as applicable, all such reasonable steps.
Resolution Process means a negotiation, mediation, or other voluntary process for resolving issues,
Resolution Process means the tikanga based resolution process for CNI Forests Land set out in this Schedule.
Resolution Process means the method used to present the motions to authorize or direct an action;
Resolution Process means a method other than an ADRP used to resolve IRS Abuse Claims outside the litigation process.
