Sub-contracting and delegationThe Exchange may delegate or sub-contract the performance of any of its functions in connection with the Channels, Security Tokens and/or Digital Payment Tokens.
Sub-contracting and delegation. 10.1 The Administrator shall be entitled, with the prior written consent of the Debt Guarantor, at the cost of the Administrator and in instances where the services or advice of experts is required, to appoint experts to render specific services, including – 10.1.1 financial administration; 10.1.2 legal services; 10.1.3 tax consulting services; and/or 10.1.4 information technology services. 10.2 Should the Administrator appoint any experts in accordance with the provisions of clause 10.1 above, the Administrator shall not thereby be released or discharged from any liability in terms of this Agreement and shall remain responsible for the advice and assistance rendered by such expert.
Sub-contracting and delegation. 6.1 The Seller must not delegate or sub-contract any or all of the Seller’s obligations under any Contract without the Buyer’s consent in writing. 6.2 Any delegation or sub-contracting permitted under clause ISSUE NO 01-03 -2014 6.1 must be made subject to such terms and conditions as determined by the Buyer, and unless otherwise agreed by the Buyer in writing, the Seller will remain primarily liable for any obligation so delegated or sub-contracted. 6.3 The Seller must provide to the Buyer copies of all orders of work delegated or sub-contracted in accordance with clause 6.2 on the day following the placing of such orders, which must include the Buyer’s Purchase Order number.

Sub-contracting and delegation. 15.1 Subject to the other provisions of this section, the Council and Canada may subcontract or delegate any of their functions or activities under this Agreement to any third party, including any subcontractor, delegate or agent. The parties acknowledge that they will remain responsible to the other for the performance of all such subcontracted or delegated functions or activities. 15.2 Where statutory authority to act on behalf of a Federal Department is delegated to the Council, as in the case of delegated authority under sections 53 or 60 of the Indian Act to administer lands, the Council shall not delegate any of that authority. 15.3 If the Council wishes to subcontract or delegate all or a substantial part of its functions or activities under this Agreement to a third party, including an Agency, it will first discuss the matter with Canada in order that the parties can discuss and plan how the Council will maintain effective control over those functions and activities and to ensure that the third party complies with all requirements of this Agreement on behalf of the Council.

  • Subcontracting and Assignment The School Bus Operator shall not sub-contract, transfer or assign this Contract or any part of this Parent Agreement without the prior written consent of the School. The School Bus Operator shall be responsible for the acts, defaults, neglects or omissions of any assignee or subcontractor, their agents, servants or workmen as fully as if they were the acts, defaults, neglects or omissions of the School Bus Operator.

  • Assignment and Delegation The Contractor may assign rights and may delegate duties under this Agreement to other individuals or entities acting as a subcontractor (“Subcontractor”). The Contractor recognizes that they shall be liable for all work performed by the Subcontractor and shall hold the Client harmless of any liability in connection with their performed work.

  • SUB-CONTRACTING AND ASSIGNMENT 18.1 Subject to clause 18.3, neither party shall assign, novate, subcontract or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority, such consent not to be unreasonably withheld. 18.2 In the event that the Supplier enters into any Sub-Contract in connection with this agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Contractor and be responsible for the acts omissions and neglects of its Sub-Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s Authorised Representative. 18.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement to any other body which substantially performs any of the functions that previously had been performed by the Authority.

  • Subcontracting; Assignment The Contractor may not subcontract any portion of the services provided under this Contract without obtaining the prior written approval of the Procurement Officer, nor may the Contractor assign this Contract or any of its rights or obligations hereunder, without the prior written approval of the Procurement Officer provided, however, that a contractor may assign monies receivable under a contract after due notice to the State. Any subcontracts shall include such language as may be required in various clauses contained within this Contract, exhibits, and attachments. The Contract shall not be assigned until all approvals, documents, and affidavits are completed and properly registered. The State shall not be responsible for fulfillment of the Contractor’s obligations to its subcontractors.

  • HUB Subcontracting Plan The Owner has adopted Exhibit H, Policy on Utilization of Historically Underutilized Business ("Policy"), which is incorporated herein by reference. Contractor, as a provision of the Agreement must comply with the requirements of the Policy and adhere to the HUB Subcontracting Plan submitted with Contractor's Proposal and attached as Exhibit I. No changes to the HUB Subcontracting Plan can be made by the Contractor without the prior written approval of the Owner in accordance with the Policy.

  • Subcontracting 6.1 The Grantee is responsible for the performance of its obligations under this Agreement, including in relation to any tasks undertaken by subcontractors. 6.2 The Grantee agrees to make available to the Commonwealth the details of any of its subcontractors engaged to perform any tasks in relation to this Agreement upon request.

  • Assignment; Delegation The Contract shall be binding upon and ensure to the benefit of the City and the Contractor and their respective successors and assigns, provided however, that no right or interest in the Contract shall be assigned and no obligation shall be delegated by the Contractor without the prior written consent of the City. Any attempted assignment or delegation by the Contractor shall be void unless made in conformity with this paragraph. The Contract is not intended to confer rights or benefits on any person, firm or entity not a party hereto; it being the intention of the parties that there are no third party beneficiaries to the Contract.

  • Sham Contracting and Anti-Wage Theft The Parties acknowledge the importance of complying with all applicable laws prohibiting sham contracting and wage theft including, but not limited to, the: (a) Fair Work Act; (b) Wage Theft Act 2020 (Vic) (c) Modern Slavery Act 2018 (Cth); and (d) Independent Contractors Act 2006 (Cth).
