Subject to Clause 2. 2, the Supplier shall at the request of the Buyer promptly and efficiently undertake and complete a Technical Transfer to the Transferee to enable the Transferee to establish and conduct cGMP manufacture of the Products."
Subject to Clause 2. 3.1, this Agreement shall commence on the date of DS3 System Services Regulated Arrangements Go-Live and continue in full force and effect until the 30th of April 2023 unless terminated in accordance with Clause 8 (Termination).This Framework Agreement commences and takes legal effect, on and from DS3 System Services Go-Live and continues in full force and effect for a period of not less than 12 months from DS3 System Services Go-Live and shall end at the expiry of that 12 month period unless terminated or otherwise agreed between the Parties in accordance with this Agreement.
Subject to Clause 2. 02, the provisions of this Agreement apply as specified in Article 4 to all Employees of the Employer hired pursuant to Section 17(1) or Section 26 of the Public Service Act except those excluded pursuant to the Public Service Employee Relations Act or by the mutual agreement of the Parties at the time of signing or during the life of this Agreement or excluded by the Public Service Employee Relations Board.

Subject to Clause 2. 3.3, the quorum for meetings of the Board shall be two (2) Directors, and shall include at least one (1) Director nominated by PAL and at least one (1) Director nominated by Media Port. A quorum must be present at the beginning of and throughout each meeting. At every meeting of the Directors the chairman of the Board shall preside as chairman of the meeting. If there is not a chairman of the Board or if the chairman of the Board is not present at the meeting, the Directors present shall choose someone of their number to be chairman of the meeting.
Subject to Clause 2. 10.3, the Borrower and the Agent shall each use all reasonable endeavours to procure that its respective counsel which are to be the providers of the Master Opinions confirm in their relevant Master Opinion that in relation to any Further Utilisation that if the Utilisation Documentation which relates to the relevant Further Utilisation ("FURTHER UTILISATION DOCUMENTATION") is in the same form (mutatis mutandis) as the previous Utilisation which was the subject of the relevant Master Opinion and the Borrower gives its certificate in accordance with Clause 3.1.1(B) in relation to such Further Utilisation Documentation, then the relevant Master Opinion (but subject to the assumptions, reservations and qualifications therein contained) shall be deemed to relate to such Further Utilisation Documentation. Each of the Master Opinions shall be periodically reaffirmed or updated and reissued in accordance with the provisions of Clause 7.1(s) (Undertakings and Covenants).
