SUBMISSION FOR APPROVAL. The Subdivider shall submit for the approval of the County Engineer, detailed engineering plans, lot grading plans, specifications for, contracts in respect of and an estimate of the scheduling and of the cost of the works specified in Schedule "F" hereto (herein referred to as the "Works"), with the Subdivider's Engineer's professional stamp and signature and date affixed thereto. SUBMISSION FOR APPROVAL. When a complete agreement on all items is reached through negotiations, the outcome shall be reduced to writing. Both parties shall review the agreement together to determine the accuracy of the writing. The completed agreement will then be first submitted to the members of the bargaining unit for a vote. That vote must be within seven (7) work days after complete agreement is reached. The Union will notify the Board in writing as to whether the members of the bargaining unit have voted to approve or not to approve the agreement. Should the written notice inform that the members have approved the agreement, the Board will meet to vote within seven (7) work days after receipt of said written notice to, determine whether it approves or does not approve of the agreement. Neither the Board nor the Union may approve and thereby seek to bind the other to any portion of proposed agreement. Only the whole of any proposed agreement may be approved and ratified.

In the event that at least the towns of Arlington, Belmont, Concord and Lexington vote in the affirmative as provided in said Section 15 to establish a regional technical and vocational school district, composed of the towns of Arlington, Belmont, Concord, Lexington and such additional towns, if any, as so vote, shall be deemed to be established; otherwise this agreement shall be void and of no effect.

SUBMISSION FOR APPROVAL. Sublicensee shall, without failure and in strict accordance with the terms hereof, submit to Venture for written approval, for each and every Licensed Item (i) at least one (1) prototype (each, a “Prototype”) of each such Licensed Item prior to its manufacture or production, and (2) at least one (I) post-manufacture, pre-distribution sample (each, a “Sample”) of such Licensed Item prior to sale or public distribution of such Licensed Item. The Licensed Item shall be submitted with all of its proposed labeling, if possible, but no Licensed Item shall be deemed approved unless and until its corresponding labeling is also approved, in the event they are submitted separately. If Sublicensee elects to first submit a design, which Venture approves, Sublicensee must still thereafter submit both the Prototype and Sample for Venture’s approval hereunder. With respect to matched print advertising, Sublicensee must provide Venture with a copy of the advertisement as it appeared in any and all media promptly upon the first appearance of the advertisement in any medium. As an example, if the identical advertisement is run for three (3) succeeding days in the same newspaper, Sublicensee need provide only the first (1st) day’s advertisement, but Sublicensee shall indicate the additional days on which the advertisement will appear in that newspaper for Venture’s approval hereunder. Prototypes and Samples submitted by Sublicensee shall not be required to be returned by Venture.

SUBMISSION FOR APPROVAL. Rohto shall submit a representative sample of its proposed advertising and promotional materials (including, without limitation, packaging, package inserts, labels, tags, advertising copy, advertising layouts, radio and television presentations, publicity and promotional materials, catalogues and other sales or trade literature, all of which shall hereinafter be collectively referred to as the “Materials”) pertaining to the Licensed Products to OMP for written approval before prior to the launch of each new Licensed Product. OMP reserves the right to disapprove of any proposed copy and in such case, shall provide appropriate changes or comments to Rohto. OMP will notify Rohto of the approval status within ten (10) business days after receipt of such materials. Failure to notify Rohto of such status within ten (10) business days following the request for approval shall constitute approval. Thereafter, Rohto will have no obligation to seek approval for minor changes including but not limited to introducing a new size/SKU of an existing product or formula, and adding or deleting a non-active ingredient by 2% or less or changing a non-active ingredient by 2% or less. Rohto will, however, submit more significant changes to OMP for its prior written approval. Examples of significant changes include a new product launch, a line extension (introducing a unique new product not a new size/SKU of an existing product or formula), a change in logo dimensions/proportions, a significant change in formulations (adding/deleting an active ingredient), or a change in product name, or trademark. All Materials produced by or for Rohto shall comply with mutually-agreed guidelines for product marketing and positioning, and with the Trademark Usage Guidelines set forth in Exhibit B. THE SYMBOL [***] IS USED TO INDICATE THAT A PORTION OF THE EXHIBIT HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION.
