Tenant to Remain Obligated. Consent by Landlord to any assignment, subletting, use, occupancy or transfer shall not operate to relieve Tenant from any covenant or obligation hereunder except to the extent, if any, expressly provided for in such consent, or be deemed to be a consent to or relieve Tenant from obtaining Landlord's consent to any subsequent assignment, transfer, lien, charge, subletting, use or occupancy. Tenant shall pay all of Landlord's costs, charges and expenses, including reasonable attorneys' fees, incurred in connection with any assignment, transfer, lien, charge, subletting, use or occupancy made or requested by Tenant. Tenant agrees that all advertising by Tenant or on Tenant's behalf with respect to the assignment of this Lease or subletting of space must be approved in writing by Landlord prior to publication which approval shall not be unreasonably withheld or delayed.

Tenant to Remain Obligated. No Transfer shall relieve Tenant from any covenant, liability or obligation hereunder (whether past, present or future) and Tenant shall remain liable under this Lease as a principal and not as a surety. Landlord’s consent to a Transfer shall not constitute a consent to any subsequent Transfer. Tenant shall pay all of Landlord’s costs, charges and expenses, including reasonable attorney’s fees, incurred in connection with any Transfer requested or made by Tenant up to a maximum amount of $2,000 per request (so long as no modifications to this Lease are required in connection with such consent).

Consent by Landlord to any assignment, subletting, use, occupancy or transfer shall not operate to relieve Tenant from any covenant or obligation hereunder, except to the extent, if any, expressly provided for in such prior written consent, or be deemed to be a consent to or relieve Tenant or any sublessee or assignee from obtaining Landlord's consent to any subsequent assignment, transfer, lien, charge, subletting, use or occupancy. Tenant shall pay all of Landlord's costs, charges and expenses, including reasonable attorneys' fees, incurred in connection with any assignment, transfer, lien, charge, subletting, use or occupancy made or requested by Tenant, including, without limitation, reasonable costs and expenses of attorneys employed in such assignment, subletting or other transfer process.
Tenant to Remain Obligated. An assignment or sublease to a Subsidiary or consent by Landlord to any other assignment, subletting, use, occupancy or transfer shall not operate to relieve Tenant from any covenant or obligation hereunder (whether arising before or after the effective date of such transaction or event) except as expressly provided in Section 13.5 hereof or to the extent, if any, expressly provided for in such consent, or be deemed to be a consent to or relieve Tenant from obtaining Landlord's consent to any subsequent assignment (other than an assignment to a Subsidiary), transfer, lien, charge, subletting (other than a subletting to a Subsidiary), use or occupancy. Tenant shall pay all of Landlord's costs, charges and expenses, including reasonable attorneys' fees, incurred in connection with any assignment, transfer, lien, charge, subletting, use or occupancy made or requested by Tenant. Tenant agrees that all advertising by Tenant or on Tenant's behalf with respect to the assignment of this Lease or subletting of space must be approved in writing by Landlord prior to publication, provided that Landlord's approval of any such advertising shall not constitute or be deemed to be Landlord's consent to any assignment or subletting.
Tenant to Remain Obligated. Consent by Landlord to any assignment, subletting, use or occupancy, or transfer shall not operate to relieve Tenant from any covenant or obligation hereunder unless Landlord signs a new lease with a new tenant in which case Tenant’s obligations under the Lease (except for those which survive termination or expiration of the Lease) shall cease. Tenant shall pay all of Landlord’s costs, charges and expenses, including attorney’s fees, incurred in connection with any assignment, transfer, lien, charge, subletting, use or occupancy made or requested by Tenant.
Tenant to Remain Obligated. Neither consent by Landlord to any Transfer (defined in Section 8.6 below) nor the occurrence of a Transfer that does not require Landlord’s consent, shall operate to relieve Tenant from any covenant, liability or obligation hereunder (whether past, present or future), including, without limitation, the obligation to pay Rent or be deemed to be a consent to any subsequent Transfer. Tenant shall remain liable under this Lease as a principal and not as a surety. Tenant shall pay all of Landlord’s costs, charges and expenses, including without limitation, reasonable attorney’s fees, incurred in connection with any Transfer requested or made by Tenant Notwithstanding the foregoing, Landlord may, in its sole discretion, elect to release Tenant from liability under this Lease after any Transfer (defined in Section 8.6 below).
