Other Assignment. Prior to utilizing provisions of Section C., Subsection 2, and 3 of this Article, the Employer may reassign an employee within the employee's work site, provided that such reassignment does not require a shift change.
Other Assignment. (a) In addition to any assignments or contingent assignments contemplated by the terms of Subsections 13.02 and 13.03 of this Section 13, Licensee shall not sell, transfer or assign the License to any Person or Persons without SONIC’s prior written consent. Such consent shall not be unreasonably withheld.
(b) In determining whether to grant or to withhold such consent, the following requirements must be met by Licensee:
(i) All of Licensee’s accrued monetary obligations shall have been satisfied whether due under this Agreement or otherwise.
(ii) SONIC and the Licensee execute a general release of each other, in a form satisfactory to SONIC, of any and all claims the Licensee may have against SONIC and its Affiliates, including (without limitation) all claims arising under any federal, state or local law, rule or ordinance, but excluding (as to SONIC) any claims against the Licensee for (a) unpaid moneys due SONIC or its Affiliates, (b) a material breach of the provisions of this Agreement regarding the Proprietary Marks, or (c) the violation of SONIC’s legal rights regarding the Proprietary Marks. SONIC may waive the requirements of this subparagraph (ii) at SONIC’s election.
(iii) Licensee shall not be in material breach of this Agreement or any other agreement between SONIC and Licensee.
(iv) Assignee (or the assignee’s management, as the case may be) shall at SONIC’s sole discretion, enroll in and successfully complete such training programs as SONIC shall at that time designate according to Section 6.04 hereof.
(v) SONIC shall consider of each prospective transferee, by way of illustration, the following: (a) work experience and aptitude, (b) financial background, (c) character, (d) ability to personally devote full time and best efforts to managing the Sonic Restaurant, (e) residence in the locality of the Sonic Restaurant, (f) equity interest in the Sonic Restaurant, (g) conflicting interests and (h) such other criteria and conditions as SONIC shall apply in the case of an application for a new license to operate a Sonic drive-in restaurant. SONIC’s consent shall also be conditioned each upon such transferee’s execution of an agreement by which transferee personally assumes full and unconditional liability for and agrees to perform from the date of such transfer all obligations, covenants and agreements contained in the License to the same extent as if transferee had been an original party to the License.
Other Assignment. To the extent that any such writings or works of authorship by Employee are not, by operation of law or otherwise, deemed works made for hire, Employee irrevocably assigns to 2tor the ownership of, and all rights (including but not limited to copyright) in, such items, and 2tor shall have the right to obtain and hold in its own name all rights of copyrights, copyright registrations and similar protections that may be available with respect to any such writings or works.
Other Assignment. 17 a. Prior to utilizing provisions of Section D of this Article, the Employer may 18 reassign an employee, within the employee's work site/unit, provided that such 19 reassignment does not require a shift change. In reassigning an employee from 20 one work location to another or one work site/unit to another, or from one 21 assignment to another requiring a change in shift, the Employer shall reassign 22 the most senior qualified volunteer, if any. If there is no volunteer, then the 23 Employer shall reassign the least senior qualified employee, who has not been 24 reassigned across shifts or between work locations, within the immediately 25 preceding twelve (12) month period.
26 b. The Employer will not reassign an employee to another classification if such 27 assignment would require compensation in a lower pay range. At work 28 sites/unit having multiple shifts, a redistribution of employees between shifts, 29 provided that there is no net gain of employees, shall be accomplished by 30 voluntary transfers of qualified employees by seniority from the other shifts at 31 that work site/unit. Failing to meet operational requirements via these transfers, 32 the Employer will reassign the least senior qualified employee, whenever 33 possible, who has not been reassigned across shifts within the immediately 34 preceding twelve (12) month period. To maintain a balance of experienced 35 employees in a manner requiring transfer out of line seniority on a shift, 36 agreements will be sought through the appropriate level Labor-Management 37 Meetings. An employee who refuses a reassignment to another county shall 38 not have such refusal treated as a layoff, however, he/she shall be entitled to 39 recall rights.
40 c. When the Employer has a need to assign an employee(s) from one work 41 location to another or within a location, from one facility to another, all travel 1 shall be by the most direct route. Travel in excess of the distance to the 2 employee’s official work station shall be considered time in pay status and 3 reimbursable in accordance with State Standardized Travel Regulations 4 (Article 43, Section T). This provision shall not apply to a permanent change of 5 assignment.
6 d. Within the Department of Transportation, the parties agree that the matter of 7 temporary assignments, and associated travel expenses, that are the result of 8 assignments to and from winter maintenance/summer operation will be a 9 proper subject for secondary negotiations.
Other Assignment. Other than an assignment permitted by Sections 8.4(a) or (b) above, United and Administrator agree that they shall not assign any of the rights and responsibilities under this Agreement without the prior written consent of the other Party. In addition, each Party acknowledges and agrees that, as required by applicable Laws and Regulations, it may not assign all or any part of its rights and responsibilities under this Agreement without the Connecticut Insurance Department’s consent.
Other Assignment. (a) In addition to any assignments or contingent assignments contemplated by the terms of Sections 13.02 and 13.03, Licensee shall not sell, transfer, or assign the Agreement to any Person or Persons (including to another Licensee under this Agreement where more than one Person has executed this Agreement) without Sonic’s prior written consent. Such consent shall not be unreasonably withheld.
(b) In determining whether to grant or to withhold such consent, the following requirements must be met by Licensee:
(i) All of Licensee’s accrued monetary obligations shall have been satisfied whether due under this Agreement or otherwise.
(ii) Sonic and the Licensee execute a general release of each other, in a form satisfactory to Sonic, of any and all claims the Licensee may have against Sonic and its Affiliates, including (without limitation) all claims arising under any federal, state, or local law, rule, or ordinance, but excluding (as to Sonic) any claims against the Licensee for (a) unpaid moneys due Sonic, its Affiliates, or Sonic-approved advertising cooperatives, (b) the violation of the legal rights of Sonic or its Affiliates regarding the Proprietary Marks, (c) the violation of any of the covenants contained in Section 16.01 of this Agreement, (d) the violation of any duty under this Agreement to insure, defend, or indemnify Sonic or its Affiliates or to hold Sonic or its Affiliates harmless, and (e) the violation of any other agreement with Sonic or its Affiliates. Sonic may waive the requirements of this Section 13.04(b)(ii) at Sonic’s election.
(iii) Licensee shall not be in material breach of this Agreement or any other agreement between Sonic and Licensee.
(iv) Assignee (or the assignee’s management, as the case may be) shall at Sonic’s sole discretion enroll in and successfully complete such training programs as Sonic shall at that time designate according to Section 6.04 hereof.
(v) Sonic shall consider of each prospective transferee, by way of illustration, the following: (a) work experience and aptitude, (b) financial background, (c) character, (d) ability to personally devote full time and best efforts to managing the Sonic Restaurant, (e) residence in the locality of the Sonic Restaurant, (f) equity interest in the Sonic Restaurant, (g) conflicting interests, and (h) such other criteria and conditions as Sonic shall apply in the case of an application for a new license to operate a Sonic drive-in restaurant. Other Assignment. In addition to any assignments or contingent assignments contemplated by the terms of Sub-Paragraph a) of this Paraxxxxx 00, Xxxxxxxxxx xxxll not sell, transfer or assign this Territory or Agreement to any person or persons without ZLand's prior written consent. Such consent shall not be unreasonably withheld. In the event that any transfer under this Section is made to an existing ZLand franchisee, the transfer fee shall be waived. In determining whether to grant or withhold such consent, ZLand shall consider for each prospective transferee, by way of illustration, the following:
(i) work experience and attitude,
(ii) financial background,
(iii) character
(iv) ability to personally devote full time and best efforts to managing the Territory,
(v) residence in the locality of the Territory,
(vi) equity interest in the Territory,
(vii) conflicting interests,
(viii) willingness to sign the then-current Agreement, and
(ix) such other criteria and conditions as ZLand shall then apply in the case of an application for a new franchise to operate a ZLand franchise. ZLand's consent shall also be conditioned upon each transferee's execution of an agreement by which transferee personally assumes full and unconditional liability for and agrees to perform from the date of such transfer all obligations, covenants and agreements contained in this Agreement to the same extent as if transferee had been an original party to this Agreement. Franchisee-transferor shall continue to remain personally liable for all affirmative obligations, covenants and agreements contained herein for the full term of this Agreement.
Other Assignment. A bargaining unit member who accepts an area of responsibility that is not a traditional teaching position and not currently recognized in 1.011 as a position included in the bargaining unit shall, for purpose of this Agreement, be recognized as a member as defined in Article I. Specifically, these assignments are defined by the position titles District-wide Curriculum Coordinator, Administrative Intern, and Media Coordinator. (The position of Coordinator of District Talented and Gifted Students, currently included in the Terms of Recognition, will, in addition, be governed by the paragraphs below.) A bargaining unit member who accepts one (1) of these positions as “teacher on other assignment” will be considered to be on Leave of Absence from his/her teaching position under the general provisions specified in 6.144, acknowledging that “teacher on other assignment” would be one of the reasons that a member would be granted a leave of absence. It would be acknowledged, however, that the other terms of the leave as specified in 6.145 and 6.146 would not apply.
Other Assignment. Except as otherwise provided in this Article 6, and except that either Party may assign or delegate duties to an Affiliate without the consent of the other, no assignment or delegation of duties under this Agreement will be made unless there first will have been obtained the prior written consent of the other party, such consent not to be unreasonably withheld. Any assignment hereof by Operator will be subject to the receipt and acceptance by Operator of any necessary regulatory or governmental authorizations. This Agreement will be binding upon and will inure to the benefit of the respective authorized successors and assigns. Except as provided in this Article 6, no assignment will relieve the assignor of any of its obligations under this Agreement.
Other Assignment. In the event an employee in the District Chief 16 classification is assigned by the Fire Chief or designee to attend meetings, trainings sessions, work 17 on special projects or any other work activities of at least one (1) hour in addition to their regular 18 shift, the employee will be paid at their current hourly rate, for the number of hours worked. Any 19 additional hours attributed to special assignments or projects shall be counted as incidental 20 additional hours.
