Term; Condition of Premises. (a) The term of this Lease shall commence and, unless sooner terminated as hereinafter provided, shall end on the dates respectively specified in the Basic Lease Information as the "TERM COMMENCEMENT" and the "TERM EXPIRATION." Except as otherwise set forth in the Work Letter attached to this Lease as EXHIBIT C, Landlord shall deliver the 7th Floor Premises, the 9th Floor Premises and the 10th Floor Premises to Tenant on the commencement of the respective term of each in their then existing condition with no alterations being made by Landlord. If Landlord, for any reason whatsoever, cannot deliver the 7th Floor Premises, the 9th Floor Premises or the 10th Floor Premises to Tenant at the commencement of the respective terms thereof, this Lease shall not be void or voidable nor modified in any manner, nor shall Landlord be liable to Tenant for any loss or damage resulting therefrom. No delay in delivery of the 7th Floor Premises, the 9th Floor Premises or the 10th Floor Premises shall operate to extend the term hereof, and any early commencement of the term shall not operate to advance the Term Expiration, unless, in either case, Landlord so elects by notice to Tenant. Tenant shall execute a confirmation of the Term Commencement, Term Expiration and other matters, in such form as Landlord may reasonably request, within ten (10) days after requested.

Term; Condition of Premises. (a)The term of this Lease (the “Term”) shall commence and, unless sooner terminated as hereinafter provided or extended in accordance with the provisions of Paragraph 43 below, shall end on the dates respectively specified in the Basic Lease Information as the "Term Commencement" and the "Term Expiration." Except as otherwise provided in the Work Letter attached hereto as Exhibit D and incorporated herein by this reference (the “Work Letter”), Landlord shall deliver the Premises to Tenant on the Term Commencement in a broom clean condition with all building systems in good working order and otherwise in its then existing condition with no alterations being made by Landlord. If Landlord, for any reason other than a Tenant Delay (as defined in Section 5(d) of Exhibit 10.1 the Work Letter), cannot deliver the Premises to Tenant at the scheduled Term Commencement in the condition specified in this Section 2 and in the Work Letter, this Lease shall not be void or voidable, nor shall Landlord be liable to Tenant for any loss or damage resulting therefrom, but in that event the Term Commencement shall be delayed until the date when Landlord delivers the Premises to Tenant in the condition required by this Lease (including the Work Letter). Notwithstanding the foregoing, if the Term Commencement does not occur within ninety (90) days after February 1, 2015, as such date is extended by any Tenant Delay, then Tenant may terminate this Lease by notice to Landlord and Tenant thereupon shall be relieved of all further obligations under this Lease. No delay in delivery of the Premises shall operate to extend the Term unless Tenant so elects by notice to Landlord delivered within 30 days after the Term Commencement, provided, however, in no event shall the Term be extended for any delay in delivery attributable to a Tenant Delay. Tenant shall execute a confirmation of the Term Commencement and Term Expiration and other related matters in such form as Landlord may reasonably request within ten (10) business days after requested in writing by Landlord.

However, Tenant shall have reasonable access to the Premises (Suite 100/120) for two (2) weeks prior to the Commencement Date to install its furniture, fixtures, equipment and cabling, subject to all terms and conditions of this Lease, except the payment of Rent (hereinafter defined), provided that it does not interrupt or interfere with Landlord’s Work (hereinafter defined). Tenant must coordinate with the management office of Landlord to ensure that Tenant’s entry into the Premises does not interrupt Landlord’s Work. In addition, Tenant shall have reasonable access to the Premises (Suite 925) for two (2) weeks prior to the Suite 925 Commencement Date to install its furniture, fixtures, equipment and cabling, subject to (i) the extent possible and in consideration of the existing leases at Suite 925 and (ii) to all terms and conditions of this Lease, except the payment of Rent (as hereinafter defined) shall continue in the amount set forth for the period prior to the Suite 925 Commencement Date, provided that it does not interrupt or interfere with Landlord’s Work (hereinafter defined). Tenant must coordinate with the management office of Landlord to ensure that Tenant’s entry into the Premises does not interrupt Landlord’s Work.

Following the Commencement Date, Landlord may deliver to Tenant a notice confirming the actual Commencement Date and the date of the expiration of the Term specified in the Basic Lease Information, which notice shall be executed by Tenaxx xxx returned to Landlord within five (5) days following Tenaxx'x xeceipt thereof.
