Termination for Convenience by Customer. Customer may terminate this Contract upon thirty (30) days notice to Xxxx Xxxxx - ISG. Upon any termination of this Contract under this paragraph, Customer will not be entitled to any refund of any fees paid by Customer for the Services or System Hardware and Customer will no longer have access to the System Data via the Web Functions.
Termination for Convenience by Customer. Notwithstanding any other term or provision in this Service Agreement, Customer may terminate a Service Order, or this Service Agreement, at any time upon thirty (30) days prior notice to Spectrum, subject to payment of all outstanding amounts due, payment of any applicable Termination Charges (as defined below), and the return of any Spectrum Equipment.
Termination for Convenience by Customer. The Customer may terminate this Agreement for convenience at any time and with immediate effect by giving written notice to JetBrains; however, the Customer shall not receive a refund or credit for prepaid Fees.
Termination for Convenience by Customer. (a) This Agreement and/or any or all Facility Addendum (unless otherwise specified in the applicable Facility Addendum) may be terminated on a Product-by-Product basis by Customer immediately upon written notice to Manufacturer, if Customer cannot continue to distribute, use, market or sell such Product supplied under this Agreement or the relevant Facility Addendum without violating any then-current Laws.
(b) This Agreement and/or any or all Facility Addenda shall be deemed to be terminated by Customer on a Product-by-Product basis without any further action of either Customer or Manufacturer in the event that Customer fails to order a Product during any rolling eighteen (18) month period; provided that this subsection (b) shall not apply with respect to API as Product.

Upon any termination of this Contract under this paragraph, Customer will not be entitled to any refund of any fees paid by Customer for the Services or System Hardware and Customer will no longer have access to the System Data via the Web Functions.
Termination for Convenience by Customer. Customer may terminate this Agreement or Service Addendum for its convenience at any time on prior written notice and, upon termination, must cease use of the applicable Service.
Termination for Convenience by Customer. Customer may terminate this Contract or any JDLink Service Terminal subscription upon thirty (30) days notice to John Deere. If Customer elects to terminate this Contract, such termination shall also terminate all affiliated JDLink Service Terminal s ubscriptions. Upon termination of this Contract or any JDLink Service Terminal subscription, Customer shall not be entitled to any refund of any fees paid by Customer for the Services or System Hardware. Upon termination of this Contract, Customer shall no longer have access to the System Data via the Web Service.
Termination for Convenience by Customer a. CUSTOMER may terminate this Contract for convenience even where there has been no Material Event of Default or Technical Event of Default by giving written notice to CONTRACTOR specifying the effective date of termination.
b. In the event of a termination for convenience, CONTRACTOR shall only be entitled to payment for Services performed prior to the effective date of the termination. The amount of such termination payment shall be calculated in accordance with Schedule B-3: Payment Terms, plus a reasonable sum to cover the expenses which CONTRACTOR would not have incurred “but for” the early termination of this Contract (such as demobilization of the work force, restocking charges, termination fees payable to Subcontractors) less any amount which the CUSTOMER determines is necessary to correct or complete Services performed prior to the effective date of termination.
c. Any payment to CONTRACTOR provided for herein shall be considered to fully compensate CONTRACTOR for all claims and expenses and those of any consultants, Subcontractors, and suppliers, directly or indirectly attributable to the termination, including any claims for lost profits.
d. Upon CUSTOMER’s termination of this Contract for convenience as provided herein, CONTRACTOR shall:
(i) Stop the Services;
(ii) stop placing orders and Subcontracts in connection with this Contract;
(iii) Cancel all existing orders and subcontracts;
(iv) Surrender the Premises to CUSTOMER in a safe condition;
(v) Transfer to CUSTOMER all materials, supplies, work in process, appliances, New Equipment/Systems and machinery of the Contract, and all plans, Drawings, specifications and other information and documents used in connection with this Contract.
Termination for Convenience by Customer. At any time after the six (6) month anniversary of the Effective Date, Customer may terminate this Agreement upon six (6) months’ prior written notice to Greatbatch. The Parties will negotiate in good faith to resolve any open Purchase Order for the Products.
Termination for Convenience by Customer. Customer may terminate the Agreement for its convenience upon sixty (60) days prior written notice to Aurum, subject to the liquidated damages set forth in Section 2.5.
