Termination of Meeting and Exhibit Sample Clauses

Termination of Meeting and Exhibit. If, in the sole judgement of ASHP, the Baltimore Convention Center become unfit for occupancy, or the Meeting be materially interfered with by reason of weather, strike, picketing, boycott, embargo, injunction, war, riot, emergency declared by a government agency, or any other act beyond the control of ASHP, the Contract for Exhibit Space may be terminated by ASHP. ASHP will not incur any liability for damages sustained by exhibitors as a result of such termination. In the event of such termination, the exhibitor expressly waives such liability and releases ASHP from and against all claims for damages and expressly agrees that ASHP shall have no obligations except to refund to the exhibitors a pro-rated share of the aggregate amount received by ASHP (as rental for exhibit space for said exhibit), after deducting all costs and expenses in connection with such exhibit, including a reasonable reserve for claims, such deductions being hereby specifically agreed to by the Exhibitor. Withdrawal by any exhibitor will not be accepted unless written notice of such withdrawal has been received by ASHP. Exhibitors who withdraw from August 11, 2022- January 11, 2023 shall owe ASHP 50% of the contracted amount. Exhibitors who cancel after January 11, 2023 shall forfeit one hundred percent (100%) of the contracted amount. Downsizing of the original booth size by any Exhibitor will not be accepted unless written notice of such downsizing has been received by ASHP. Exhibitors who downsize on or before January 11, 2023 shall owe ASHP, in addition to the deposit already paid for the original booth request, a downsize fee equal to 50% of the actual downsized square footage including corners, if applicable. Further, the exhibitor will then owe the balance associated with the full price of the reduced size exhibit booth.
Termination of Meeting and Exhibit. Should the premises in which the CBD Expo is to be held becomes, in the sole judgment of the CBD Expo, unfit for occupancy, or should the CBD Expo be materially interfered with by reason of action of the elements, strike, picketing, boycott, embargo, injunction, war, riot, emergency declared by a government agency, or any other act beyond the control of CBD Expo, the Application and Contract may be terminated. The CBD Expo will not incur any liability for damages sustained by the exhibitor as a result of such termination. In the event of such termination the exhibitor expressly waives such liability and releases CBD Expo of and from all claims for damages and agrees that CBD Expo shall have no obligations except to refund to the exhibitors a prorated share of the aggregate amount received by CBD Expo (as rental for exhibit space for said Exhibit), after deducting all costs and expenses in conjunction with such Exhibit, including a reasonable reserve for claims.
Termination of Meeting and Exhibit. Should the premises in which the Exhibition is to be held become unfit for occupancy, by reason of action of the elements, strike, picketing, boycott, embargo, injunction, war, riot, emergency declared by a government agency, or any other act beyond the control of BCxA, the Application and Contract may be terminated. BCxA will not incur any liability for damages sustained by the exhibitor as a result of such termination. In the event of such termination the exhibitor expressly waives such liability and releases BCxA of and from all claims for damages and agrees that BCxA shall have no obligations except to refund to the exhibitors a prorated share of the aggregate amount received by BCxA (as rental for exhibit space for said Exhibit), after deducting all costs and expenses in conjunction with such Exhibit, including a reasonable reserve forclaims. Table Personnel/ Badges: The fee for exhibitor tables includes one (1) full conference registration and (2) exhibitor only registration for the first day only. Displays must be staffed during the BCxA Social Hour. Badges must be worn at all times for admission to the conference space. A list of Exhibitor Table Personnel must be received on or before August 31, 2022. Display Rules and Regulations: BCxA provides the following: an 6' x 30” standard exhibitor table; a tabletop identification sign listing the company name; 2 chairs and exhibit space security is defined by the area being locked during off, or closed hours. Labor/ Safety/ Fire: Exhibitors will comply with all applicable statutes, ordinances, rules and requirements relating to health, fire, safety, and use of the premises. Exhibitor table decorations must be flame-proof and all hangings must clear the floor. Electrical wiring must conform with all federal, state and municipal government requirements and to National Electrical Code Safety Rules. If inspection indicates that an exhibitor has neglected to comply with these regulations, or otherwise incurs fire hazards, the right is reserved to cancel at exhibitor’s expense all or such part of the exhibit as may be irregular.

  • Incorporation of Recitals and Exhibits The Recitals and each exhibit attached hereto are hereby incorporated herein by reference.

  • Definitions and Exhibits The following terms when used in this Agreement shall be defined as follows:

  • Incorporation of Schedules and Exhibits The schedules, attachments and exhibits referenced in and attached to this Agreement shall be deemed an integral part hereof to the same extent as if written in whole herein. In the event that any inconsistency or conflict exists between the provisions of this Agreement and any schedules, attachments or exhibits attached hereto, the provisions of this Agreement shall supersede the provisions of any such schedules, attachments or exhibits.

  • ADDENDA AND EXHIBITS Attached hereto is an Addendum or Addenda consisting of Paragraph 49 through 52, and Exhibits A through A, all of which constitute a part of this Lease.

  • Incorporation of Exhibits, Annexes, and Schedules The Exhibits, Annexes, and Schedules identified in this Agreement are incorporated herein by reference and made a part hereof.

  • Location of Meetings All meetings shall be held on NAV CANADA’s premises at a time and for a duration determined by mutual agreement. The parties shall endeavour to schedule such meetings during the working hours of committee representatives. In the event meetings are scheduled on an employee’s day of rest, the employee shall not be entitled to any compensation.

  • Recitals and Exhibits The foregoing recitals and any attached exhibits are material to this Agreement and are incorporated into and made a part of this Agreement.

  • NOTIFICATION OF PUBLIC EVENTS AND MEETINGS 2 A. CONTRACTOR shall notify ADMINISTRATOR of any public event or meeting funded in 3 whole or in part by the COUNTY, except for those events or meetings that are intended solely to serve 4 clients or occur in the normal course of business. 5 B. CONTRACTOR shall notify ADMINISTRATOR at least thirty (30) business days in advance 6 of any applicable public event or meeting. The notification must include the date, time, duration, 7 location and purpose of the public event or meeting. Any promotional materials or event related flyers 8 must be approved by ADMINISTRATOR prior to distribution. 9

  • Incorporation of Exhibits and Schedules The Exhibits and Schedules identified in this Agreement are incorporated herein by reference and made a part hereof.

  • Headings and Exhibits The headings herein are for purposes of references only and shall not otherwise affect the meaning or interpretation of any provision hereof. The schedules and exhibits attached hereto and referred to herein shall constitute a part of this Agreement and are incorporated into this Agreement for all purposes.
