The City’s Conditions. The City’s obligation to close Escrow and convey the Property to Developer is conditioned upon the satisfaction or written waiver of each and every one of the conditions precedent described below (“City’s Conditions Precedent to Closing”), which are solely for the benefit of the City, and which shall be satisfied or waived by the time periods provided for herein. The City at its option may terminate this Agreement if any of the conditions precedent set forth below are not satisfied by the Developer or waived in writing by the City by the Outside Closing Date, subject to Events of Force Majeure.

The City Council for the City shall have legislatively approved this Agreement, in its sole and absolute discretion.
