Title to Hardware. The Hardware provided as part of the Service is the sole property of Dedrone or its licensors or service providers. Customer will have no rights whatsoever in or to the Hardware other than the right to use during the Subscription Term in accordance with this Addendum. Customer acknowledges and agrees that this Addendum is for a service and nothing herein will be deemed or construed as a lease or other grant or transfer of any real or personal property.
Title to Hardware. Title to the Hardware will remain with Darktrace for the entire Term. Upon termination for any reason, or on expiration of the Term, Customer shall return the Hardware to Darktrace, securely and properly packaged, with carriage (and insurance at Customer’s option) prepaid. Whilst the Hardware is in Customer’s possession, Customer must (a) clearly designate the Hardware as Darktrace’s property; (b) hold the Hardware on a fiduciary basis as Darktrace’s bailee; (c) store and use the Hardware in a proper manner in conditions which adequately protect and preserve the Hardware; (d) insure the Hardware against all risks to its full replacement value; and (e) not sell, charge, pledge, mortgage or otherwise dispose of the Hardware or any part of it or permit any lien to arise over the Hardware (or part thereof) and keep the Hardware free from distress, execution and other legal process.
Title to Hardware. Unless hardware is sold on an as-a-Service basis, for hardware delivered in the United States and Canada, title to the hardware will pass to Customer on the Delivery Date and in countries other than the United States and Canada, title to the hardware will pass to Customer upon payment in full of the price for the hardware. Avaya may, in its sole discretion and at any time, waive the requirement of payment prior to passing of title to hardware, in which case title will pass to Customer on the Delivery Date or (if later) on the date of the waiver concerned. For hardware delivered in the United States and Canada, title to the hardware will pass to Customer on the Delivery Date. Title to hardware sold on an as-a-Service basis does not pass to Customer
Title to Hardware. Title to hardware and equipment purchased hereunder shall transfer to Franchisee after all applicable payments therefor have been made. Risk of loss and damage for, hardware and equipment, if any, purchased hereunder shall pass to Franchisee upon shipment to Franchisee, F.O.B. manufacturer's or Remedy's facilities, whichever location such items are shipped from.
Title to Hardware. Title to any Hardware purchased by Customer pursuant to an Agreement will pass to Customer (i) when Descartes receives in full cleared funds all sums due and payable to Descartes in respect of the Hardware; or where expressly indicated in the Agreement (ii) at such time as expressly indicated in the Agreement. Until title to such Hardware has passed to the Customer, or where the Hardware is rented by Customer pursuant to an Agreement, the Customer will hold the Hardware on a fiduciary basis as Descartes’ bailee. Customer’s right to possession of the Hardware will terminate immediately if there is an Insolvency Event and Customer will immediately return the Hardware to Descartes at Customer’s risk and cost.

Title to any Hardware purchased by Customer pursuant to an Agreement will pass to you when TrackX receives in full all sums due and payable to TrackX in respect of the Hardware; or where expressly indicated in the Agreement. Until title to such Hardware has passed to Customer, or where the Hardware is rented by Customer pursuant to an Agreement, Customer will hold the Hardware on a fiduciary basis as TrackX’s bailee. Customer’s right to possession of the Hardware will terminate immediately if there is an Insolvency Event and Customer will immediately return the Hardware to TrackX at Customer’s risk and cost.

Upon termination for any reason during the first twenty (24) month period of the Term, Customer shall return the Hardware to Darktrace. Customer is required to (a) clearly designate the Hardware as Darktrace’s property; (b) hold the Hardware on a fiduciary basis as Darktrace’s bailee; (c) store and use the Hardware in a proper manner in conditions which adequately protect and preserve the Hardware; (d) insure the Hardware against all risks to its full replacement value; and (e) not sell, charge, pledge, mortgage or otherwise dispose of the Hardware or any part of it or permit any lien to arise over the Hardware (or part thereof) and shall keep the Hardware free from distress, execution and other legal process.

During such initial twenty-four (24) month period, Customer must (a) clearly designate the Hardware as Darktrace’s property; (b) hold the Hardware on a fiduciary basis as Darktrace’s bailee; (c) store and use the Hardware in a proper manner in conditions which adequately protect and preserve the Hardware; (d) insure the Hardware against all risks to its full replacement value; and I not sell, charge, pledge, mortgage or otherwise dispose of the Hardware or any part of it or permit any lien to arise over the Hardware (or part thereof) and will keep the Hardware free from distress, execution and other legal process.
