To DOSO's Satisfaction. 1.8.2.1 DOSO shall have reviewed and approved the results of its due diligence Commented [A12R11]: Note that not all due diligence items may have been completed at this point – DOSO must confirm it’s okay taking possession of the property without having completed all due diligence. Commented [A11]: 1.8.2.2 DOSO shall have determined that Owner holds title to the Property subject only to the Final Permitted Exceptions. 1.8.2.3 Escrow Agent shall have issued to DOSO a binding commitment satisfactory to DOSO to issue to DOSO an Owner’s Standard (or at DOSO’s option, Owner’s Extended) Form Title Insurance Policy covering the Property in the amount of (Insert Dollar Amount) ($0,000,000), subject only to the Final Permitted Exceptions. Any commitment for a Lender's Extended Form Title Insurance Policy purchased by DOSO shall be acceptable both to DOSO and to any lender identified by DOSO that will provide a Mortgage on the Property in the amount of the funding to be provided by Lender to DOSO. 1.8.2.4 Owner’s representations and warranties stated in Section 1.9 herein shall be true and correct as of the Closing Date. 1.8.2.5 DOSO shall have approved and accepted responsibility for constructing any offsite public improvements, except those improvements related to the Xxxxxx Street extension of the round- requiredabout, required by the City or the Oregon Department of Transportation as a result of the issuance of building permits for the Project, in writing in a form acceptable to Owner in its sole discretion. Notwithstanding the above, DOSO has preapproved and accepts responsibility for constructing those offsite public improvements set forth in the Development Review Plans. 1.8.2.6 Owner shall have approved of any assignment of the interest of DOSO requested by DOSO under the terms set forth in Section 5.1 of this Agreement. Assignments of DOSO’s interest satisfying the terms of Section 5.2 are preapproved. 1.8.2.7 Owner shall have either demolished the building currently occupied by the “Mei Sum” restaurant, and having cleared the site and graded it so that it is flat and does not impose a safety hazard; OR the Owner shall have provided DOSO with guarantees acceptable to DOSO assuring that the Owner will demolish this building after conveyance but no later than April 30, 2018, at Owner’s sole expense.

  • CONDITIONS PRECEDENT TO BUYER'S PERFORMANCE The obligations of Buyer to purchase the Assets under this Agreement are subject to the satisfaction, at or before the Closing, of all the conditions set out below in this Article 9. The Company further covenants and agrees, with respect to any threatened or pending judgment, order, injunction, decree or decision of any governmental authority that will adversely affect the ability of the parties hereto to consummate the transactions contemplated hereby, to use all commercially reasonable efforts to prevent the entry or promulgation thereof and to defend and cooperate with each other in the defending of any legal proceedings, whether judicial or administrative and whether brought derivatively or on behalf of third parties challenging the transaction contemplated hereby as the case may be, it being understood that such efforts shall not include any requirement of the Company to expend material sums of money or grant any material financial or other accommodation. (b) The Buyer agrees to use commercially reasonable best efforts to obtain the financing necessary to consummate the transactions contemplated hereby as soon as possible. The Buyer agrees that any 144A offerings contemplated by the Financing Letters must be consummated prior to October 31, 1998 and that if any such offering is not consummated prior to such date, then the Buyer will be obligated on October 31, 1998 to obtain the bridge loan financing contemplated by the Financing Letter in substitution therefor pursuant to the terms thereof, subject to the conditions for such bridge loan financing set forth in the Financing Letters. The Company agrees to provide, and will cause its subsidiaries and their respective personnel and advisers to provide, all cooperation reasonably requested in connection with the arrangement of such financing, including without limitation, participation in meetings, due diligence sessions, road shows, the preparation of offering memoranda, private placement memoranda, prospectuses and similar documents, the execution and delivery of any commitment letters, underwriting or placement agreements, pledge and security documents, other definitive financing documents, or other requested certificates or documents, including a certificate of the chief financial officer of the Company with respect to solvency matters, comfort letters of accountants as may be reasonably requested by Buyer. Notwithstanding the foregoing, Buyer agrees that the payment of any expenses relating to providing such cooperation, including fees by the Company in connection with any commitment letters, shall be subject to the occurrence of the Closing.

  • Assumption and Satisfaction of Liabilities Except as otherwise specifically set forth in any Ancillary Agreement from and after the Effective Time, (a) Tyco shall, or shall cause a member of the Tyco Group to, accept, assume (or, as applicable, retain) and perform, discharge and fulfill, in accordance with their respective terms (“Assume”), all of the Tyco Retained Liabilities, (b) Healthcare shall, or shall cause a member of the Healthcare Group to, Assume all the Healthcare Liabilities and (c) Electronics shall, or shall cause a member of the Electronics Group to, Assume all the Electronics Liabilities, in each case, regardless of (i) when or where such Liabilities arose or arise, (ii) whether the facts upon which they are based occurred prior to, on or subsequent to the Effective Time, (iii) where or against whom such Liabilities are asserted or determined or (iv) whether arising from or alleged to arise from negligence, recklessness, violation of Law, fraud or misrepresentation by any member of the Tyco Group, the Healthcare Group or the Electronics Group, as the case may be, or any of their past or present respective directors, officers, employees, agents, Subsidiaries or Affiliates.
