Tolling of Time. The running of any period of time during which, under this Agreement, any right may be exercised or any obligation must be performed shall be tolled for as long as the order of any court shall prohibit the exercise of any such right or the performance of any such obligation.

Tolling of Time. The time for any closing of a purchase of an Interest pursuant to Sections 16, 17, 18 and this Section 19 will be appropriately tolled (a) during the pendency of any periods required or necessary to comply with applicable laws, including, without limitation, the waiting periods required by the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended, and (b) during the pendency of any litigation which in the opinion of the purchasing Partner’s counsel prevents such Partner from exercising its rights under this Agreement.
Tolling of Time. Periods Notwithstanding anything to the contrary in this Term Sheet, if the failure to meet any time period applicable to MH or SpinCo in this Term Sheet prior to the MH SpinCo Distribution is due to matters beyond MH’s or SpinCo’s, as applicable, reasonable control (including any delay caused by CME Group or any other person MH or SpinCo, as applicable, does not control), then such time period shall be deemed tolled during such delay.   • Extension of Time If the Executive shall be in violation of any provision of this Article 6, then each time limitation set forth in this Article 6 shall be extended for a period of time equal to the period of time during which such violation or violations occur. If the Company seeks injunctive relief from such violation in any court, then the covenants set forth in this Article 6 shall be extended for a period of time equal to the pendency of such proceeding including all appeals by the Executive.

  • Time of the Essence; Computation of Time Time is of the essence for each and every provision of this Agreement. Whenever the last day for the exercise of any privilege or the discharge or any duty hereunder shall fall upon a Saturday, Sunday, or any date on which banks in New York, New York are authorized to be closed, the party having such privilege or duty may exercise such privilege or discharge such duty on the next succeeding day which is a regular business day.

  • Periods of Time Whenever in this Agreement there is a period of time specified for the giving of notices or the taking of action, the period shall be calculated excluding the day on which the giver sends notice and excluding the day on which action to be taken is actually taken.

  • Calculation of Time Unless otherwise specified, time periods within or following which any payment is to be made or act is to be done shall be calculated by excluding the day on which the period commences and including the day on which the period ends. Where the last day of any such time period is not a Business Day, such time period shall be extended to the next Business Day following the day on which it would otherwise end.

The applicable dates for approval of items, plans and drawings as described in this Section 3, Section 4, below, and in this Tenant Work Letter are set forth and further elaborated upon in Schedule 1 (the "Time Deadlines"), attached hereto. Tenant agrees to comply with the Time Deadlines.

  • Calculation of Time Periods Except as otherwise indicated, all periods of time referred to herein shall include all Saturdays, Sundays and holidays; provided, however, that if the date to perform the act or give any notice with respect to this Agreement shall fall on a day other than a Business Day, such act or notice may be timely performed or given if performed or given on the next succeeding Business Day.
