Transaction Processing and Settlement. The Fidelity transaction processing system shall enable Shareholders to purchase, redeem and exchange shares of Funds available through Fidelity. NFSC shall facilitate settlement with each Fund of Shareholder transactions in such Fund insofar as such transactions are transmitted to NFSC by FIAG on behalf of Shareholders.

Company shall facilitate settlement with each Fund of Plan transactions in such Fund insofar as such transactions are transmitted by Company on behalf of the Plans.
(1) make arrangements for all transactions processed pursuant to this Agreement to be process through the National Securities Clearing Corporation Fund./SERV system, or (2) obtain proper authority for Company to transmit to the Fund or its Agent daily manual trades until 4:00 p.m. Eastern Time, or such other times as set forth on Exhibit B, which trades shall remain eligible for that day's public offering price provided Company received the order by close of trading that day.

Company shall facilitate settlement with each Fund of Plan transactions in such Fund insofar as such transactions are transmitted by Company on behalf of the Plans.

NFS shall facilitate settlement with each Fund for any Shareholder transactions transmitted to NFS by the Brokerage Channels on behalf of Shareholders. Fund/Agent agrees that it shall make arrangements for all transactions processed pursuant to this Agreement to be processed through the NSCC Fund/SERV system. Unless specifically stated otherwise in this Agreement, Orders received by NFS or FBS before the Close of Trading on any Business Day will receive that Business Day’s next applicable price. Any Order received by NFS or FBS after the Close of Trading on any Business Day shall be treated as if received on the next Business Day. In order for NFS to begin transaction processing, Fund/Agent must make a representation of participation with the NSCC. Refer to the Bilateral NSCC Agreement attached hereto as Exhibit E.
Transaction Processing and Settlement. Xxxxxxxx authorizes Provider to provide the Services and to act on Xxxxxxxx’s behalf to direct Processor to acquire, process and settle payments for transactions initiated by Customers as part of Vanco Food, subject to Merchant’s compliance with any technical specifications prescribed by Provider, Processor, Bank, and the Rules. Bank shall deposit settlement funds into, or withdraw funds for any errors, chargebacks, refunds, reversals or fees owed to Provider from, the Merchant Deposit Account(s) via direct bank or ACH transfer. If Bank cannot transfer the funds to the Merchant’s Deposit Account (due to inaccurate or obsolete bank account information entered by the Merchant, or for any other reason), Provider, Bank or Processor may refund the funds to the Customer or escheat them to the appropriate government authority. Bank, Provider, and Processor will not have any liability to Merchant for funds so refunded or escheated.
Transaction Processing and Settlement. The Service Provider will enable and facilitate the purchase and redemption of Fund shares on behalf of Shareholders through the Account. Such purchases and redemptions shall be processed through the National Securities Clearing Corporation ("NSCC") Fund/SERV system in accordance with NSCC rules then in effect.

NFSC shall facilitate settlement with each Fund of Shareholder transactions in such Fund insofar as such transactions are transmitted to NFSC by FBSI or Correspondents on behalf of Shareholders. Fund/Agent agrees that it shall either: (1) make arrangements for all transactions processed pursuant to this Agreement to be processed through the National Securities Clearing Corporation Fund/SERV system, or (2) obtain proper authority for NFSC to transmit to the Fund or its Agent daily manual trades until 5:00 p.m. Eastern Time, or such other times as set forth on Exhibit B, which trades shall remain eligible for that day's public offering price , if such trades were received in good order by Fidelity prior to 4:00 P.M. Eastern standard time on such day.

Settlement for trades placed through the NSCC will follow the guidelines and operational procedures set forth by the NSCC and the Securities Industry Automation Corporation (“SIAC”)

Company shall facilitate settlement with each Fund of Plan transactions in such Fund insofar as such transactions are transmitted by Company on behalf of the Plans. The Trust agrees that it shall either: (1) make arrangements for all transactions processed pursuant to this Agreement to be processed through the National Securities Clearing Corporation Fund/SERV system, or (2) obtain proper authority for Company to transmit to the Fund or its Agent daily manual trades until 4:00 p.m. Eastern Time which trades shall remain eligible for that day's NAV provided Company received the order by close of trading that day.
Transaction Processing and Settlement. The IFS transaction processing system shall enable IFS Clients to purchase, redeem and exchange shares of Funds through IFS. IFS shall facilitate settlement with each Fund of IFS Client transactions in such Fund insofar as such transactions are transmitted to Fund/Agent through the IFS clearing agent on behalf of IFS Clients. IFS will process orders for the purchase of Fund shares only on behalf of customers residing in jurisdictions wherein the shares are registered or qualified for sale, which shall include all U.S. jurisdictions except insofar as Fund/Agent shall notify IFS in writing to the contrary. Fund/Agent will supply to IFS all relevant information to enable IFS to effect transactions on behalf of IFS Clients including, but not limited to, wire instructions, bank information, Fund information, opening dates and investment cut-off times. Any changes in such information will be communicated, in writing, to IFS within 48 hours. Fund/Agent agrees that it shall obtain proper authority for IFS, or its designated agent, to transmit to the Fund/Agent daily manual trades for the Funds until 4:00 p.m. Eastern Time, or such other times as set forth on Exhibit A, which trades shall remain eligible for that day's net asset value if such trades were received in good order by IFS prior to 4:00 P.M. Eastern Time on such day. Payments for shares shall be made as specified in the applicable Fund prospectus, (i.e., by wire directly to State Street Bank and Trust Company, the Funds' transfer agent). If payment for any purchase order is not received in accordance with the terms of the applicable Fund prospectus, Fund/Agent reserves the right, without notice, to cancel the sale and to hold IFS responsible for any loss sustained as a result thereof, including loss of profit.
