Transactions with Partners or Affiliates. Subject to availability, taking into account the obligations of the Partnership with respect to commercial charter of its Aircraft, each Partner shall be entitled to a pro rata share of the hours of utilization of the Partnership's Aircraft designated by the General Partner, in its sole discretion, by the Partners for the respective executive officers and their guests. Each Partner shall reimburse the Partnership for such utilization at the rate to be mutually agreed upon by all Partners. The Partnership is expressly permitted in the normal course of its business to enter into other transactions with any Partner or any affiliate of any Partner.

Transactions with Partners or Affiliates. In addition to transactions described in this Section 7.06 or otherwise specifically contemplated by the terms and provisions of this Agreement, the Partnership is expressly permitted to enter into other transactions with any Partner or any Affiliate thereof provided that the terms of such transactions are equivalent to terms obtainable by the Partnership from a comparable unaffiliated third party. Without limiting the generality of the foregoing, the Partnership is permitted to (i) allocate, in a reasonable manner, consistent with past practices, the costs and expenses incurred by the Managing Partner in connection with the ownership and operation of its businesses, including the Partnership, (ii) use the brokerage, investment banking, underwriting and mutual fund distribution services of Oppexxxxxxx & Xo., Inc. ("Opco") in effecting transactions on behalf of the Partnership and pay Opco commissions or fees in accordance with Opco's then current rates for unaffiliated third parties and (iii) make other loans to Partners and their Affiliates on commercially reasonable terms. Loans made to Opfin or its Affiliates (including Op L.P.) shall bear interest at an annual rate at least comparable to the cost to Opco of borrowings of a similar nature, amount and term.
Transactions with Partners or Affiliates. (a) Neither the Partnership nor any of it Subsidiaries may enter into any transaction with any Partner or any of its Affiliates (each, a “Related Party Transaction”), without first obtaining the unanimous written consent of the Advisory Board and satisfying the remaining requirements of this Section 6.8. (b) No Related Party Transaction between the Partnership or any of its Subsidiaries on the one hand and any Partner or any Affiliate of any Partner (each, a “Related Party”) on the other hand shall be void or voidable solely by reason of such relationship. The entering into of any Related Party Transaction by the Partnership or any of its Subsidiaries shall not subject the participating Related Party or any of its Affiliates, or their respective officers, directors, managers, partners or stockholders to liability to the Partnership, any of its Subsidiaries or any Partner if all of the material facts as to the Related Party Transaction and the nature of any conflict of interest are disclosed or are known to the Advisory Board Members prior to entering into the Related Party Transaction. In furtherance of the foregoing, the Partners acknowledge and agree that Cedar Operating Partnership or an affiliate of Cedar Operating Partnersip, as determined by Cedar GP (provided such affiliate is directly or indirectly wholly-owned by Cedar Operating Partnership or CSCI and generally manages the other properties directly or indirectly owned by Cedar Operating Partnership) shall act as Property Manager for each Portfolio Investments pursuant to a Property Management Agreement substantially in the form attached hereto as Exhibit A, and the foregoing Related Party Transactions shall not require the consent of the Advisory Board for so long as Cedar GP remains the General Partner. In the event of a default under a Related Party Transaction between the Partnership and any of the Cedar Partners or any Affiliate or permitted assignee thereof, RioCan shall have the right to enforce the terms of such Related Party Transaction on behalf of the Partnership. In the event that any of the Property Management Agreements with respect to which Cedar Operating Partnership or its Affiliate is the Property Manager is terminated, with respect to any decision to enter into a replacement Property Management Agreement the following procedure shall govern: (i) RioCan shall forthwith submit to the Cedar Partners the names of at least three (3) property managers (the “Nominees”) each of whom is ...
Transactions with Partners or Affiliates. (i) Except for the Management Agreement or as specifically provided in this Agreement, to the extent that any Partner or any Affiliate of any Partner enters into any transaction with the Partnership, the Master Fund or Healthcare Company, the terms and conditions of such transaction shall be no less favorable to the Partnership, the Master Fund or such Healthcare Company than those that could have been obtained for comparable products or services from an unaffiliated third party with similar expertise and experience and any such transaction shall be approved by the Advisory Committee. (ii) Except with the approval of the Advisory Committee, neither the Master Fund nor the Partnership shall invest in any Person in which the Principals or any of their Affiliates (including any Successor Fund) have a pre- existing economic interest (other than de minimis passive interests in, for example, publicly traded Securities) and if such investment is made, it shall be disclosed to the Investor Limited Partners. Except with the approval of the Advisory Committee, neither the Master Fund nor the Partnership shall acquire any interest in a Healthcare Company from, or sell any interest in a Healthcare Company to, the Principals or any of their Affiliates (including any Successor Fund) and if such an acquisition or sale is made, it shall be disclosed to the Investor Limited Partners.

  • Transactions with Shareholders and Affiliates No Borrower shall, nor shall it permit any of its Restricted Subsidiaries to, directly or indirectly, enter into or permit to exist any transaction (including the purchase, sale, lease or exchange of any property or the rendering of any service) with any Affiliate of any Credit Party; provided, however, that the Borrowers and the Restricted Subsidiaries may enter into or permit to exist any such transaction if the terms of such transaction are not, taken as a whole, less favorable in any material respect to such Borrower or that Restricted Subsidiary, as the case may be, than those that might be obtained at the time in a comparable arm’s length transaction from a Person who is not an Affiliate; provided, further, that the foregoing restrictions shall not apply to (a) (i) any transaction between Credit Parties and (ii) transactions between or among (x) Restricted Subsidiaries that are not Credit Parties and (y) Credit Parties and Restricted Subsidiaries that are not Credit Parties to the extent permitted under this Agreement; (b) transactions, arrangements, fees reimbursements and indemnities specifically and expressly permitted between or among such parties under this Agreement or any other Credit Document; (c) reasonable compensation arrangements for members of the board of directors (or similar governing body), officers and other employees of each Credit Party and its Restricted Subsidiaries entered into in the ordinary course of business; (d) Restricted Payments and Restricted Debt Payments permitted by Section 6.05(a) or (b), (e) Investments permitted by Section 6.07; (f) Permitted Stock Issuances; (g) the existence of, and the performance by any Credit Party of its obligations under the terms of, any Organizational Document or security holders agreement (including any purchase agreement related thereto) to which it is a party on the Closing Date and set forth on Schedule 6.12; (h) payments under the TCP Director Agreement; and (i) guarantees permitted by Section 6.01.

The foregoing limitation does not limit, and shall not apply to: (1) transactions (A) approved by a majority of the disinterested members of the Board of Directors or (B) for which the Company, a Restricted Subsidiary or a Regulated Subsidiary delivers to the Trustee a written opinion of a nationally recognized investment banking, accounting, valuation or appraisal firm stating that the transaction is fair to the Company or such Restricted Subsidiary or Regulated Subsidiary from a financial point of view; (2) any transaction solely among the Company, its Wholly Owned Restricted Subsidiaries or its Wholly Owned Regulated Subsidiaries or any combination thereof; (3) the payment of reasonable and customary regular fees to directors of the Company who are not employees of the Company and customary indemnification arrangements entered into by the Company; (4) any payments or other transactions pursuant to any tax-sharing agreement between the Company and any other Person with which the Company files a consolidated tax return or with which the Company is part of a consolidated group for tax purposes; (5) any sale of shares of Capital Stock (other than Disqualified Stock) of the Company; (6) the granting or performance of registration rights under a written agreement and approved by the Board of Directors of the Company, containing customary terms, taken as a whole; (7) loans to an Affiliate who is an officer, director or employee of the Company, a Restricted Subsidiary or a Regulated Subsidiary by a Regulated Subsidiary in the ordinary course of business in accordance with Sections 7 and 13(k) of the Exchange Act; (8) deposit, checking, banking and brokerage products and services typically offered to our customers on substantially the same terms and conditions as those offered to our customers, or in the case of a Bank Regulated Subsidiary, as otherwise permitted under Regulation O promulgated by the Board of Governors of under the Federal Reserve System; or (9) any Permitted Investments or any Restricted Payments not prohibited by Section 4.04. Notwithstanding the foregoing, any transaction or series of related transactions covered by the first paragraph of this Section 4.08 and not covered by clauses (2) through (6) of this paragraph, (a) the aggregate amount of which exceeds $15 million in value, must be approved or determined to be fair in the manner provided for in clause (l)(A) or (B) above and (b) the aggregate amount of which exceeds $25 million in value, must be determined to be fair in the manner provided for in clause (l)(B) above.
