Transfer of the License. 2.12.1. Subject to Section 617 of the Communications Act, M.G.L. Chapter 166A and Section 2.12.2 below, the Licensee shall not transfer this License without the prior consent of the Issuing Authority, provided that such consent shall not be arbitrarily or unreasonably withheld, delayed or conditioned. Such consent shall be given only after a public hearing upon a written application therefore on forms prescribed by the Cable Division and/or the FCC. Subject to applicable law, the Licensee shall submit to the Issuing Authority an original and one (1) copy of the application on FCC Form 394 requesting such transfer request. The Issuing Authority shall have one hundred twenty (120) days, or such other time frame that may be established by applicable law, from the filing of the completed Form 394 to take final action on it. If the Issuing Authority has not taken final action within such 120 day period, then the application shall be deemed approved, unless said 120 day period is extended by mutual consent of the parties. 2.12.2. The Licensee shall not be required to obtain the Issuing Authority’s consent to transfer this License in connection with any transaction that does not constitute a transfer of control under applicable State laws and regulations, including, without limitation, the following: (i) (A) a transfer of an ownership or other interest in the Licensee to the parent of the Licensee or to another Affiliate of the Licensee; (B) transfer or assignment of this License or control thereof to the parent of the Licensee or to another Affiliate of the Licensee;

Transfer of the License. The Software can be transferred from one computer system to another, unless contrary to the terms of the Agreement. If not contrary to the terms of the Agreement, the End User shall only be entitled to permanently transfer the License and all rights ensuing from this Agreement to another End User with the Provider's consent, subject to the condition that (i) the original End User does not retain any copies of the Software; (ii) the transfer of rights must be direct, i.e. from the original End User to the new End User; (iii) the new End User must assume all the rights and obligations incumbent on the original End User under the terms of this Agreement; (iv) the original End User has to provide the new End User with documentation enabling verification of the genuineness of the Software as specified under Article 17.

Transfer of the License. 12.1 The Purchased right of the Licensee to Use the Licensed Software in accordance with this Agreement may be transferred or otherwise passed on to a third party only after first notifying EXA thereof in writing. The aforementioned right of Use may not be transferred or passed on unless 12.1.1 the Licensee discontinues its Use, deletes all modules of the Licensed Software including any and all installations, copies or partial copies thereof, forwards the original Licensed Software versions being Used by the Licensee to the new licensee, and 12.1.2 the new licensee states in writing to EXA that it is willing to assume all rights and duties of the original Licensee based on the license agreement existing with respect to the relevant Licensed Software. 12.2 Before any such rights are transferred or passed, the Licensee must provide EXA with written notice about the name of the recipient and the company's address.
Transfer of the License. (a) The Licensee shall not either directly or indirectly assign, delegate, transfer or encumber in any manner, the rights, interests, or obligations under this license without the prior express and written consent of the Licensor. The Licensor shall not unreasonably withhold or delay to provide consent sought under this clause. (b) Where the nature of transaction sought to be entered into by the licensee materially results into a change in control of the licensee, the Licensor shall only consent to such change after: i. The Licensor is satisfied that the licensee and the person to whom the license is sought to be transferred have satisfied the obligations under Section 42 of the Act and Regulations. ii. Payment of the transfer fees prescribed in Schedule B. iii. Satisfying the Licensor that the transfer shall not result into a breach of the provisions of the Act and the Regulations on fair competition.

(b) Pursuant to applicable federal and State law(s), in considering a request to transfer control of the License, the Issuing Authority may consider such factors as the transferee's financial capability, management experience, technical expertise, legal ability to operate the Cable System under the existing license and any other criteria allowable under such applicable law(s) and/or regulation(s). (c) For purposes of this Section 2.6, the word "control" shall comply with the definition of such in 207 CMR 4.01, as may be amended from time to time. Pursuant to 207 CMR 4.01(2), a transfer or assignment of this License or control thereof between commonly controlled entities, between affiliated companies, or between parent and subsidiary corporations, shall not constitute a transfer or assignment of this License or control thereof under M.G.L. c. 166A, Section 7. For purposes of this Section 2.6(c) only, under 207 CMR 4.00, an "affiliated company" is any Person or entity that directly or indirectly, or through one or more intermediaries, controls, is controlled by, or is under common control with another Person or entity. (d) The consent or approval of the Issuing Authority to any assignment or transfer of the License granted to the Licensee shall not constitute a waiver or release of the rights of the Town in and to the streets and Public Ways or any other rights of the Town under the License, and any such transfer shall, by its terms, be expressly subordinate to the terms and conditions of this License. Transfer of the License. (1) Licensee, if a natural person, may with Licensor’s consent, which will not be unreasonably withheld, transfer the License to Licensee’s spouse, parent, sibling, niece, nephew, descendant, or spouse’s descendant, provided that: (a) adequate provision is made for the management of the Hotel; and (b) the transferee executes a new license agreement for the unexpired term of this License, on the standard form then being used to license new Hotels under the System, except the fees charged thereunder shall be the same as those contained herein including any adjustments to such fees as may have been implemented from time to time in accordance with the terms of this License; and (c) Licensee guarantees, in Licensor’s usual form, the performance of the transferee’s obligations under the newly executed license agreement. (2) If Licensee is a natural person, he may, without the consent of Licensor, upon 30 days’ prior written notice to Licensor, transfer the License to a corporation entirely owned by him, provided that: (a) adequate provision is made for the management of the Hotel; and (b) the transferee executes a new license agreement for the unexpired term of this License on the standard form then being used to license new Hotels under the System, except the fees charged then shall be the same as those contained herein including any adjustments to such fees as may have been implemented from time to time in accordance with the terms of this License; and (c) the Licensee guarantees, in Licensor’s usual form, the performance of the new licensee’s obligations under the newly executed license agreement. (3) If Licensee is a natural person, upon Licensee’s death, the License will pass in accordance with Licensee’s will, or, if Licensee dies intestate, in accordance with the laws of intestacy governing the distribution of Licensee’s estate, provided that: (a) adequate provision has been made for management of the Hotel; and (b) Licensor gives written consent, which consent will not be unreasonably withheld; and (c) the transferee is one or more of the decedent’s spouse, parents, siblings, nieces, nephews, descendants, or spouse’s descendants and; (d) Licensee’s heirs or legatees promptly advise Licensor and the transferee promptly executes a new license agreement for the unexpired term of this License, on the standard form then being used to license new Hotels under the System, except the fees charged thereunder shall be the same as contained herein including any adj...

(ii) The restrictions contained in this SECTION 2.6(a) shall not apply with respect to any Transfer of Units or any part thereof by any Member (a) among its Affiliates, (b) to any lender to whom a Member's Units or any part thereof are assigned or pledged pursuant to a loan agreement, (c) to any Member's spouse or children or to a trust or the trustee or 8 68 trustees of a trust directly or indirectly for the benefit of the Member's spouse, children or a charitable organization, (d) to the Member's executors, administrator, testamentary trustee, legatees or beneficiaries upon the Member's death, or (e) by gift (all such transferees shall be collectively referred to as the "Permitted Transferees"); PROVIDED, that the Permitted Transferee shall execute a counterpart of this Agreement; and PROVIDED, FURTHER that the restrictions contained in this Agreement shall continue to apply to the Units after such Transfer by reference to the original Member; and PROVIDED, FURTHER, that the transferor shall remain liable for all of its obligations under this Agreement that survive.
