Transponder Performance Specifications. Buyer's Transponders, upon -------------------------------------- Delivery, shall al least meet the Transponder Performance Specifications throughout the duration of the Warranty Period. "Warranty Period" shall mean that period of time commencing on the Delivery Date and continuing until ten (10) years after the Delivery Date. "Fully Warranted" as to Buyer's G-V Transponders shall mean that, if any of Buyer's G-V Transponders become Failed Transponders during the Warranty Period, then Buyer shall be entitled to the repayment set forth in Section 12.03.
Transponder Performance Specifications. Buyer’s Transponders have not suffered an Event of Loss and on the date hereof meet the Transponder Performance Specifications set forth in Annex 1 to the Xxxx of Sale, except to the extent (if any) identified in a certificate, satisfactory to Buyer, delivered by Seller to Buyer prior to execution and delivery of this Purchase Agreement, as having not met the Transponder Performance Specifications. This representation (to the extent relating to satisfaction of the Transponder Performance Specifications) is based upon the acceptance tests conducted following the In-Service Date as reflected in the report referred to in Section 3.01(x)(i) of the Participation Agreement (the “Acceptance Tests”), which Acceptance Tests are sufficient to enable Seller to determine with a high degree of certainty whether the Transponder Performance Specifications have been met. The Acceptance Tests are sufficient to furnish to the Independent Appraiser information concerning such physical characteristics of the Satellite and Buyer’s Transponders as the Independent Appraiser reasonably indicates is necessary for the Independent Appraiser to complete the Closing Date Appraisal. Seller has provided to Buyer’s Satellite Consultant, the results of the Acceptance Tests, to the extent not included in such report.

  • Technical Specifications Each Bloom System is an integrated system comprised of a fuel cell stack assembly and associated balance of plant components that converts a fuel into electricity using electrochemical means that (i) has a Nameplate Capacity of at least 0.5 kilowatts of electricity using an electrochemical process and (ii) has an electricity-only generation efficiency greater than thirty percent (30%).

  • Service Levels (1) DTI shall perform the Services in accordance with the service levels (the "Service Levels") as may be agreed to from time to time in writing by DTI and the Funds (the "Service Level Agreement").   • Quality Specifications SANMINA-SCI shall comply with the quality specifications set forth in its Quality Manual, incorporated by reference herein, a copy of which is available from SANMINA-SCI upon request.

  • Performance Standards The Custodian shall use its best efforts to perform its duties hereunder in accordance with the standards set forth in Schedule C hereto. Schedule C may be amended from time to time as agreed to by the Custodian and the Trustees of the Fund.

  • KEY PERFORMANCE INDICATORS (a) The Custodian and the Funds may from time to time agree to document the manner in which they expect to deliver and receive the services contemplated by this Agreement. The parties agree that any such key performance indicators (hereinafter referred to as “KPIs” or, individually as a “KPI”) shall be agreed upon in writing by the parties and shall be reflected in one or more schedules to this Agreement. The Custodian and the Funds acknowledge that any failure to perform in accordance with KPIs shall not in and of itself be considered a breach of contract that gives rise to contractual or other remedies provided that such failure may be a breach giving rise to contractual or other remedies if it is persistent and not remedied after consultation. Nothing in this Section 11 shall modify any party’s applicable standard of care under this Agreement; nor shall any meeting or discussion among the parties regarding KPIs be construed to prevent a party from pursuing any remedy otherwise available to it pursuant to this Agreement.

  • Service Level Agreement Subject to the terms and conditions of this Agreement, Bank agrees to perform the custody services provided for under this Agreement in a manner that meets or exceeds any service levels as may be agreed upon by the parties from time to time in a written document that is executed by both parties on or after the date of this Agreement, unless that written document specifically states that it is not contractually binding. For the avoidance of doubt, Bank’s Service Directory shall not be deemed to be such a written document.
