Uncommercial Transactions. (a) Subject to clause 22.3(b), none of the Trustee, a member, director, employee, agent or officer of the Trustee, the Settlor, a legal personal representative of the Settlor or an Associate of the Settlor or Trustee may become an Eligible Noongar Entity or directly or indirectly receive any part of the Trust Fund or the income.

Uncommercial Transactions. A liquidator is able to recover money or property associated with transactions entered into by a company where: ▪ a reasonable person in the company’s circumstances would not have entered into the transaction having regard to the benefit and detriment of the transaction; ▪ the company is insolvent or becomes insolvent because of the transaction; and ▪ the transaction occurred within 2 years of the liquidation (or earlier appointment of an administrator), or 4 years if the transaction was with a related party, or 10 years if the transaction was made to defeat creditors. Whilst the Administrators’ investigations did uncover examples of transactions which may potentially be uncommercial transactions, for the reasons set out in section 10.3.11, it is the Administrators’ view that each of the entities in the ION Administration Group was unlikely to be insolvent until immediately prior to the appointment of the Administrators and, accordingly the prospects of successfully arguing that such transactions are voidable or uncommercial are minimal.

  • Illegal Transactions You agree that your Card and account will not be used to make or facilitate any illegal transactions as determined by applicable law; and that any such use will constitute an event of default under this Agreement. We may decline any transaction that we believe to be illegal under applicable law, including but not limited to any transaction involving or relating to any gambling activity. You agree that we will have no liability or responsibility for any such use by you or any authorized user(s); or for declining any such transaction. You further agree to indemnify and hold us harmless from any suits, liability, damages or adverse action of any kind that results directly or indirectly from such illegal use. You promise to pay us any and all amounts owing on your Card for any transactions made by you, even if the transaction is determined to be illegal.

  • Cooperative Procurement To the maximum extent permitted by applicable law, we agree that this Agreement may be used as a cooperative procurement vehicle by eligible jurisdictions. We reserve the right to negotiate and customize the terms and conditions set forth herein, including but not limited to pricing, to the scope and circumstances of that cooperative procurement.

  • CFR PART 200 Procurement of Recovered Materials A non-Federal entity that is a state agency or agency of a political subdivision of a state and its contractors must comply with section 6002 of the Solid Waste Disposal Act, as amended by the Resource Conservation and Recovery Act. The requirements of Section 6002 include procuring only items designated in guidelines of the Environmental Protection Agency (EPA) at 40 CFR part 247 that contain the highest percentage of recovered materials practicable, consistent with maintaining a satisfactory level of competition, where the purchase price of the item exceeds $10,000 or the value of the quantity acquired during the preceding fiscal year exceeded $10,000; procuring solid waste management services in a manner that maximizes energy and resource recovery; and establishing an affirmative procurement program for procurement of recovered materials identified in the EPA guidelines.   • OVERSEAS TRANSACTIONS 13.1 The Cardmember may use the Credit Card outside Malaysia where there are Authorised Merchants and/or Authorised Cash Outlets.

  • Public Procurement 1. The Parties consider the liberalization of their respective public procurement markets as an objective of this Agreement.

  • International Transactions When you use your Visa Debit Card, Platinum Visa Credit Card, or ATM card for international transactions, a fee will be assessed. You agree to pay a 1.00% international transaction fee for ATM and point-of-sale (i.e., PIN-based) transactions and a 3.00% international transaction fee for all other international transactions and cash advances. The fee will be assessed on international transactions if a currency conversion does take place or if the transaction is processed in U.S. dollars. When you use your Visa Debit Card, Visa Credit Card, or ATM card at a merchant that settles in, or at an ATM that dispenses, currency other than U.S. dollars, the charge will be converted into the U.S. dollar amount. The currency conversion rate used to determine the transaction amount in U.S. dollars is either a wholesale market rate or the government-mandated rate in effect the day before the processing date. The conversion rate in effect on the processing date may differ from the rate in effect on the transaction date or posting date. The International Transaction Fee will be calculated after the transaction has been converted to U.S. dollars.

  • Split Transactions You can instruct a merchant to charge your Card for part of a purchase and pay any remaining amount with cash or another card. This is called a “split transaction.” Some merchants do not permit split transactions. If you wish to conduct a split transaction, you must tell the merchant the exact amount you would like charged to your Card. If you fail to inform the merchant you would like to complete a split transaction and you do not have sufficient available funds in your Account to cover the entire purchase amount, your Card is likely to be declined.
