Unsolicited Faxes. Except as provided in this section, Market Partners may not use or transmit unsolicited faxes or use an automatic telephone dialing system in connection with the operation of their MONAT businesses. The term “unsolicited faxes” means the transmission via fax of any material or information advertising or promoting MONAT, its products, the Compensation Plan or any other aspect of the company which is transmitted to any person, except that any person with whom the Market Partner has an established business or personal relationship. The term “established business or personal relationship” means a prior or existing relationship formed by a voluntary two way communication between a Market Partner and a person, on the basis of: (a) an inquiry, application, purchase or transaction by the person regarding products offered by such Market Partner; or (b) a personal or familial relationship, which relationship has not been previously terminated by either party. Unsolicited Faxes. Except as expressly provided in this section, the Leaders may not use or transmit unsolicited faxes in connection with their VIVRI® business. The term "unsolicited faxes" shall include the transfer by telephone, fax or computer of any advertising material or information or promotion of VIVRI®, its products, its compensation plan or any other aspect of the Company to any person, except that these terms do not include a fax: (a) to any person with prior express permission or invitation, or (b) to any person with whom the Leader has an established business or personal relationship. The term "established business or personal relationship" implies a previous or existing relationship formed by a mean of voluntary and reciprocal communication between a Leader and a specific person, based on: (a) a consultation, request, purchase or transaction by the person in relation to the products offered by the Leader; or, (b) a personal or family relationship, which has not been previously terminated by either party. Leaders can list themselves as an "Independent VIVRI® Leader" in the white or yellow pages of the phone book, or in online directories, under their own name. No Leader can advertise by phone or notices in online directories using VIVRI®’s name or logo. Leaders can not answer the phone by saying "VIVRI®", or in any other way that would lead the caller to believe that he or she has contacted the corporate offices of VIVRI®. If a Leader wants to publish his/her name in a telephone or directory online, he/she must be registered in the following manner: Name of the Leader Independent Leader of VIVRI®

Notwithstanding the foregoing, nothing shall prohibit the Company from (a) furnishing information to, participating in discussions and negotiations directly or through its representatives or entering into an agreement relating to an Acquisition Proposal with, any third party (including parties with whom the Company or its representatives have had discussions on any basis on or prior to the date hereof) who makes an unsolicited proposal or offer to the Company or makes an unsolicited request for non-public information about the Company (pursuant to appropriate confidentiality agreements), which proposal, offer or request did not result from a breach of the first sentence of this Section 5.7, if the Company Board determines in good faith, after receiving advice from its financial advisors and independent legal counsel at a meeting of the Company Board, that such action is required for the Company Board to comply with its fiduciary duties under applicable law, (b) taking and disclosing to its stockholders any position, and making related filings with the SEC, as required by Rules l4e-2 and 14d-9 under the Exchange Act with respect to any tender offer or (c) taking any action and making any disclosure which the Company Board determines, after receiving advice from its financial advisors and independent legal counsel at a meeting of the Company Board, is required to be taken or made under applicable law (including, without limitation, laws relating to the fiduciary duties of directors), provided that at least 48 hours prior to the entry into or announcement of an intention to enter into a definitive agreement with respect to an Acquisition Proposal, the Company shall have provided written notice to Parent advising Parent of its intention to enter into a definitive agreement with respect to an Acquisition Proposal and specifying the material terms and conditions of such Acquisition Proposal.

  • Bona Fide Request/New Business Request Process for Further Unbundling 6.1 BellSouth shall, upon request of <<customer_name>>, provide to <<customer_name>> access to its network elements at any technically feasible point for the provision of <<customer_name>>'s telecommunications service where such access is necessary and failure to provide access would impair the ability of <<customer_name>> to provide services that it seeks to offer. Any request by <<customer_name>> for access to a network element, interconnection option, or for the provisioning of any service or product that is not already available shall be treated as a Bona Fide Request/New Business Request (BFR/NBR), and shall be submitted to BellSouth pursuant to the BFR/NBR process. 6.2 <<customer_name>> shall submit any BFR/NBR in writing to <<customer_name>>’s Account Manager. The BFR/NBR shall specifically identify the requested service date, technical requirements, space requirements and/or such specifications that clearly define the request such that BellSouth has sufficient information to analyze and prepare a response. The BFR/NBR also shall include <<customer_name>>’s designation of the request as being (i) pursuant to the Telecommunications Act of 1996 or (ii) pursuant to the needs of the business.
