UPI Software Performance Requirements. The UPI Software will meet the following minimum performance characteristics, with such characteristics being subject to acceptance by AT&T pursuant to Exhibit C and Exhibit H: The environment under which the UPI Software will perform is as follows: . Be compatible with providing electronic mail boxes (addresses and email store and forward capability) to at least [****] Subscribers at the initial installation site on or before the Launch Date, and to [****] Subscribers on or before [*************]. . Provide maximum user response times (independent of non-UPI licensed software constraints) of no greater than [******] from user input to system response (with non-UPI licensed software latencies removed) during peak utilization periods. Peak utilization periods are defined as no less than [*] Subscriber utilization (e.g., [***************] accessing the system at the same time at initial installation).   • Performance Requirements To receive the Monthly Capacity Payment in Section 8.1.2.1, Seller shall provide the Contract Capacity in each Peak Month for all on-peak hours as such peak hours are defined in Edison's Tariff Schedule No. TOU-8 on file with the Commission, except that Seller is entitled to a 20% allowance for Forced Outages for each Peak Month. Seller shall not be subject to such performance requirements for the remaining hours of the year.

  • Hardware and Software Requirements In order to access and retain Disclosures electronically, you must satisfy the following computer hardware and software requirements: access to the Internet; an email account and related software capable of receiving email through the Internet; a web browser which is SSL-compliant and supports secure sessions, and hardware capable of running this software.

  • Service Levels (1) DTI shall perform the Services in accordance with the service levels (the "Service Levels") as may be agreed to from time to time in writing by DTI and the Funds (the "Service Level Agreement"). Nothing in this Section 11 shall modify any party’s applicable standard of care under this Agreement; nor shall any meeting or discussion among the parties regarding KPIs be construed to prevent a party from pursuing any remedy otherwise available to it pursuant to this Agreement.

  • Performance Standard Consultant represents and warrants that Services will be performed in a thorough and professional manner, consistent with high professional and industry standards by individuals with the requisite training, background, experience, technical knowledge and skills to perform Services.
