Use Parameters. If and when Participant successfully completes the Course and receives a Course completion certificate, and Participant is granted the limited license rights in Section 8(a), Participant agrees to use the Marks and other Licensed Property in strict compliance with the Licensed Marks Usage Guidelines attached hereto as Attachment I. Participant agrees to use the Excluded Marks in strict compliance with the Excluded Xxxx Usage Guidelines attached hereto as Attachment II. Participant agrees that it shall not use, or permit any Person to use, the Marks or the Excluded Marks without the prior written consent of Institute. Further, Participant may not use any Marks or the Excluded Marks in any manner which implies that the Institute, as opposed to the Participant, is the seller or provider of the Participant’s services. As a condition to use of the Marks and the Excluded Marks, Participant shall establish and maintain, and shall cause its agents, employees, consultants and related Persons to establish and maintain a high standard of ethical business practices in connection with Participant’s sale of products or services. Participant, its agents, employees, consultants and related Persons shall not engage in any deceptive, unethical, improper, or illegal business practice, promotion or advertising that could reasonably be expected to be injurious to Institute’s business, reputation or goodwill. Participant’s use of the Marks or the Excluded Marks does not confer upon the Participant any ownership rights in the licensed property, and any and all rights and goodwill inuring from such use shall inure to the benefit of Institute. Upon any violation of this Agreement by Participant, or upon any deficiency in the quality of the services offered by Participant (as determined by Institute in its sole discretion), Institute shall have the right, but not the obligation, to immediately terminate any license to the Marks and/or Licensed Property and/or the Excluded Marks.

Use Parameters. 2.2.1. The QA Program Marks may be used in publications, advertising, and other communications issued by the Participant related to installation of HVAC systems covered by the QA Program and sold by the Participant. 2.2.2. Participant agrees that it will use the QA Program Marks only in connection with products and services that meet the program requirements and that are installed, provided, and sold by the Participant under its own name and/or “doing business name,” as identified in the Participant’s Application for Participation in the QA Program. 2.2.3. Participant agrees that it shall not use, or permit any person or entity to use, the Program Marks without the prior written consent of the QA Administrator, except to the limited extent that such use is authorized under this Agreement. Further, Participant may not use any the QA Program Xxxx in any manner which implies that the QA Administrator, as opposed to the Participant, is the seller or provider of the Participant’s products or services or warrants said products and services. Participant’s use of the QA Program Marks does not confer upon the Participant any ownership rights in the licensed property.

  • Proposed Policies and Procedures Regarding New Online Content and Functionality By October 31, 2017, the School will submit to OCR for its review and approval proposed policies and procedures (“the Plan for New Content”) to ensure that all new, newly-added, or modified online content and functionality will be accessible to people with disabilities as measured by conformance to the Benchmarks for Measuring Accessibility set forth above, except where doing so would impose a fundamental alteration or undue burden. a) When fundamental alteration or undue burden defenses apply, the Plan for New Content will require the School to provide equally effective alternative access. The Plan for New Content will require the School, in providing equally effective alternate access, to take any actions that do not result in a fundamental alteration or undue financial and administrative burdens, but nevertheless ensure that, to the maximum extent possible, individuals with disabilities receive the same benefits or services as their nondisabled peers. To provide equally effective alternate access, alternates are not required to produce the identical result or level of achievement for persons with and without disabilities, but must afford persons with disabilities equal opportunity to obtain the same result, to gain the same benefit, or to reach the same level of achievement, in the most integrated setting appropriate to the person’s needs. b) The Plan for New Content must include sufficient quality assurance procedures, backed by adequate personnel and financial resources, for full implementation. This provision also applies to the School’s online content and functionality developed by, maintained by, or offered through a third-party vendor or by using open sources. c) Within thirty (30) days of receiving OCR’s approval of the Plan for New Content, the School will officially adopt, and fully implement the amended policies and procedures.

  • Changes to Specifications All Specifications and any changes thereto agreed to by the parties from time to time shall be in writing, dated and signed by the parties. Any change to the Process shall be deemed a Specification change. No change in the Specifications shall be implemented by Catalent, whether requested by Client or requested or required by any Regulatory Authority, until the parties have agreed in writing to such change, the implementation date of such change, and any increase or decrease in costs, expenses or fees associated with such change (including any change to Unit Pricing). Catalent shall respond promptly to any request made by Client for a change in the Specifications, and both parties shall use commercially reasonable, good faith efforts to agree to the terms of such change in a timely manner. As soon as possible after a request is made for any change in Specifications, Catalent shall notify Client of the costs associated with such change and shall provide such supporting documentation as Client may reasonably require. Client shall pay all costs associated with such agreed upon changes. If there is a conflict between the terms of this Agreement and the terms of the Specifications, this Agreement shall control. Catalent reserves the right to postpone effecting changes to the Specifications until such time as the parties agree to and execute the required written amendment.

  • Interconnection Facilities Engineering Procurement and Construction Interconnection Facilities, Network Upgrades, and Distribution Upgrades shall be studied, designed, and constructed pursuant to Good Utility Practice. Such studies, design and construction shall be based on the assumed accuracy and completeness of all technical information received by the Participating TO and the CAISO from the Interconnection Customer associated with interconnecting the Large Generating Facility.

  • SINGLE-USE PRODUCTS The Board of County Commissioners has established a single-use products and plastic bags policy intended to reduce the use of products which have become globally recognized as having lasting negative impacts on the environment. Neither single-use products nor plastic bags may be sold or disbursed on County property by staff or contracted vendors, except as set forth in Orange County Administrative Regulation 9.01.03. Failure to comply with the Regulation may result in termination of the contract or other contractual remedies, and may affect future contracting with the County. The use of reusable, recyclable, biodegradable, or compostable materials is encouraged.
