Vendor Manager. Vendor shall assign a manager (“Vendor Manager”) to manage Vendor’s performance of the Services. The Vendor Manager shall be responsible for Vendor’s day-to-day activities under this Agreement and for providing the State of Iowa reports as provided in Section 18.2 (Reports) or elsewhere in this Agreement. The Vendor Manager shall also serve as Vendor’s liaison with the State of Iowa, assign and schedule Vendor Personnel to perform all of the Services required by Vendor under this Agreement, and act as Vendor’s initial representative for dispute resolution. Any change of the Vendor Manager (other than death, disability or Vendor Manager’s voluntary departure from Vendor) shall be subject to the State of Iowa’s prior approval, which approval shall not be unreasonably withheld or delayed.

Vendor Manager. Customer has appointed Xxxxx Outsourcing and Consulting Group (“KOCG”), a business line of Xxxxx Payroll Services Limited, to act as its vendor manager, payment and billing agent to coordinate and manage its relationships with the Supplier providing the Services. Supplier acknowledges that KOCG and Supplier shall enter into a separate Agency Services Agreement (“ASA”) that will set forth the terms and conditions under which KOCG will act on Customer’s behalf in relation to services provided by Supplier.

  • Manager 5.1. Rules relating to the rights, duties and responsibilities of the Managers shall be governed by the Act. Such provisions are hereinafter incorporated into this Agreement by reference. Without limiting the generality of the foregoing, the Manager shall have the powers set forth in Paragraph 5.3 below.

  • Personnel Provide, without remuneration from or other cost to the Trust, the services of individuals competent to perform the administrative functions which are not performed by employees or other agents engaged by the Trust or by the Adviser acting in some other capacity pursuant to a separate agreement or arrangement with the Trust.

  • Senior Management If a Dispute occurs that the senior representatives of the Parties responsible for the transaction contemplated by this Agreement have been unable to settle or agree upon within a period of fifteen (15) calendar days after such Dispute arose, Seller shall nominate and commit one of its senior officers, and Buyer shall nominate and commit one of its senior officers, to meet at a mutually agreed time and place not later than thirty (30) calendar days after the Dispute has arisen to attempt to resolve same. If such senior management have been unable to resolve such Dispute within a period of fifteen (15) calendar days after such meeting, or if such meeting has not occurred within forty-five (45) calendar days following such Dispute arising, then either Party shall have the right, by written notice to the other, to resolve the Dispute through the relevant Independent Expert pursuant to Section 16.03.

  • Manager Personnel The Manager shall authorize and permit any of its directors, officers and employees who may be elected or appointed as Trustees or officers of the Trust to serve in the capacities in which they are elected or appointed. Services to be furnished by the Manager under this Agreement may be furnished through the medium of any of such directors, officers, or employees.

  • Management Team Subject to any approval or consulting rights of the --------------- Joint Operations Committee, Manager shall engage or designate one or more individuals experienced in dental group management and direction, including, but not limited to, an administrator, who will be responsible for the overall administration of the Practice including day-to-day operations and strategic development activities.
