Vendor's Certificate. Vendor will have delivered to the Purchaser a certificate of Vendor, executed by a director or officer of Vendor, dated the time of closing, certifying in a form acceptable to the Purchaser, acting reasonably, to the fulfillment of the conditions set forth in Sections 10.1, 10.2 and 10.5.
Vendor's Certificate a certificate of the Vendor confirming that the Vendor is registered under the Harmonized Sales Tax provisions of the Excise Tax Act and that the Vendor’s registration number is 119368108.
Vendor's Certificate. Notwithstanding anything else contained herein, the Purchaser shall be entitled to fully pursue all rights or remedies available to it in law or in equity if either or both of the Vendor's Certificates to be delivered at the Closing pursuant to paragraph 6.1.5(e) are untrue or incorrect and nothing contained in this Agreement shall limit or restrict the claims or remedies of the Purchaser against the persons declaring such certificates, it being acknowledged by the parties that the Purchaser shall be relying on the truth of the Vendor's Certificates in completing the transaction contemplated herein.
Vendor's Certificate. The Vendor will have delivered to the Purchaser and the Parent Company a certificate of the Vendor's Manager, as a manager of the Vendor and not in his personal capacity, dated the Closing Date and certifying in such detail specified by the Purchaser and the Parent Company the fulfillment of the conditions set forth in sections 9.2 and 9.3.

Vendor's Certificate. On the second Business Day before the Completion Date, the Vendor will deliver to the Purchaser a certificate confirming as at the date of delivery:
(a) that the Vendor has complied with clause 4.1 or, to the extent it has not, giving reasonable particulars of each breach; and
(b) the Warranties are materially accurate, or, if the Vendor is aware of anything which has occurred since the Effective Date to make any such Warranty materially inaccurate, giving reasonable particulars of the event and the nature of the inaccuracy.
Vendor's Certificate. On the second Working Day before each Completion Date, the Vendor must deliver to the Purchaser a certificate (the Vendor’s Certificate) signed by the Vendor’s authorised representative certifying that as at the relevant Completion Date the Vendor Warranties are true, complete and accurate and not misleading or, if the Vendor is aware of anything which has occurred since the date of this Agreement to make any Vendor Warranty untrue, incomplete, inaccurate or misleading, giving full particulars of the event and the nature and extent of it.
Vendor's Certificate. The Vendor will have signed and delivered to the Purchaser a certificate dated the Closing Date and certifying in detail that the Purchaser may specify to the fulfillment of the conditions set forth in sections 8.1 and 8.2.
