The Vendor will have delivered to the Purchaser a certificate of the President and Secretary of the Vendor, dated the Closing Date, certifying in such detail as the Purchaser may specify to the fulfillment of the conditions set forth in sections 10.1 and 10.2. The foregoing conditions are for the exclusive benefit of the Purchaser and any such condition may be waived in whole or in part by the Purchaser at or before Closing by delivering to the Vendor a written waiver to that effect signed by the Purchaser.

On the second Working Day before each Completion Date, the Vendor must deliver to the Purchaser a certificate (the Vendor’s Certificate) signed by the Vendor’s authorised representative certifying that as at the relevant Completion Date the Vendor Warranties are true, complete and accurate and not misleading or, if the Vendor is aware of anything which has occurred since the date of this Agreement to make any Vendor Warranty untrue, incomplete, inaccurate or misleading, giving full particulars of the event and the nature and extent of it.

Vendor's Certificate. Notwithstanding anything contained in this Agreement, each of the Purchaser and Magellan shall be entitled to fully pursue all rights or remedies available to it in law or in equity if either or both of the Vendor's Certificates are untrue, and nothing contained in this Agreement shall limit or restrict the claims or remedies of the Purchaser against the persons declaring such certificates, it being acknowledged by the Parties that the Purchaser and Magellan shall be relying on the truth of the Vendor's Certificates in completing the transactions contemplated by this Agreement.
Vendor's Certificate. Notwithstanding anything contained herein, the Purchaser shall be entitled to fully pursue all rights or remedies available to it in law or in equity if the Vendors’ Certificate is untrue, and nothing contained in this Agreement shall limit or restrict the claims or remedies of the Purchaser against the persons declaring such certificate, it being acknowledged by the Parties that the Purchaser shall be relying on the truth of the Vendors’ Certificate in completing the transactions contemplated by this Agreement.
