Waiver of Right to Rescind. Tenant waives any right to rescind or otherwise cancel or terminate this Lease under Section 223-a of the New York State Real Demised Premises Law or under any present or future statute of similar import then in force and further expressly waives the right to recover any damages which may result from Landlord’s failure to deliver possession of the Demised Premises on the Commencement Date or any particular date. Tenant agrees that this Section 3.03 is intended to constitute “an express provision to the contrary” within the meaning of said Section 223-a.

Waiver of Right to Rescind. Seller and Buyer acknowledge that if this Agreement is not terminated and the transaction contemplated hereby is closed, the payment of money, as limited by the terms of this Agreement, shall be adequate compensation for breach of any representation, warranty, covenant or agreement contained herein or for any other claim arising in connection with or with respect to the transactions contemplated in this Agreement. As the payment of money shall be adequate compensation, Buyer and Seller waive any right to rescind the transactions contemplated by this Agreement.

THE PROVISIONS OF THIS SECTION 11.17 SHALL SURVIVE THE CLOSING.

Notwithstanding the foregoing, in the event the Demised Premises are not ready for occupancy (for reasons other than unavoidable delays or as set forth in the last paragraph of Section 8.01) within 270 days after the date hereof, Tenant may elect to terminate this lease, provided that notice of such election shall be given to Landlord no later than 280 days after the date hereof, time being of the essence in the giving of such notice. If Tenant shall so elect, the parties shall then be released of all liabilities hereunder, each to the other.*
