WARRANTY TO TITLELicensor represents and warrants that (i) it is a Nevada nonprofit corporation exempt from taxation under Section 501(c)(3) of the Internal Revenue Code of 1986; (ii) it owns the Licensed Proprietary Property; (iii) it has the legal power and authority to extend the rights granted to Licensee pursuant to this Agreement; (iv) the execution, delivery and performance of this Agreement have been duly authorized by all necessary corporate action on the part of Licensor; (v) the Licensed Proprietary Property is free and clear of any lien, encumbrance, security interest or restriction on license in the Field of Use; (vi) it has not previously granted, and will not grant during the term of this Agreement, any right, license or interest in or to the Licensed Proprietary Property, or any portion thereof, in the Field of Use inconsistent with the license granted to Licensee herein; and (vii) to Licensor's best knowledge, there are no threatened or pending actions, suits, investigations, claims or proceedings in any way relating to the Licensed Proprietary Property.
WARRANTY TO TITLESeller warrants that title to the share(s) will be conveyed free and clear of all liens, prior to preemptive rights to purchase, encumbrances and assessments, leases, or other pending sales agreements or first rights of refusal. Said warranty shall survive the closing thereof.
WARRANTY TO TITLESeller warrants that title to the CBT Units will be conveyed free and clear of all Liens. Said warranty shall survive the closing hereof and the transfer of the allocation of the CBT Units by Northern to Purchaser.
WARRANTY TO TITLE. Licensor represents and warrants that it owns the Licensed Patents and has the legal power and authority to extend the rights granted to Licensee pursuant to this Agreement, and that it has not assigned, licensed, pledged or compromised the Licensed Patents or made any commitments or offers inconsistent with or in derogation of the rights created by this Agreement.
WARRANTY TO TITLE. 7.1 Seller warrants for itself, its successors and assigns, that it will at the time of delivery and throughout the term of this Agreement have good title to all gas delivered by it hereunder, free and clear of all liens, encumbrances and claims whatsoever; that it will at such time of delivery and throughout the term of this Agreement have good right and title to sell and deliver said gas; and that it will indemnify Buyer and save Buyer harmless from all suits, actions, debts, accounts, damages, costs, losses and expenses arising from or out of adverse claims of any and all persons to said gas or to royalties, taxes, or other charges thereon. In the event of any claim asserted against Seller's title to the gas delivered hereunder, Seller's right to deliver same or the Seller's right to receive payment for all gas delivered hereunder, Buyer may withhold payment of sums due hereunder up to the amount of such claim until such claim is finally determined, either by agreement of the parties or by litigation, or until Seller furnishes a bond in sufficient amount, with sureties satisfactory to Buyer, conditioned to save Buyer free and harmless from any such claim and all expenses incurred in investigating or defending such claim, including, without limitation, attorney fees and costs of court.

  • Warranty of Title Seller warrants that at the time of signing this Agreement, Seller neither knows, nor has reason to know, of the existence of any outstanding title or claim of title hostile to the rights of Seller in the goods.

  • WARRANTY OF TITLE TO GAS 1. Seller warrants the title to all gas delivered hereunder and the right to sell the same and that such gas shall be free and clear from all liens and adverse claims.

  • Warranties of Seller With respect to each Transaction, Seller represents and warrants to Buyer on the Trade Date for each Product that such Product complies with any Applicable Program for which the Product is specified as so complying in the Product Order, and on the Delivery Date for each Product that: (i) Seller has good and marketable title to such Product; (ii) Seller has not sold the Product or any Environmental Attribute of the Product to be transferred to Buyer to any other person or entity;

  • Breach of Representations or Warranties Any representation or warranty made by the Borrower to the Lenders or the Administrative Agent under this Agreement, or any certificate or information delivered in connection with this Agreement, shall be false in any material respect when made or deemed made.

  • Special Warranty of Title Seller shall warrant and defend the title to the Properties conveyed to Buyer against every person whomsoever lawfully claiming the Properties or any part thereof by, through or under Seller or its Affiliate, but not otherwise.

  • WARRANTY TERMS The Seller shall provide warranty for the quality of the Equipment for a period of 12 months. The warranty term shall commence on the day following the date of signing of the Handover Protocol pursuant to Section 10.4 hereof. In case the Buyer accepted the Equipment with defects or unfinished work the warranty term shall commence on the day following the date of removal of the defects or unfinished work. The warranty does not cover consumable things.

  • Warranty of Services Contractor warrants that the services provided conform to the contract requirements, including all descriptions, specifications and attachments made a part of this contract. The Department’s acceptance of services provided by Contractor shall not relieve Contractor from its obligations under this warranty. In addition to its other remedies under this contract, at law, or in equity, the Department may, at Contractor's expense, require prompt correction of any services failing to meet Contractor's warranty herein. Services corrected by Contractor shall be subject to all the provisions of this contract in the manner and to the same extent as services originally furnished.

  • Warranty Disclaimer THE SERVICES AND RELATED DOCUMENTATION ARE PROVIDED “AS IS.” EXCEPT AS OTHERWISE PROVIDED IN THIS AGREEMENT OR AS REQUIRED BY LAW, WE ASSUME NO RESPONSIBILITY FOR THE TIMELINESS, DELETION, MISDELIVERY OR FAILURE TO STORE ANY USER COMMUNICATIONS OR PERSONALIZED SETTINGS. YOU UNDERSTAND AND EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK, THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DOWNLOADED OR OBTAINED AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR THE OBTAINING OF SUCH MATERIAL AND/OR DATA. WE DO NOT MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, CONCERNING THE HARDWARE, THE SOFTWARE, OR ANY PART THEREOF, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND WE MAKE NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES, THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES, OR THAT THE SERVICES WILL MEET ANY USER’S REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE.

  • Service Warranty Provider has carefully examined and analyzed the provisions of this Agreement, including but not limited to all exhibits attached and incorporated into it, and can and will perform, or cause, the Services to be performed in strict accordance with the provisions and requirements of the Agreement. Services will be performed in a timely, professional and workmanlike manner in accordance with all applicable industry and professional standards.

  • Workmanship Warranty Contract warrants that all components or deliverables specified and furnished by or through Contractor under the Project Definition/Work Order meet the completion criteria set forth in the Project Definition/Work Order and any subsequent statement(s) of work, and that services will be provided in a workmanlike manner in accordance with industry standards.
