Xxxxx or Xx. Xxxxx Xxxxxx. Upon registering (re-joining), Member may be required to pay the current Registration Fee as stated in the Member Agreement at the time of registration.
Xxxxx or Xx. Xxxxxx X. Rothenberg as shareholders of said Professional Corporation or on behalf of Dr.
Xxxxx or Xx. Xxxxxx X. Rothenberg personally. XXXXXX agrees to cooperate in securing a release from Rocky Mountain Pediatric Surgery, P.C. and each of Xx. Xxxxx and Xx. Xxxxxxxxxx individually to acknowledge such status of ownership and waiver of any present or future claim against XXXXXX and ASPENBIO for ownership rights, opportunities, or activities in the Field.
Xxxxx or Xx. Xxxxxxx. If Xx. Xxxxx or Xx. Xxxxxxx revokes his or her acceptance of this Agreement within the seven day period specified above, neither Xx. Xxxxx nor Xx. Xxxxxxx shall receive the benefit of this Agreement, which will be deemed null and void as to all the Parties. Xx. Xxxxx and Xx. Xxxxxxx further acknowledge, represent and agree that if either executes the Agreement prior to the expiration of the twenty-one (21) day period, the decision to do so was his/hers and his/hers alone, and that as a result, he/she has voluntarily waived the twenty-one (21) day review period.
Xxxxx or Xx. Xxxx Xxxxxxxx. You agree that during the Transition Period, you will devote your best efforts to and for the benefit of the Company in completing those assignments and performing those duties that either Xx. Xxxxx or Xx. Xxxxxxxx assigns you. Beginning on your Leave Commencement Date and continuing through January 1, 2007 (your “Termination Date”), you will be placed on a paid leave of absence during which you will remain available for special projects assigned to you by Xx. Xxxxx or Xx. Xxxxxxxx and to respond to reasonable requests for assistance related to matters arising from or related to your employment. The period of time from your Leave Commencement Date through your Termination Date is referred to as the “Paid Leave of Absence Period” in this Letter Agreement. Effective on the Leave Commencement Date, you shall no longer be the Chief Operating Officer of YUM! Brands, Inc. and you no longer (a) will have any duties to perform for the Company, except as otherwise provided in this Letter Agreement; (b) shall represent to third parties that you are authorized to act on the Company’s behalf; (c) will have the authority to act on the Company’s behalf (and thus you will be without authority to bind or create liability on behalf of the Company); and (d) will have the authority to incur any expenses or obligations on behalf of the Company.
