XXXXX Services Charges. The amounts of the monthly administrative service charges of XXXXX are described in the Exhibit “B” attached hereto, and Customer shall pay XXXXX for all Services provided under this Agreement, or XXXXX may deduct the fees from banking accounts established per section 4.8. Except as otherwise provided in Exhibit “B,” XXXXX shall invoice Customer on or before the twentieth (20th) day of each month for XXXXX administrative service charges attributable to the month immediately following the invoiced date. Customer shall make payment to XXXXX no later than ten (10) business days after the invoice date. Customer agrees to pay the invoiced amount in full and any subsequent adjustments shall be reflected in the next billing cycle. Should Customer fail to make payment to XXXXX within this time period, such amounts may, in XXXXX’x sole discretion, be automatically deducted from any advance claims funding provided by Customer pursuant to Article IV. Customer also acknowledges that failure to timely pay any invoiced amounts when due may result in automatic suspension of all services provided hereunder until all past due amounts are received by XXXXX. Suspension of services for nonpayment may also extend to any subcontractors and/or vendors listed in Exhibit “A”. Notwithstanding any other remedies provided herein, any amount due pursuant to Exhibit “B” that is not timely paid shall thereafter bear interest until paid at a rate of interest equal to three percent (3%) per annum more than the prime rate established by Citibank N.A. of New York, or the maximum rate permitted by law, whichever is less.

  • Services Fees The Fees are stated on the Stripe Pricing Page, unless you and Stripe otherwise agree in writing. Stripe may revise the Fees at any time. If Stripe revises the Fees for a Service that you are currently using, Stripe will notify you at least 30 days (or a longer period if Law requires) before the revised Fees apply to you.

  • Basic Services Fee 6.1.1 For Basic Services, as described in Article 1, and including all disciplines identified in Paragraph 15.1 as part of Basic Services, Architect/Engineer’s fee shall be a negotiated Basic Services Fee to cover all costs and profit. 6.1.2 The Architect/Engineer’s Basic Services Fee will be based on the Amount Available for the Construction Contract identified in the Program of Requirements. 6.1.3 In multiple package projects, the Basic Services Fee for each package shall be determined in a manner agreed to by A/E and Owner. The Architect/Engineer’s total Basic Services Fee will be the sum of the basic services fees for all packages. 6.1.4 If the description of the Architect/Engineer’s Basic Services is changed materially, the applicable fee shall be adjusted equitably.

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • Services Fee 5.1 The Transmission Services performed by TSO to Network User under this Standard Transmission Agreement are subject to the applicable Services fee calculated in accordance with attachment A of the Access Code for Transmission. Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts. The administrative support services in connection with Accounts may include, but shall not be limited to, the administrative support services that a Recipient may render as described in Section 3(b)(i) below.

  • Service Charges No service charge shall be made for any exchange or registration of transfer of Warrants.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.
