The contractor shall execute such utility shifting works under the supervision of utility owning agency and Authority’s Engineer (AE) in accordance with the provision of agreement.
It is understood and agreed that all payments by Contractor to A/E for the Scope of Work or Services, or for Additional Services or Reimbursable Expenses, shall become due and payable by Contractor to A/E within ten (10) days of Contractor’s actual receipt of payment from Owner.
Contractor’s actual receipt of payment from Owner for the Services and Scope of Work and any alleged Additional Services shall be an absolute, express condition precedent to Contractor’s obligation to pay A/E.
A/E shall maintain accurate books and records with respect to all expenditures made with respect to the Project and Services performed in connection therewith, all in accordance with generally accepted accounting principles applied on a consistent basis, and Contractor shall have the right, at reasonable time, to examine, copy, and audit such books and records.
A/E agrees to the assignment of this Agreement to Owner or Owner’s lender as may be required by the Prime Contract.
