Acquiror Stock Price definition

Acquiror Stock Price means the simple arithmetic average price per share of the Acquiror Common Stock on the NASDAQ for the five trading day period up to and including the second business day preceding (but not including) the Closing Date.
Acquiror Stock Price means the average of the closing sale prices of Acquiror Common Stock as quoted on The NASDAQ Global Select Market for the ten consecutive trading days ending on the Closing Date.
Acquiror Stock Price means the average of the closing sale prices of a share of Acquiror Common Stock as reported on the New York Stock Exchange ("NYSE") for the ten (10) trading day period ending two (2) trading days immediately preceding the Closing Date; (ii) the term "Acquiror Floating Rate Election" shall mean an election made by Acquiror upon determination of the Acquiror Stock Price in the event that the Acquiror Stock Price is less than $22.95 per share, whereby Acquiror agrees to use the Exchange Ratio which equals the quotient obtained by dividing 18 by the Acquiror Stock Price; and (iii) the term "Company Floating Rate Election" shall mean an election made by the Company upon determination of the Acquiror Stock Price in the event that the Acquiror Stock Price is greater than $35.75 per share, whereby the Company agrees to use the Exchange Ratio which equals the quotient obtained by dividing 22 by the Acquiror Stock Price.

  • No fraction of a share of Acquiror Common Stock will be issued, but in lieu thereof each holder of shares of Target Capital Stock who would otherwise be entitled to a fraction of a share of Acquiror Common Stock (after aggregating all fractional shares of Acquiror Common Stock to be received by such holder) shall receive from Acquiror an amount of cash (rounded to the nearest whole cent) equal to the product of (i) such fraction, multiplied by (ii) the Acquiror Stock Price.

  • When making the issuances of Acquiror Common Stock pursuant to Section 2.01(a) above, Acquiror shall withhold from the Company Stockholders a number of shares of Acquiror Common Stock equal to the quotient of five percent (5%) of the Transaction Value divided by the Acquiror Stock Price (the "Escrow Stock").

Acquiror Stock Price means the average of the closing sale prices for a share of Acquiror Common Stock as quoted on the Nasdaq Stock Market for the ten consecutive trading days ending with the trading day that immediately precedes the Closing Date (as defined in Section 1.3).
Acquiror Stock Price means the average of the closing sale prices of a share of Acquiror Common Stock as reported on the New York Stock Exchange ("NYSE") for the ten (10) consecutive trading days ending with and including the second trading day immediately preceding the date of the Scheduled Closing Date; (ii) the term "Acquiror Floating Rate Election" shall mean an election made by Acquiror to use the Exchange Ratio calculated pursuant to Section 2.01(a)(v)(A); and (iii) the term "Company Floating Rate Election" shall mean an election made by the Company to use the Exchange Ratio calculated pursuant to Section 2.01(a)(iv)(A).
Acquiror Stock Price is defined in Section 2.01(b) of the Merger Agreement.
Acquiror Stock Price means an amount equal to the volume weighted average price per share rounded to four decimal places (with amounts 0.00005 and above rounded up) of Acquiror Common Stock on the Nasdaq Global Select Market for the five consecutive trading days ending with the complete trading day ending three (3) Business Days prior to the Closing Date.
Acquiror Stock Price means the volume weighted average price of Acquiror Common Stock for the five (5) trading days immediately prior to the Closing Date, starting with the opening of trading on the first trading day to the closing of the last trading day prior to the Closing Date, as reported by Bloomberg.
Acquiror Stock Price means the average closing price of the Acquiror Common Stock on the Nasdaq National Market as reported in The Wall Street Journal for the five (5) trading days ending one (1) business day prior to date that the Escrowed Shares are distributed out of the Escrow Fund by the Escrow Agent; provided, however, in the event that an Objection is made with respect to a Claim then the Acquiror Stock Price shall mean the average closing price of the Acquiror Common Stock on the Nasdaq National Market as reported in The Wall Street Journal for the five (5) consecutive trading days ending (1) business day prior to the date that the Claim is delivered to the Stockholder Representative.
Acquiror Stock Price means the closing bid price for a share of Acquiror Common Stock as quoted on the Nasdaq National Market on the Closing Date, or, if the Closing Date is not a trading day, then on the trading day immediately preceding the Closing Date.
