Affiliate Airline definition

Affiliate Airline means any airline in respect of which AAB (i) has direct or indirect ownership or control and “control” for this purpose means the power to direct the management and the policies of such airlines whether through the ownership of voting capital, by contract or otherwise; or (ii) owns directly more than thirty percent (30%) of the voting capital; or holds more than thirty percent (30%) of the directors' voting rights; or by contractual arrangement is entitled to exercise more than thirty percent (30%) of the voting capital or directors' voting rights; and such airline is engaged as its primary business as a scheduled airline primarily involved in the carriage of passengers. Without prejudice to the requirement that clause (i) or (ii) above must be satisfied at the relevant time, as of the date of this Agreement it is acknowledged that the following entities satisfy the above requirements: AirAsia X Berhad, Thai AirAsia X Co., Ltd., Thai AirAsia Co., Ltd., PT. Indonesia AirAsia, PT Indonesia AirAsia Extra, AirAsia (India) Limited, AirAsia Japan Co., Ltd., Philippines AirAsia Inc. and AirAsia, Inc.

  • AIRLINE, its authorized Affiliate Airline, or its Ground Handler contractor, as appropriate, shall report all activity related to landings, passenger enplanements and deplanements, including revenue and non-revenue passengers, flight operations, and other information requested by the BOARD as identified in Exhibit E, attached hereto and incorporated herein by reference, within ten (10) days following the end of the month.

  • XXXX shall reserve the right to disapprove the designation of an Affiliate Airline or Affiliate Airline Qualifying Flight Operations if in XXXX’x judgment, reasonably exercised, (i) the Affiliate Airline and/or Affiliate Airline Qualifying Flight Operations definitions and designation requirements have not been met, or (ii) the proposed Affiliate Airline is subject to an uncured notice of default from XXXX on this Agreement or any other agreement with XXXX or on any required payment to XXXX.

  • An Affiliate Airline shall enter into a separate operating agreement with City and shall secure its own aviation insurance for liability purposes.

  • Airline’s entering into any operating agreement, license or other agreement where a third party, other than a subsidiary, Affiliate Airline, or code share partner of Airline, is given rights or privileges to utilize portions of the Demised Premises shall be considered an attempted Transfer to which the consent requirements in Section 1401 are applicable.

For the avoidance of doubt, any compensation or other remuneration that an entity acting in the capacities of both the Master Servicer and Special Servicer is entitled to in its capacity as Master Servicer pursuant to this Agreement will not constitute Disclosable Special Servicer Fees.

  • Credit union service organization means an organization, corporation, or association whose membership or ownership is primarily confined or restricted to credit unions or organizations of credit unions and whose purpose is primarily designed to provide services to credit unions, organizations of credit unions, or credit union members.
