Affiliate Guarantee definition

Affiliate Guarantee means, with respect to each Guarantor, its guarantee of the Guaranteed Obligations under Article 10 hereof or under Section 1 of a Guarantor Joinder Agreement.

Affiliate Guarantee has the meaning set forth in Section 4.01.

Affiliate Guarantee. Means any guarantee or other surety arrangement executed by any Member or by any Affiliate of any Member, or by any Affiliate of any general partner of AmREIT, in each case for the benefit of any lender or other creditor to the Company.

Examples of Affiliate Guarantee in a sentence

• For the purposes of Sections 4.7(a), 4.7(b) and 4.9, the term Obligation shall be deemed to include Underlying Obligations for which the Reference Entity is acting as provider of (i) in the case of a Reference Entity in respect of which “All Guarantees” is not stated to be applicable in the relevant Standard, a Qualifying Affiliate Guarantee and (ii) in the case of a Reference Entity in respect of which “All Guarantees” is stated to be applicable in the relevant Standard, a Qualifying Guarantee.

• Qualifying Affiliate Guarantee means a Qualifying Guarantee provided by a Reference Entity in respect of an Underlying Obligation of a Downstream Affiliate of that Reference Entity.

• For purposes of (a), (b) and (c) above, the term Obligation shall be deemed to include Underlying Obligations for which the Reference Entity is acting as provider of a Qualifying Affiliate Guarantee or, if All Guarantees is specified as applicable, as provider of any Qualifying Guarantee.
