Aggregate Shortfall definition

Aggregate Shortfall shall equal the sum of all of the Unit Shortfalls.
Aggregate Shortfall means the sum of the Shortfalls in all preceding Quarters, subject to the adjustments set forth below, provided that, upon the expiration of the Purchase Price Adjustment Period, the Aggregate Shortfall will be equal to zero. For each additional Common Unit received by NEE Partners during the Purchase Price Adjustment Period, the Aggregate Shortfall will be increased by an amount equal to the portion of the Aggregate Shortfall attributable to each outstanding Common Unit held by NEE Partners immediately prior to such issuance. The Aggregate Shortfall will be reduced, in whole or in part and without duplication, in any subsequent Quarter in the amount by which the Available Cash from Operating Surplus distributed by NEE Operating LP to its Unitholders in such Quarter is greater than the Shortfall Threshold, provided that the Aggregate Shortfall will be reduced only to the extent that corresponding Purchase Price Adjustments required to be paid by NEE Operating LP have been so paid;

Examples of Aggregate Shortfall in a sentence

  • The calculation and accuracy of the Aggregate Shortfall Amount determined hereunder shall be certified by the Calculation Agent on the first Business Day following the Maturity Date.

  • If at any time on or prior to the Maturity Date, the Calculation Agent provides the Warranty Provider with a written certificate certifying that the Financial Warranty has been terminated pursuant to Section 10.1 of the Financial Warranty Agreement (a "Termination Certificate"), the Financial Warranty amount shall automatically reduce to zero and the Financial Warranty shall terminate on such date and the Aggregate Shortfall Amount shall be deemed to be zero.

  • The Calculation Agent shall determine such Aggregate Shortfall Amount in a good faith commercially reasonable manner and provide such certification within three Business Days following the Maturity Date.

  • Notwithstanding any new issuances of Shares permitted under this Agreement, it is acknowledged and agreed that under no circumstances shall the Warranty Provider be liable for the portion of any Aggregate Shortfall Amount or Accelerated Aggregate Shortfall Amount attributable to Shares issued in excess of the Financial Warranty Amount Limit.

  • The Calculation Agent shall determine such Aggregate Shortfall Amount in a good faith commercially reasonable manner and provide the Adviser or the Fund with the amount of such Aggregate Shortfall Amount within two Business Days following the Maturity Date.

  • In the event that the Calculation Agent does not submit the certificate specified in the previous sentence within two (2) Business Days following the Maturity Date or the Early Termination Date, as applicable, the Fund may provide the certificate and shall determine the Aggregate Shortfall Amount or Accelerated Aggregate Shortfall Amount, as applicable, pursuant to the Financial Warranty in a good faith commercially reasonable manner.

  • The CUSTOMER shall purchase the Shortfall Amount, if any, from all Periods (together, the "Aggregate Shortfall Amount") under the provisions of this Agreement, within six (6) months following the expiration of the Agreement Period.

  • All determinations or calculations of any Maximum Equity Component, Adjusted Discount Factor, Shortfall Amount, Aggregate Shortfall Amount, Floor Shortfall and Additional Floor Shortfall and any other determination or calculations the Calculation Agent is permitted or required to make under this Agreement shall for purposes of this Agreement be final, binding and unchallengeable absent manifest error.

  • If the Arbitrator determines that the Floor Shortfall and/or Additional Shortfall is greater than the Shortfall Escrow Amount, the Adviser hereby agrees to pay to the Warranty Provider, within three Business Days of such final determination, an amount equal to the lesser of (i) the difference, if positive, of the Floor Shortfall and/or Additional Floor Shortfall as finally determined by the Arbitrator and the Shortfall Escrow Amount and (ii) the Aggregate Shortfall Amount.

  • If CUSTOMER'S purchases for any Period should exceed the applicable Purchase Requirement for such Period, the excess amount will be credited against the Aggregate Shortfall Amount.

Aggregate Shortfall for any January 31 shall mean the excess, if any, of the aggregate Minimum Royalty Amount relating to such January 31, over the amount of royalties paid and/or payable to MSO on account of Sales of the Initial Products that occurred during the twelve-month period ending on such January 31.

  • Aggregate Funded Spread As of any Measurement Date, the sum of: (a) in the case of each Floating Rate Obligation (other than a Defaulted Obligation) that bears interest at a spread over a reference rate based index that is a Benchmark-based Index or is the same as the then-current Benchmark applicable to the Floating Rate Debt (including, for any Permitted Deferrable Obligation, only the excess of the required current cash pay interest required by the Underlying Documents thereon over the applicable index and excluding the unfunded portion of any Delayed Drawdown Collateral Obligation and Revolving Collateral Obligation), (i) the stated interest rate spread paid in Cash on such Collateral Obligation above such index multiplied by (ii) the Principal Balance of such Collateral Obligation; provided that (i) with respect to any Floor Obligation, the stated interest rate spread paid in Cash on such Collateral Obligation over the applicable index shall be deemed to be equal to the sum of (x) the stated interest rate spread paid in Cash over the applicable index and (y) the excess, if any, of the specified “floor” rate relating to such Collateral Obligation over the greater of zero and the applicable index and (ii) the interest rate of each Step-Up Obligation will be deemed to be its current rate of interest and the interest rate of each Step-Down Obligation will be deemed to be the lowest rate of interest that such Collateral Obligation will by its terms pay in the future solely as a function of the passage of time; and (b) in the case of each Floating Rate Obligation (including, for any Permitted Deferrable Obligation, only the required current cash pay interest required by the Underlying Documents thereon and excluding the unfunded portion of any Delayed Drawdown Collateral Obligation and Revolving Collateral Obligation) that bears interest at a spread over an index other than a reference rate based index that is a Benchmark-based Index or is the same as the then-current Benchmark applicable to the Floating Rate Debt, (i) the excess of (x) the sum of such spread and the greater of such index or any applicable floor paid in Cash over (y) the Benchmark applicable to the Floating Rate Debt as of the immediately preceding Interest Determination Date (which spread or excess may be expressed as a negative percentage) multiplied by (ii) the Principal Balance of each such Collateral Obligation.

  • Available Funds Shortfall Amount means, as of any Payment Date, the amount, if any, by which the aggregate amount required to be paid pursuant to clauses first through twelfth of Section 4.4(a) of the Sale and Servicing Agreement exceeds the Available Funds for such Payment Date.

  • Class A Note Principal Shortfall means, as of the close of any distribution date, the excess of: • the Class A Noteholders’ Principal Distribution Amount on that distribution date, over • the amount of principal actually distributed or allocated to the class A noteholders or deposited into the accumulation account on that distribution date.

  • Aggregate Class A Unpaid Interest Shortfall As to any Distribution Date, an amount equal to the sum of the Class A Unpaid Interest Shortfalls for all the Classes of Class A Certificates.

  • Overcollateralization Deficiency Amount With respect to any Distribution Date, the amount, if any, by which the Overcollateralization Target Amount exceeds the Overcollateralized Amount on such Distribution Date (assuming that 100% of the Principal Remittance Amount is applied as a principal distribution on such Distribution Date).

  • Aggregate Invested Amount means, as of any date of determination, the sum of the Invested Amounts of all Series of Certificates issued and outstanding on such date of determination.

  • Working Capital Shortfall means the amount, if any, by which Working Capital is less than the Working Capital Target.

  • Aggregate Unfunded Spread As of any Measurement Date, the sum of the products obtained by multiplying (i) for each Delayed Drawdown Collateral Obligation and Revolving Collateral Obligation (other than Defaulted Obligations), the related commitment fee rate then in effect as of such date and (ii) the undrawn commitments of each such Delayed Drawdown Collateral Obligation and Revolving Collateral Obligation as of such date.

  • Daily Principal Shortfall means, on any date of determination, the excess of the Group One Monthly Principal Payment for the Monthly Period relating to such date over the month to date amount of Collections processed in respect of Principal Receivables for such Monthly Period allocable to investor certificates of all outstanding Series in Group One, not subject to reallocation, which are on deposit or to be deposited in the Principal Account on such date.

  • Group I Allocation Percentage With respect to any Distribution Date, the percentage equivalent of a fraction, the numerator of which is (i) the Group I Principal Remittance Amount for such Distribution Date, and the denominator of which is (ii) the Principal Remittance Amount for such Distribution Date.

  • Balance Amount shall have the meaning set forth in Section 8.1 of this Agreement.

  • Collateral Minimum Monthly Interest shall have the meaning specified in subsection 4.02(c).
