Agilent Employee definition

Agilent Employee means an individual who, on the Distribution Date is, (i) either actively employed by, or on a leave of absence from, the Agilent Group, (ii) employed in the United States and on a paid or unpaid medical leave of absence, short-term disability, California Paid Leave of Absence, FMLA leave or military leave of absence from the Business on the Separation Date, (iii) is an employee of the Agilent Group and has received a notice of termination from the Business in accordance with the Agilent Workforce Management Program (iv) is an Agilent Terminated Employee, or (v) is an employee or group of employees designated as Agilent Employees by Agilent.

Agilent Employee means any individual who is: (a) ---------------- either actively employed by, or on leave of absence from, the Agilent Group on the Payroll Date; (b) either actively employed by, or on leave of absence from, the HP Group as either part of a work group or organization, or common support function that, at any time after the Payroll Date and before the Distribution Date, moves to the employ of the Agilent Group from the employ of the HP Group; (c) an Agilent Terminated Employee; (d) employed by the Agilent Group; (e) any other employee or group of employees designated as Agilent Employees (as of the specified date) by HP and Agilent by mutual agreement; or

Examples of Agilent Employee in a sentence

  • Verigy Transferred Employees and other Verigy Employees shall cease participation in the Agilent Employee Stock Purchase Plan as of the applicable Agilent Participation Discontinuance Date.

  • With respect to any Returning Agilent Employee, to the extent applicable, the Agilent DPSP shall assume and honor QDROs in effect under the Keysight DPSP as of immediately prior to the Transfer Date.

  • Verigy shall not assume any Liabilities for benefits provided under the terms of the Agilent Employee Stock Purchase Plan.

  • Furthermore, all Liabilities attributable to each Agilent Employee or Verigy Employee who transfers employment between Agilent and Verigy prior to the Distribution Date shall be assumed by the transferee employer subsequent to the transfer.

  • With respect to any Returning Agilent Employee, to the extent applicable, the Agilent Retirement Plan shall assume and honor QDROs and recognize compensation paid and service with the Keysight Group under comparable terms to those that apply to Keysight Group Employees and Subsequently Transferred Keysight Employees under the Keysight Retirement Plan.

  • Keysight shall provide Agilent with comparable information with respect to any Returning Agilent Employee.

  • Verigy shall not assume any Liabilities for benefits provided under the terms of the Agilent Employee Assistance Program.

  • With respect to any Returning Agilent Employee, to the extent applicable, the Agilent 401(k) Plan shall assume and honor QDROs in effect under the Keysight 401(k) Plan as of immediately prior to the Transfer Date.

  • Client employer means an Employer that is involved in a Tri-Party Employment Relationship due to obtaining the services of a third-party entity.

  • Permanent Employee means an employee in the classified service who has successfully completed a probationary period.

  • Service employee, means any person engaged in the performance of this contract other than any person employed in a bona fide executive, administrative, or professional capacity, as these terms are defined in Part 541 of Title 29, Code of Federal Regulations, as revised. It includes all such persons regardless of any contractual relationship that may be alleged to exist between a Contractor or subcontractor and such persons.

  • New employee means a Full-Time Employee first employed by the Company in the Project and who is hired on or after the Effective Date of this Agreement.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.
