Akebia Housemarks means (a) the corporate logo of Akebia, (b) the trademarks “AKEBIA,” “PRO 2TECT,” “INNO2VATE,” and “O2XYGEN,” (c) any other trademark, trade name, or service mark (whether registered or unregistered) containing the word “Akebia,” (d) any trademark, trade name, or service mark (whether registered or unregistered) used as the name of any clinical trial for any Licensed Product, (e) any other corporate logo or trademark of Akebia used by Akebia to identify Akebia or its Affiliates, (f) all registrations, applications for registrations, and other intellectual property rights associated with any of the foregoing, and (g) all goodwill associated with any and all of the foregoing in clauses (a) through (f).

Examples of Akebia Housemarks in a sentence

  • Akebia will be responsible for the registration and maintenance of the Akebia Housemarks throughout the Territory, as well as all expenses associated therewith.

  • Each Party acknowledges that Akebia has sole and exclusive ownership of all rights, title, and interests in and to the Product Marks and Akebia Housemarks.

  • Each Party will provide to the other Party proof copies of the applicable Akebia Housemarks and Licensee Housemarks (as applicable) to be included in connection with all cobranding described in this Section 7.10.1 (Approval and Branding of Training Materials) in the manner and format as may be reasonably specified by a Party from time-to-time.

  • Subject to the terms and conditions of this Agreement, Akebia hereby grants and will grant to Licensee a non-exclusive, royalty-free license to use the Akebia Housemarks solely as set forth in the Product Materials and other materials provided to it by Akebia, and solely to Develop, perform Medical Affairs activities and Non-Promotional Activities with respect to, and Commercialize the Licensed Products in the Territory in accordance with this Agreement.

  • Each Party will provide to the other Party proof copies of the applicable Akebia Housemarks and Licensee Housemarks (as applicable) to be included in connection with all cobranding described in this Section 6.4 (Medical Education Materials) in the manner and format as may be reasonably specified by a Party from time-to-time.

  • Licensee shall not have, assert, or acquire any rights, title, or interests in or to any Akebia Housemarks or the goodwill pertaining thereto, and Akebia shall not have, assert or acquire any rights, title, or interest in or to any Licensee Housemarks or the goodwill pertaining thereto, except in each case for the limited licenses explicitly provided in this Agreement.

Related to Akebia Housemarks

  • Licensors means PRS and MCPS.

  • Licensed Marks means those MLS GRID and MLS trademarks, service marks, word marks, logos and distinctive marks of all other kinds, if any, set out in Exhibit A as Licensed Marks.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • License Elements means the following high-level license attributes as selected by Licensor and indicated in the title of this License: Attribution, ShareAlike.

  • Promotional Materials means all sales representative training materials and all written, printed, graphic, electronic, audio or video matter, including, without limitation, journal advertisements, sales visual aids, formulary binders, reprints, direct mail, direct-to-consumer advertising, internet postings and sites and broadcast advertisements intended for use or used by either Party or its Affiliates or sublicensees in connection with any promotion of a Product.

  • Third Party Technology means all Intellectual Property and products owned by third parties and licensed pursuant to Third Party Licenses.

  • Licensee Know-How means all Know-How that is owned or Controlled by Licensee or its Affiliates after the Effective Date and is necessary in the research, Development, manufacture, use, or Commercialization of the Licensed Products.

  • Product Know-How means Know-How to the extent related to the properties, manufacture or use of any products.

  • Licensee Improvements means any enhancement to or modification or improvement of the Licensed Patents and/or the Proprietary Information created by or on behalf of Licensee and/or any of its subsidiaries.

  • Product Marks has the meaning set forth in Section 9.5.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.
