Examples of Alamos Options in a sentence

  • The parties hereto agree that notice of the time and place of the hearing of the Court application shall be given to each member of the Amalgamating Companies, together with each holder of Alamos Options, National Options, Alamos Warrants and National Warrants, and any other holder of rights to acquire Alamos Common Shares or National Common Shares, advising them that they have the right to appear at the hearing.

  • The only votes of the holders of any class or series of the Alamos Shares, Alamos Options or other securities of Alamos necessary to approve this Agreement and the Arrangement and the transactions contemplated hereof or thereby is the approval of the Alamos Resolution.

  • Effect of Arrangement on Holders of Alamos Options, Alamos Warrants, Alamos SARs, Alamos RSUs and Alamos DSUs Pursuant to the Arrangement, each Alamos Option and Alamos Warrant will ultimately be replaced with an option or warrant, as applicable, to acquire Class A Shares having a value equivalent to the value immediately prior to the Effective Time of the corresponding Alamos Option or Alamos Warrant, as applicable.

  • The Arrangement will be binding on: (i) Alamos; (ii) AuRico; (iii) Amalco; (iv) AuRico Metals; (v) all holders of AuRico Shares, Alamos Shares, Amalco Shares, Class A Shares and/or AuRico Metals Shares; (vi) all holders of Alamos Warrants, Alamos RSUs, Alamos DSUs, Alamos Options, Alamos SARs, AuRico DSUs, AuRico RSUs, AuRico PSUs, AuRico Options and any security into which they may be converted or exchanged or otherwise converted pursuant to the Plan of Arrangement; and (vii) the Depositary.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Parent Options means options to purchase shares of Parent Common Stock from Parent (whether granted by Parent pursuant to the Parent Option Plans, assumed by Parent or otherwise).

  • Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.

  • SARS means the South African Revenue Service.

  • Incentive Stock Options means Option Rights that are intended to qualify as “incentive stock options” under Section 422 of the Code or any successor provision.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Stock Rights means any securities, dividends or other distributions and any other right or property which any Grantor shall receive or shall become entitled to receive for any reason whatsoever with respect to, in substitution for or in exchange for any securities or other ownership interests in a corporation, partnership, joint venture or limited liability company constituting Collateral and any securities, any right to receive securities and any right to receive earnings, in which any Grantor now has or hereafter acquires any right, issued by an issuer of such securities.

  • Incentive Shares means an award of shares granted pursuant to Section XIII.

  • Option Plans has the meaning set forth in Section 2.6 below.

  • Company Stock Option Plans means the 1996 Equity Incentive Plan, 1998 Stock Option Plan for Non-Employee Directors and 1999 Employee Stock Option Plan.

  • Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.

  • Investment Options means the investment options, as determined from time to time by the Committee, used to credit earnings, gains and losses on Account balances.

  • Stock Awards means all stock options, restricted stock and such other awards granted pursuant to the Company’s stock option and equity incentive award plans or agreements and any shares of stock issued upon exercise thereof.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Stock Incentives means, collectively, Dividend Equivalent Rights, Incentive Stock Options, Non-Qualified Stock Options, Performance Unit Awards, Phantom Shares, Stock Appreciation Rights and Stock Awards.
