The terms and conditions of that separate agreement comprise the terms and conditions of the relevant Order; the version of these terms and conditions which are either specified as being expressly incorporated into, are appended to, or are linked to by a hyperlink in, that Order; and any other terms and conditions specified as being expressly incorporated into that Order (such other terms and conditions, being the Ancillary Terms and Conditions).
In the event that the Supplier submits Ancillary Terms and Support Rates, it should include, as a minimum: an email response subject line to comprise unique reference number and Supplier name, so as to clearly identify the Supplier; a brief summary, in the email, stating whether or not the Supplier is bidding for the requirements; and the terms of the Ancillary Terms and Support Rates.
The Supplier acknowledges and agrees that no vehicles will be supplied pursuant to this Framework Schedule 21 (Requesting Bodies and Ancillary Terms) as vehicles will (if so requested by a Requesting Body) be provided pursuant to other contractual arrangements between the Requesting Body and the Supplier.
The Supplier agrees to co-operate and liaise, at its own expense with Requesting Bodies to arrange for the application of the Ancillary Terms and Support Rates to the Vehicle Contracts and the Supplier shall take such steps as may be reasonably required by Requesting Bodies to enable the Requesting Body to receive the benefit of this Framework Schedule 21 (Requesting Bodies and Ancillary Terms).
The Supplier will in writing, by the time and date specified by the Requesting Body in accordance with Paragraph 3.2.2(b) provide the Requesting Body with either: a statement to the effect that it does not wish to tender in relation to the relevant requirements; or the Ancillary Terms and Support Rates and full details of its tender made in respect of the relevant requirements.
In particular, but without limitation, the Supplier shall ensure that details of the Ancillary Terms and Support Rates are loaded into relevant systems prior to the Framework Commencement Date so as to enable the Requesting Bodies to access and make use of the Ancillary Terms and Support Rates when purchasing vehicles and associated services on the Framework Commencement Date and thereafter during the Framework Period.
If a Requesting Body seeks to apply the Ancillary Terms and Framework Support Rates pursuant to Paragraph 2.1 then, the Supplier may, acting reasonably, seek confirmation from such person or (if such person is unable to satisfy the Supplier) from the Contracting Body that such person is authorised by the Contracting Body to take advantage of the Ancillary Terms and Framework Support Rates.
The Supplier shall ensure that all systems and procedures are in place to ensure that the Requesting Bodies are able to receive the full benefit of the Ancillary Terms and Support Rates with effect from the Framework Commencement Date.
Subject to paragraph 2 above, each Requesting Body may place a request for Ancillary Terms and Support Rates by serving notice in writing (including, for the purposes of this clause, systems of ordering involving electronic mail or other on-line solutions) or by telephone and confirmed in writing or such other form agreed with the Supplier.
