ATP Milestone the Milestone linked to Authority to Proceed for the relevant Operational Services set out in the Implementation Plan;

Examples of ATP Milestone in a sentence

  • For each phase of the Implementation Period, the Test Success Criteria for: each Test that the Service Provider must Achieve for the ATP Milestone or a Contract Performance Point (“CPP”) Milestone, are set out in Annex 4; and all other Tests shall be agreed between the Parties as part of the relevant Test Plan pursuant to paragraph 5.

  • Upon such termination, Contractor will be entitled to keep all ATP Milestone payments received from Purchaser under the ATP; and (ii) promptly deliver to Purchaser all Work-in-Process and any Deliverable Items available as of the ATP termination date that have been paid for by Purchaser, and the Parties, unless otherwise provided for in the ATP, shall have no further obligations towards each other and shall not be entitled to claim any damages whatsoever to the other Party.

  • If this ATP expires without occurrence of Financial Close, Contractor shall: (i) be entitled to keep all ATP Milestone payments received from Purchaser under the ATP; and (ii) promptly deliver to Purchaser all Work-in-Process and any Deliverable Items available as of the ATP termination date, and the Parties, unless otherwise provided for in the ATP, shall have no further obligations towards each other and shall not be entitled to claim any damages whatsoever to the other Party.

  • Contractor shall not invoice any amount which when cumulated with other ATP Milestone payments previously made hereunder, exceeds the cumulative ATP Milestone payment amounts due and paid as of such date as reflected in this Article 4.

  • Contractor may immediately terminate this ATP by issuance of written notice if any ATP Milestone payment due and owing hereunder is not paid within [***…***] days after such ATP Milestone was successfully completed and Contractor’s invoice was delivered to and acknowledged by Purchaser in accordance with the requirements of the ATP and the Contract.

  • If such outstanding ATP Milestone Payment is not made within [***…***] days after the date of stop Work, then Contractor shall be entitled to immediately terminate the ATP by written notice to Purchaser in accordance with the provisions of Article 6.3(B) herein.

Related to ATP Milestone

  • Development Milestone is defined in Section 5.3.

  • Milestone Payments means payments made in connection with any Permitted Acquisition or other acquisition (including any license or the acquisition of any license) of any rights in respect of any drug or other pharmaceutical product (and any related property or assets) to sellers (or licensors) of the assets or Equity Interests acquired (or licensed) therein based on the achievement of specified revenue, profit or other performance targets (financial or otherwise).

  • KPI Target means the acceptable performance level for a KPI as set out in each KPI;

  • Performance Target means the level of performance expected of the HSP in respect of a Performance Indicator or a Service Volume; “person or entity” includes any individual and any corporation, partnership, firm, joint venture or other single or collective form of organization under which business may be conducted;

  • Successful Completion means that in the reasonable opinion of the Customer, Deliverables completed by the Supplier are fit for purpose, completed on time and otherwise meet all the criteria defined under this Contract;
