Authorized Recipients definition

Authorized Recipients means employees and representatives of the party receiving Confidential Information that have a bona fide need to know such Confidential Information.
Authorized Recipients has the meaning set forth in Section 12.2.
Authorized Recipients means those employees, consultants or agents of the Receiving Party to whom disclosure is required to carry out this Agreement and any Order hereunder and who have executed a confidentiality agreement or are otherwise bound to duties of non-disclosure and restrictions on use of the Confidential Information at least as restrictive as those set forth in this Agreement (including, but not limited to an undertaking to implement and maintain appropriate administrative, technical and physical safeguards to protect the confidentiality, integrity and availability of Regulated Information) but shall expressly exclude such individuals or entities as may, at the election of the parties, be identified on a list bearing the signatures of the parties and attached to and incorporated into this Agreement.

  • The Receiving Party will be liable for any breach by any of its Authorized Recipients of the restrictions set forth in this Agreement.

  • Recipient and its Authorized Recipients will continue to be bound by the terms of this Agreement for a period of three (3) years from the date hereof notwithstanding the return or destruction of the Confidential Information.

  • The receiving Party is responsible for the compliance of its Authorized Recipients with the confidentiality and non-disclosure obligations of this Agreement.

  • Such Authorized Recipients agree not to disclose Confidential Information to any other persons or entities or to retain or use Confidential Information obtained hereunder for any purpose other than the review.

  • The forgoing shall not be construed to limit access to, or use of, any information gained by the Authorized Recipients during the course of the review by the Commission or its duly authorized staff.


More Definitions of Authorized Recipients

Authorized Recipients shall have the meaning given in Section 6.1.

After execution of agreement for such a license between MoSys and an AUTHORIZED RECIPIENT (hereinafter referred to as "SET LICENSE AGREEMENT"), MoSys shall immediately notify NEC of such execution, and such AUTHORIZED RECIPIENT shall be deemed to become an AUTHORIZED RECIPIENT for purposes of this Agreement upon receipt by NEC of notification by MoSys of the execution of such SET LICENSE AGREEMENT, and shall continue to be an AUTHORIZED RECIPIENT for purposes of this Agreement, in the context of NEC's free-royalty payment conditions set forth in Section 7.3 below, until five (5) working days after receipt by NEC of notice from MoSys of the termination of the SET LICENSE AGREEMENT.
