AVAILABLE COMPOUND definition

AVAILABLE COMPOUND means an ArQule Compound or Analog Compound that is neither: (i) licensed or otherwise committed by ArQule or ACADIA to a third party in the Field nor (ii) committed to an internal ArQule or ACADIA program in the Field. In addition, all Targeted Compounds are Available Compounds. "AVAILABLE ACTIVE COMPOUND" means an Active Compound that is also an Available Compound.
AVAILABLE COMPOUND means an Active Compound which ArQule has determined is not (i) licensed or otherwise committed to a third party or (ii) committed to an internal ArQule program.
AVAILABLE COMPOUND means an Active Compound which ArQule has determined in good faith is not (i) licensed or otherwise committed to a third party in the Field or (ii) committed to an internal ArQule program in the Field. For purposes of (i) above, "committed" shall mean a third party with contractual or other legal rights to claim such compound for development and commercialization has notified ArQule in writing that such third party has claimed such compound for development and commercialization. For purposes of (ii) above, "committed" shall mean that the compound has been designated by ArQule as committed to an internal development program at ArQule (initiated and conducted without use of any information generated in the course of this Agreement) in accordance with its ordinary procedures, as evidenced by the status of such compound in its corporate database, and is under bona fide evaluation or is the subject of an active and funded internal development program at ArQule.

AVAILABLE COMPOUND means an Active Compound which ArQule has determined is not (i) licensed or otherwise committed to a third party in the Field or (ii) committed to an internal ArQule program in the Field and is reserved to Solvay on an exclusive basis pursuant to Section 3.
AVAILABLE COMPOUND means an ArQule Compound that is an Active Compound and that is not (i) then licensed or otherwise committed to a third party in the Field or (ii) then committed to an Internal ArQule Discovery Program in the Field. As used in this definition, the term "committed" means a compound that is subject to a legally binding obligation to a third party that precludes a grant of an exclusive license to Monsanto in the Field or a compound for which ArQule has previously identified biological activity and designated in its internal compound database as the subject of an Internal ArQule Discovery Program.
AVAILABLE COMPOUND means an ArQule Compound, GTC Compound, Analog Compound, or Other Compound (i) the rights to which are not licensed or otherwise committed by ArQule or GTC to a Third Party for use in the Field or (ii) that has not been committed to an internal ArQule or GTC program in the Field. "Available Active Compound" means an Active Compound that is also an Available Compound.
AVAILABLE COMPOUND means an Active Compound that, as of the date PRI reports activity to ArQule, (i) ArQule has the right to grant to PRI the licenses set forth under Section 4.1. and (ii) is not committed to an internal ArQule program, as evidenced by written or electronic records, in the Development Field.

  • Back-Up Compound means, with reference to any particular Development Candidate or Drug Product Candidate, a Compound which (a) has the same principal mode of action (i.e., Potentiator or Corrector) as that Development Candidate or Drug Product Candidate; and (b) was among the group of Compounds, identified by VERTEX as potential additional lead molecules having the same principal mode of action, from which the Development Candidate was selected.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Compounds means a small molecule HMT inhibitor.

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Daily Non-Cumulative Compounded RFR Rate means, in relation to any U.S. Government Securities Business Day during a Floating Rate Interest Period for a Loan (or any part of it), the percentage rate per annum determined by the Facility Agent in accordance with the methodology set out in Schedule 15B (Daily Non-Cumulative Compounded RFR Rate) or in any relevant Compounding Methodology Supplement.

  • Bundled Product means Product sold together with any other product(s) or service(s) at a single unit price, whether packaged together or separately, and which other product(s) or service(s) have material independent value from Product itself.

  • Diagnostic Product means any test or assay for diagnosing or detecting a disease, disorder, medical condition, or symptom.

  • Licensed Product means any pharmaceutical product containing a Licensed Compound (alone or with other active ingredients), in all forms, presentations, formulations and dosage forms.

  • Biological Samples means any physical samples obtained from Study Participants in accordance with the Protocol for the purposes of the Study.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Combination Products means COBI Combination Products, EVG Combination Products, TDF Combination Products, TAF Combination Products and Quad Product.

  • Bulk Product means Licensed Product supplied in a form other than Finished Product which can be converted into Finished Product.
